INVESTMENT ADVISORY & TRUST COMPANY, RICHARD E. JORDAN, II ~ and
RICHARD E. JORDAN, III, Co-Trustees of the Barbara J. Schenck Trust (the "Trust") under
ITEM VII of Decedent's will, do hereby acknowledge receipt from MANUFACTUR.I~RS AND
TRADERS TRUST COMPANY, RICHARD E. JORDAN, II and RICHARD E. JC-RDAN, III
Co-Executors under the Last Will and Testament of the above-named decedent, of cash in the
sum of ONE MILLION TWO HUNDRED THOUSAND DOLLARS ($1,200,000.00) in partial
satisfaction of the bequest of one-half of the residue to the undersigned Trustees contained in
ITEM VI(b) of decedent's Will.
IN CONSIDERATION of said distribution, the undersigned, as Trustees, do hereb

release, remise, quit claim and forever discharge the said Estate and the Co-Executors of and from
all actions, suits, payments, accounts, reckonings, claims and demands whatsoever for orb reason

thereof.
AND the undersigned, as Trustees, do hereby agree to indemnify and save hau-mless the
said Co-Executors and the Estate, to the extent of the lesser of the sum of said distribution or the
total value of the Trust assets at the pertinent time ("Refunding Amount"), against any and all loss
damage, costs, verdicts, judgments, awards and expenses which said Co-Executors or the Estate
may suffer, incur, be put to, pay or lay out by reason of having made said distribution to the

undersigned, and the undersigned agree to return said Refunding Amount from the Trust to the Co-
Executors upon receipt of such a request from the Co-Executors.
It is the intention of the undersigned to be legally bound by this instrument.
It is the intention of the undersigned that Brown Investment Advisory & Tr1as1: Company
has executed this instrument in no other capacity other than as Trustee.
