(1) Richard E. Jordan died October 29, 2009 leaving a Will which directs one-
half ofthe residue of the estate into the Barbara J. Schenck Trust under Item VII.
(2) Richard E. Jordan, II, Richard E. Jordan, III and Manufacturers and
Traders Trust Company ("M&T") are named as Trustees of the Trust.
(3) Item XVII authorizes Richard E. Jordan, II and Richard E. Jordan, III,
acting jointly, to remove any corporate trustee for any reason without cause and without court
approval provided that the corporate trustee be replaced with another corporate trustee having
fiduciary powers.
(4) Richard E. Jordan, II and Richard E. Jordan, III desire to remove M&T, ab
initio, and appoint Brown Investment Advisory & Trust Company, with offices at 901 South
Bond Street, Suite 400, Baltimore, Maryland 21231-3340 as substitute trustee in its place to
serve as co-trustee of the above-captioned Trust with Richard E. Jordan, II and Richard E.
Jordan, III.
(5) Brown Investment Advisory & Trust Company agrees to serve as
substitute co-trustee of the Trust.
NOW, THEREFORE, pursuant to the authority granted in Item XVII, Richard E.
Jordan, II and Richard E. Jordan, III hereby remove Manufacturers and Traders Trust Cc-mpany
as co-trustee of the above-captioned Trust, ab initio, and they do hereby appoint Brown
Investment Advisory & Trust Company, 901 South Bond Street, Suite 400, Baltimore, 1~laryland

21231-3340 as substitute trustee in its place to serve as Co-Trustees with Richard E. Jordan, II
and Richard E. Jordan, III.
IN WITNESS WHEREOF, intending to be legally bound, the undersigned has

ADVISORY & TRUST COMPANY with offices at 901 South Bond Street, Suite 400,
Baltimore, Maryland 21231-3340, hereby accepts its appointment as successor co--trustee
of the above-captioned Trust. Brown Investment Advisory & Trust Company retains the
right to resign as Co-Trustee of such Trust and Brown Investment Advisory & Trust
Company acknowledges that Richard E. Jordan, II and Richard E. Jordan, III retain t:he
right to remove and replace Brown Investment Advisory & Trust Company as authorized
under the Will of Richard E. Jordan.
