MIXELL, Personal Representative of the ESTATE OF LEWIS F. MIXELL, and PHILLI[P L. MIXELL, HOPE A. ALLEN and RAY T. MIXELL, heirs, hereinafter called SELLERS, and RICHARD L. RAUDABAUGH and DOLORES L. RAUDABAUGH, his wife, of Newville, Pennsylvania, Y~ereinafter called PURCHASERS. IT IS MUTUALLY AGREED AS FOLLOWS: 1. The SELLERS agree to sell, grant and convey to the PURCHASERS, and the PURC'H.ASERS agree to purchase and accept the conveyance of the following described real estate situate in Upper Frarikfc-rd Township, Cumberland County, Pennsylvania, bounded and described as follows: Being Tract No. 2 of the Deed as recorded in Cumberland County Deed Book "U", Volume 16, Page 592, containing 30 acres, more o_r less. 2. The PURCHASERS agree to pay the sum of $20,000.00 to SELLERS, payable as follows: $1,000.00 on the signing of this Agreement, receipt of which is hereby acknowledged; $19,000.00, the balance oi~the purchase price, on the delivery of the Deed to said property to said PURCHASERS. Settlement to be at the ofl~ices of Irwin & McKnight, P.C., 60 West Pomfret Street, Carlisle, Pennsylvania 17013-3222. 3. The settlement shall be made on or before May 6, 2011, which time shall be of the e:>sence, at which time of settlement the SELLERS shall tender to the PURCHASERS a properly drawn and executed Deed of special warranty, conveying to the PURCHASERS a good and marketable title in fee simple, clear of al]'. encumbrances, except easements or building and use restrictions, visible or of record, and shall deliver possession to the PURCHASERS and the PURCHASERS shall pay the balance of the purchase price in cash 4. All taxes for the current year shall be prorated to date of settlement, County and Borough or Township taxes on a January 1st to December 31st year basis and the School tax on a July 1st to June 30t:h year basis. Pennsylvania Realty Transfer tax and any other sale or transfer taxes are to be paid equally by SELLERS and PURCHASERS, if any. 5. The SELLERS agree that the property shall remain in substantially its present condition until date of settlement, reasonable wear and tear expected, and if it is not, the PURCHASERS may rescind this contract. 6. The PURCHASERS hereby waive the formal tender of the Deed if the purchase price is not paid as agreed upon above. 7. Should the PURCHASERS fail to make settlement as hereinbefore provided, the amc-unt paid down as hand money, to wit: $1,000.00 may be retained by the SELLERS as liquidated damages. Should the SELLERS fail or refuse to convey as hereinbefore provided, the PURCHASERS may require the return oi.' tYie hand money paid and reasonable title examination expenses incurred by the PURCHASERS. 8. For the performance of this Agreement, the parties bind themselves, their heirs, personal representatives, successors and assigns, as witness their hand and seals the day and year first written above.
