LAST WILL
I, JOHN J. FLYNN, of Monroe Township, Cumberland County, Pennsylvania,
declare this to be my Last Will and revoke any wills previously made by me.
1. I direct that any and all inheritance, estate and transfer taxes imposed upon
my estate passing under my will or otherwise, shall be paid out of the principal of my
residuary estate.

I direct that if my residences at 1473 and 1474 Cockleys Meadow
Drive are a part of my estate and if they are to be sold by my executor to someone other
than my beneficiaries, that my sister, Patricia Eileen Hoefling or her children have the
first right to buy the property at the appraised value.
b) I direct that my diamond flng which holds my mother's
engagement diamond be delivered to my son, John Flynn.
c) I direct that the Indian Screen and Indian Tables be delivered to
Anne Marie Flynn.
d) All the rest, residue and remainder of my property, real, personal
or rnixed, of whatsoever kind, nature or description and wheresoever the same may be
situate or over which I have power of disposition, I give, devise and bequeath as follows:
one-sixth to each of my children, Jean Marie Gardner, John Flynn, Anne Marie Flynn,
Patrick Flynn and Megan Flynn and one-sixth to my grandchildren.
III. I appoint Patrick Flynn to be guardian of the estate of any mmor
grandchildren, whether such property passes under this will or in any other manner
including the proceeds of insurance on my life.
IV. In addition to all other powers allowed by law, the guardian shall apply
such amounts of principal as he, in his sole discretion, deems advisable for the care,
maintenance, support, education and general welfare of such minor child.
V. The guardian may retain any of the assets of my estate which corne into
his hands, and shall invest and keep invested the principal of the guardian estate in such
manner and in such securities or other property, real or personal, and upon such terms
and for such length of time as the guardian shall deem advisable, it being intended hereby
to give unto the guardian full and complete authority to hold, possess, manage, and
reinvest the whole and every part of the guardian estate according to his sole judgment
and discretion without any limit upon the power and authority so to do by statute or
otherwise.
V1. I appoint my son, Patrick Flynn, and my daughter, Anne Marie Flynn, to
be executors of this my Last Will and direct that no bond or other security be rcquired in
any jurisdiction for the faithful performance of their duties as such.
IN WITNESS WHEREOF, I have hereunto set my hand and seal to this my Last
Will this 14th day of June, 2004.

YORK, 10003, JOHN DOMINICK FLYNN and PATRICK JOSEPH
FLYNN, OF 3 EDWARD ST., HIGHLAND FALLS N.Y.
WHEREAS, JOHN J. FLYNN died on July 12, 2004, with a Will;
and
WHEREAS, on August 13, 2004, the Register of Wills in and for
Cumberland County, Pennsylvania, did constitute and appoint
PATRICK FLYNN AND ANNE MARIE FLYNN as Executors of the
Estate of John J. Flynn to Estate No. 21-04-0757.

WHEREAS, the executors have proceeded with the
administration of the estate consisting of principal assets in the total
amount of $264,693.92, income of $17,600.00, and a refund for Pa.
Inheritance tax of $390.04, for a total assets of $282,683.96, as set forth
in the attached Exhibit A.
WHEREAS, the only parties in interest in the estate are the
above named parties, and
WHEREAS, the beneficiaries desire that the executors shall not
be required to file an account with the Register of Wills of
Cumberland County and that the net estate of the decedent shall be
distributed without the necessity of filing a formal account to avoid
the expense, delay and publicity of a formal accounting, but should
instead be distributed in accordance with the proposed schedule of
distribution, a true and correct copy of which is attached hereto,
made a part hereof and marked Exhibit B.
NOW, THEREFORE, in consideration of the mutual promises,
covenants and agreements recited herein, and intending to be legally
bound hereby, the parties do hereby formally agree as follows:
1. Each party has fully and carefully reviewed this accounting
of the executors of the estate and the proposed schedule of
distribution relating thereto, and finds them to be true and correct
and acceptable and further that each has received a copy of this
family settlement agreement and final release and of the account and
schedule of distribution.
2. In order to avoid the expense, delay and publicity involved
in the filing of a formal account and schedule of distribution, no
accounting to the court is necessary, and each does hereby agree and
consent to distribution being made without the filing of an account
and proposed schedule of distribution. The same to be with the same
force and effect as if each had been filed and confirmed by the Court
of Common Pleas of Cumberland County, P A.
3. Each does hereby release, remise, quitclaim and forever
discharge the ESTATE OF JOHN J. FLYNN, DECEASED, AND
PATRICK FLYNN AND ANNE MARIE FLYNN, EXECUTORS, their
heirs, executors, administrators and assigns, from all manner of acts,
suits, claims, accountings, debts and demands whatsoever which
he / she, his /her / their heirs and assigns may at any time hereafter
have against said executors, estate or assets thereof.
4. Each hereby covenants and agrees that he/ she will
contribute his / her share of the estate to satisfy any claims, debts,
demands, suits or causes of action which may be successfully
, .
brought against the estate or the executors after the execution of this
family settlement agreement and final release.
5. Each agrees that he / she will at all times in the future and
wherever necessary, appropriate or convenient, make, execute and
deliver to the executors any and all instruments, documents,
conveyances, deeds, releases or other instruments of any kind
necessary or convenience to carry out the intention of this family
settlement agreement and final release.
6. Each agrees that this family settlement agreement and final
release constitutes the entire understanding among the parties hereto
and that there have been no other representations or statements of
any kind, written or oral, made to him/her by the executors or any
other person or party on her behalf.
7. This family agreement and final release shall inure to the
benefit of and shall be binding upon the parties hereto, each of them,
heir heirs, executors, administrators, successors and assigns.
8. This family settlement agreement and final release shall be
governed by the laws of the Commonwealth of Pennsylvania.
