PROTECTIVE ORDER AND RITE AID'S CROSS-MOTION TO COMPEL ~ • THE DEPOSITION OF UNICAL'S CORPORATE DESIGNEE This dispute is about Plaintiff Unical Enterprises, Ine.'s ("Unical") attempt to avoid the agreement it made to guarantee the sale of its product. Unical initiated this suit in Cumberland County, but it now refuses to produce a corporate designee for one deposition in the venue where it agreed to litigate. A deposition of Unical's corporate designee was noticed for September 27, 2012. Despite not obtaining a protective order, Unical failed to appear. ~ Not only is Unical in violation of Pennsylvania Rule of Civil Procedure 4013, which provides that the filing of a motion for a protective order shall not stay the deposition, but Unical brought this action in Cumberland County and it should be required to produce its corporate designee for one deposition in this venue. See Dettinger v. Fry Communications, Inc., 49 Pa. D. & C.3d 106 (C.P. Cumberland 1988) (indicating a preference that depositions in suits filed in Cumberland County be held in Cumberland County); see also Biotest Laboratories. LLC v. Rite Aid Corp., No. U7-6783 (C.P. Cumberland, May 21, 2009) (order denying out-of--state plaintiff's motion for a protective order and requiring plaintiff to produce its corporate designee from Colorado to Pennsylvania for ' iJnical initially filed a motion for a protective order on or about September 17, 2012. t~Jnical filled an amended motion for a protective order on or about October 3, 2012. deposition), Moreover, Unical has provided no cause for the issuance of a protective order, especially when the roundtrip cost for a flight is less than the cost of several hours of videoconferencing. Rite Aid, by and through its iuidersigned counsel, specifically responds to Unical's Amended Motion for Protective Order as follows and cross-moves to compel the deposition of the corporate designee of Unical Enterprises, Inc., for the reasons set forth below: 1. The deposition notices were dated August 22, 2012, and mailed August 22, 2012. By way of further response, prior to the service of deposition. notices, counsel for Rite Aid contacted counsel for Unical requesting dates when Unical and its counsel would be available for the A copy of this order is attached hereto as Exhibit A. -2- deposition. At no time prior to the noticing of the deposition did Unical object to the location of the deposition. 10. Denies as stated. Attorney for Unical, Jennifer L. Tis, contacted counsel for Rite Aid, Tucker R Hull, by email on September 3, 2012. Moreover, in her email Ms. Tis stated only that Mr. Cotoggio and Mr. Liu, Unical's corporate designee, reside "out of state.'' Ms. Tis did not indicate that both witnesses reside in California. A copy of Ms. Tis' email correspondence is attached hereto as Exhibit B. Mr. Hull, responded by email on September 4, 2012, denying the request to hold the deposition via video conference and highlighting the difficulty of handling exhibits during a deposition taken by video conference. A copy of Mr. Hull's response email is attached hereto as Exhibit C. Additionally, at no time until the filing of its first Motion for a Protective Order ("Original Motion for Protective Order") did Unical ever indicate that Mr. Cotoggio was no longer employed by Unical, nor did Unical communicate with Rite Aid in any way regarding the deposition. Prior to the date on which the deposition was scheduled, counsel for Rite Aid notified counsel for Unical that Pennsylvania Rule of Civil Procedure 4013 states that '`the filing of a motion for protective order shall not stay the deposition, production, entry on land or other discovery to which the motion is directed unless the court shall so order." See email from "Tucker R. Hull to Jennifer L. Tis, dated September 25, 2012, a copy of ~~hich is attached hereto as Exhibit D. Unical still failed to produce a witness. See email from Jennifer L. Tis to Tucker R. Hull, dated September 26, 2012, a copy of which is attached hereto as Exhibit E. On October 3, 2012, Unical filed the Amended Motion for Protective Order, the ~~~otion to which this response is directed. The timended Motion for Protective Order is in substantially the same form as the Original Motion for Protective Order. 1 1. Unical omitted a Paragraph 11, and, therefore, no response is required. -3- 12. Rite Aid admits only that this paragraph contains an accurate recitation of Pennsylvania Rule of Civil Procedure 4012(a)(2) and (3). 13. Admits with clarification. Rite Aid admits only that Unical has tiled a motion for a protective order but denies that the filing of a motion for a protective order relieves Unical of its duty to produce a witness. Unical has refused to follow Pennsylvania Rule of Civil Procedure 4013. which expressly states that the filing of a motion for a protective order does not stay a deposition. ,See Pa. R.C.P. 4013. Rule 4013 was amended specifically for the purpose of preventing this type of dilatory behavior. See Comment to Pa. R.C.P. 4013 (`''The automatic stay under former Rule 4(113 presented the possibility of misuse...The amendment therefore abolishes all automatic stay and adopts the federal practice requiring a stay order in all cases.") Rule 4013 imposes the burden on Unical to seek emergency or expedited relief if it seeks to avoid the deposition. See id. Unical was served with the deposition notice on August ?2, 2012, yet waited weeks to file its original IVlotion for a Protective Order, and at no time sought emergency or expedited relief. 14. Denies. This Paragraph states a conclusion of law to which no response is required. By way of further response.. Rite Aid would be prejudiced if not permitted to take the in-person deposition of Unical's corporate designee in Pennsylvania, the forum in which Unical chose to litigate. Rite Aid would be prejudiced by not having the ability to personally interact with the witness and would be prejudiced by having to overcome the difficulties of conducting a document intensive deposition via video conference. This deposition will be document intensive because one of Unical's primary defenses is that certain signatures on contracts with Rite Aid are not authentic and were not authorized by Unical. See Plaintiff's Reply to New Matter, Answer To Counterclaim and New Matter to Counterclaim, ¶~ 24, 25, 26, 27, 2$, 29, 46, 47, 68, 69, 70, -4- 71, 72; see also Plaintiff's Objections and Responses to Defendant's First Set of Request for Admission., Interrogatories and Requests for Production of Documents, ¶¶ 4, 8, 9, 10.. ?6.~ It would cause significant prejudice to Rite Aid if it is not permitted to interact directly with Unical representatives regarding the authenticity of signatures on documents. Additionally, although Unical suggests the deposition be taken via video conference, aone-day video conference is significantly more expensive than round trip airfare to Pennsylvania.4 In fact, flights between Los Angeles, California, and Harrisburg, Pennsylvania are available at a cost that is less than the cost for only two hours of video conferencing. See Exhibit G. A full day of video conferencing costs approximately $2,800, whereas the cost of roundtrip airfare for Unical to produce its corporate designee in Pennsylvania can easily be purchased for well under $600. ,See id. Numerous flights are even available for $312 or less. See Exhibit H. 15. Denies. This Paragraph states a conclusion of law to which no response is required. By way of further response, Pennsylvania Rule of Civil Procedure 4012 does not require the Court to grant a protective order in the circumstances presented in this case. To the contrary, Pennsylvania Rule of Civil Procedure 4008 clearly indicates a preference for a deposition to occur within one-hundred miles of the courthouse where the suit is pending. See Pa. R.C.P. 4008. Furthermore, although this Court has not promulgated a local rule. of court requiring depositions to occur in this County, see Berks County Rule of Judicial Administration A copy of Plaintiff s Objections and Responses to Defendant's First Set of Requests for Admissions, Interrogatories and Requests for Production of Documents is attached hereto as Exhibit F. a Undersigned counsel certifies that Pepper Hamilton LLP pays between $350 and $400 pe~~ hnur for video conferencing. Round-trip airfare between Los Angeles, CA, and Harrisburg, PA, however, was readily available at only $600 when priced on September 24, 2012. A printout of the cost of flights leaving Los Angeles on the afternoon of Wednesday, September 26, 201:?, and returning on Friday morning, September 28, 2012, is attached hereto as Exhibit G. Undersigned counsel priced flights again for the week of October 29, 2012, and found that round-trip flights between Los Angeles, CA, and Harrisburg, PA, are available for as little as $309. A print out of the costs of flights leaving Monday, October 29, 2012, and returning Wednesday, October 31, 20 l2, is attached hereto as Exhibit H. -5- 4008 and Montgomery County Local Rule of Court 4012(c), in Dettinger v. Fry Communications, Inc., 49 Pa. D. & C.3d 106 (C.P. Cumberland 1988), this Court granted a protective order where the deposition of a party was to occur outside Cumberland County. Additionally, as recently as 2009, Judge Oler, Jr., of this honorable Court denied a. Colorado plaintiff s motion for a protective order and required the out-of--state plaintiff to produce its corporate designee in Pennsylvania for deposition. See Exhibit A. 16. Defendant admits that the Honorable Kevin A. Hess previously entered an order in this case on an unrelated motion. Unical does not owe any amount to Defendant. 21, Pursuant to the Rite Aid Returns Agreement, Section A titled "Unsaleable Merchandise," the Agreement pertains only to unsaleable merchandise and not to unsold merchandise. 22. RETURN OF NEW MERCHANDISE Unical wilt not accept the return of rlew merchandise sold to the consumer and returned to the retail store as part of a SATISFACTION GUARANTEED policy. When an Account accepts a return! of UnicaPs product from the consumer, the Account should determine whether the product is in fact, a true defective and still under warranty. When the Account wishes to return the products to Unical, the Account must fax a Request for Return Authorization (RA} to Unical's Credit Department at 1-&26-965-2509 for approval. The request must contain the following information as attached in order to avoid any delay in processing. Unical will process the request form and fax the approval back to the Account. The RA form must be used as the packing slip for merchandise being returned. Only the merchandise approved for return to Unical is allowed to be returned with the approved RA. If there is any deviation from the approved merchandise and the actual merchandise returned, the Account will be assessed a 1 % handling fee for the entire return. In addition, Unical reserves the right to segregate any unauthorized merchandise returned, and return it to the Account freigh4 collect. The Account should not debit Unical upon receipt of the Authorization, or shipment of return goods. The Account will receive a credit note from Unical that will detail all of the returns received. Any and all variances or other unauthorized deductions are not permitted. Should the Account deduct more than the authorized (credited} amount, the Account will be charged for the variance in the form of a chargeback. FOR ACCOUNTS WITH BLANKEt RETURN AUTHORIZATION Accounts must fax to Unical a copy of the list of products being returned. Accounts must make sure that the products listed are as accurate as possible. If out of warranty products are returned, no credit will be given. REFUND OF RETURNS CREDITS ON ACCOUNT No refund checks will be Issued for credits g/ven o» returns. All credits are to be offset with open invoices or future orders. FACTUAL BACKGROUND AND PROCEDURAL HISTORY The present case arises out of a breach of contract for failure to pay for goods sold to Defendant pursuant to a commercial credit account. Plaintiff initiated the instant action by filing a Complaint with the Court of Common Pleas of Cumberland County on June 30, 2011. On September 4, 2012, counsel for Defendant responded with an email denying said request. On September 17, 2012, Plaintiff filed and served upon Defendant a Motion for Protective Order. On October 3, 2012, Plaintiff filed an Amended Motion for Protective Order pursuant to which this Honorable Court issued a Rule to Show Cause upon Defendant dated October 18, 2012. Defendant filed the Response to Plaintiff's Motion for Protective Order and Cross-Motion to Compel and Plaintiff files the instant brief in response. ARGUMENT Defendant cites Pennsylvania Rule of Civil Procedure 4013 in support of its Motion to Compel Depositions. While Pa.R.C.P. 4013 states that the filing of a motion for a protective order shall not stay a deposition, it is also leaves it to the discretion of the Court to stay any and all proceedings in the action until disposition of the motion. Pa.R.C.P. 4013. In the instant matter, pursuant to Plaintiff's Motion for Protective Order, this Honorable Court issued a Rule to Show Cause why the relief requested ought not to be granted instructing Defendant to file a response within twenty (20) days. The Rule to Show Cause did not specifically state that the activity Plaintiff was seeking to prevent would take place in the interim. Additionally, Defendant cites the Explanatory Comment for Pa.R.C.P. 4013 in further support of its cross-motion. The Explanatory Comment, however, explains that the Rule was amended to no longer provide for an automatic stay to proceedings as it presented the possibility of misuse. Explanatory Comment to Pa.R.C.P. 4013. The Comment goes on to give an example of the misuse that it seeks to avoid which involves a notice of emergency deposition of an elderly or gravely ill witness to which the opposing party files a motion for protective order. Should the witness pass away, it would result in the possibility of depriving the party requesting the deposition of ever receiving that substantive evidence. Id. It is also integral to the Comment that the party filing the Motion for Protective Order does so in bad faith (i.e. to produce the very result described above). Such is not the case in the instant matter. The individual who Defendant seeks to depose, Frank Liu, is in good health and presents no reason to believe that he will pass away in the near future. Plaintiff did not file its Motion for Protective Order in bad faith but, rather, to spare its witness unreasonable annoyance, oppression, burden or expense. Additionally, Defendant's request for deposition was not an "emergency" request as identified in the Comment to Rule 4013. Lastly, Pa.R.C.P. 4012 provides that "If the motion for a protective order is denied in whole or in part, the court may, on such terms and conditions as are just, order that any party or person provide or permit discovery." Pa.R.C.P. 4012. Accordingly, should this Honorable Court deny Plaintiff's Motion for Protective Order, the Court may subsequently order that the depositions take place as requested by Defendant. WHEREFORE the Pennsylvania Rules of Civil Procedure do not prohibit the delay of discovery while a motion for protective order is pending and while the instant matter is wholly distinguishable from the rationale out of which amendment to Pa.R.C.P. 4013 arose, this Court should deny Defendant's Motion to Compel and allow litigation to proceed accordingly after resolution of Plaintiff's Motion for Protective Order.
