COMPLAINT
1. Plaintiff Commerce Bank/Harrisburg, National Association is a national banking
association, with an office at 100 Senate Avenue, Camp Hill, Pennsylvania 17001.
2. Defendant Calabrese & Sons, Inc. is a Pennsylvania corporation, whose address is:
406 Brandy Lane, Mechanicsburg, Pennsylvania 17055.
3. On or about January 28, 1999, Defendant, for good and valuable consideration,
executed and delivered a Promissory Note (the "Note") to Plaintiffs predecessor. A true and
correct copy of said Note is attached hereto, made a part hereof and marked Exhibit "A".
4. The Note referred to in Paragraph 3 above has not been assigned by Plaintiff to any
person or organization.
5. Judgment has not been entered on the Note referred to in Paragraph 3 above in
any jurisdiction.
6. The Note provides that Plaintiff may confess judgment against Defendant after a
default for the entire principal balance of the Note, together with interest and court costs and ten
percent (10%) for attorneys' fees.
7. The Note is in default, among other things, by reason of the failure of Defendant to
make the payment(s) due under the Note.
8. The amount due on the Note as of August 12, 2004, ;s $433,472.25, of which $430,000 is
principal and $3,472.25 is interest. Ten percent (10%) of the foregoing is $43,347.22.

9. This confession of judgment is not being filed against a natural person in regards to a
consumer credit transaction.
WHEREFORE, Plaintiff demands judgment against Defendant in the sum of $476,819.47,
together with interest as may hereafter accrue and costs of suit.

PROMISE TO PAY. Calabrese & Sons, Inc. ("Borrower") promises to pay to Commerce Bank/Harrisburg, National Association ("Lender"), c
order, In lawful money of the United Stales 01 Amerlca. the principal amount 01 Five Hundred Thousand & 001100 Dollars ($500,000.00) or S(
much as may be outstanding, together with Interest on the unpaid outstanding principal balance of each advance. Interest shall be calculated
from the dale of each advance unUl repayment of each advance.
PA YMENT. Borrower will pay this loan on demand, or If no demand Is made, In one payment of all outstanding principal plus all accruec
unpaid Interest on January 28, 2000. In addition, Borrower will pay regular monthly payments of accrued unpaid Inlerest beginning February
28, 1999, and all subsequent Interest payments are due on the same day of each month after thaI. The annual interest rate for this Note is
computed on a 365/360 basis; thai is, by applying tile ratio of the annual inlerest rate over a year of 360 days, multiplied by the outstanding prlncipal
balance, multiplied by the actual number of days the principal balance is outstanding. Borrower will pay lender at lender's address shown above or at
such other place as Lender may designate in writing. Unless otherwise agreed or required by applicable law, payments will be applied first 10 accrued
unpaid inlerest, then to principal, and any remaining amount to any unpaid collection costs and late charges.
VARIABLE INTEREST RATE. The interest rate on this Note is subject to change from time to time based on changes In an independent index which
is the The highest prime rate published in the Wall Street Journal and in effect as of the first day of each billing cycle prior to the rate change date (the
"Index"). The Index is not necessarily Ihe lowest rate charged by lender on its loans. If the Index becomes unavailable during the term of this loan,
lender may deslgnale a substitute index after notice to Borrower. Lender will tell Borrower the current Index rate upon Borrower's request. Borrower
understands that Lender may make loans based on other rates as well. The interest rate change will not occur more often than each day. The Index
currently Is 7.750% per annum. The Interest rale to be applied to the unpaid principal balance of Ihls Note will be al a rate equal to the Index,
resulting In an Initial rate of 7.750% per annum. NOTICE: Under no circumstances will the interest rate on this Note be more than the maximum rate
allowed by applicable law.
PAEPA YMENT. Borrower may pay aU or a portion of the amount owed earlier than it is due. Early payments will not, unless agreed to by Lender in
writing, relieve Borrower of Borrower's obligation to conlinue to make payments of accrued unpaid interest. Rather, they will reduce the principal
balance due. ~
lATE CHARGE. If a payment is 15 days or more lale, Borrower will be charged 5.000% of the regularly scheduled payment.
DEFAULT. Borrower will be in default if any of the following happens: (a) Borrower fails to make any payment when due. (b) Borrower breaks any C
promise Borrower has made to Lender, or Borrower fails to comply with or to perform when due any other term, obligation, covenant, or condition
contained in this Note or any agreement related 10 this Nole, or in any other agreement or loan Borrower has with Lender. (c) Borrower defaulls under
any loan, extension of credit, security agreement, purchase or sates agreement, or any other agreement, In favor of any other creditor or person that
may materially affect any of Borrower's property or Borrower's abilily to repay Ihis Nole or perform Borrower's obligations under this Note or any of the
Related Documenls. (d) Any representation or statemenl made or furnished 10 Lender by Borrower or on Borrower's behalf is false or misleading In any
material respect either now or at the lime made or furnished. (e) Borrower becomes insolvent, a receiver is appointed for any part of Borrower's
property, Borrower makes an assignment for ttle benem of credilors, or any proceeding is commenced either by Borrower or against Borrower under
any bankruplcy or insolvency laws. (I) Any credilor lries to take any of Borrower's property on or In which Lender has a lien or security inlerest. This
Includes a garnishment of any of Borrower's accounts witll Lender. (g) Any guarantor dies or any of the other events described in this default section
occurs with respect to any guarantor of this Note. (h) A material adverse change occurs In Borrower's financial condition, or Lender believes the
prospect of payment or performance of tile Indebtedness is impaired. (i) Failure 10 meet the deadlines required in the Year 2000 ComplIance
Agreement to be Year 2000 Complianl or a reasonabte likelihood that Borrower cannol be Year 2000 Complianl on or before December 31, 1999. (j)

If any default, other than a defnull ill payrllcnl, is curable and if Borrower has nollJeen given a notice of a breach of the same provision of this Nole
wilhin the preceding twelve (12) fIlonths, it 1l1ay bo cured (and no event of defaull wHl have occurred) if Borrower, after receiving written notice from
Lender demanding cure of such default: (a) cures ttle default within ten (10) days; or (b) if the cure requires more than ten (10) days, immedialely

LENDER'S RIGHTS. Upon default, lender may, after giving such notices as required by applicable law, declare the entire unpaid principat balance on
this Note and all accrued unpaid interest immediately due, and then Borrower will pay thai amount. Upon default, including tailure to pay upon final
maturity, lender, at its option, may also, if permitted under applicable law, increase the variable interest rate on this Note 10 2.000 percentage points
over Ihe Index. The Interest rate will not exceed Ihe maximum rate permitted by applicable law. Lender may hire or pay someone else to help collect
this Note if Borrower does not pay. Borrower also will pay lender tllat amount. Tllis includes, subject to any limits under applicable law, lender's
atlorneys' fees and lender's legal expenses whether or flottllero is a lawsuit, including allorneys' foes and legal expenses for bankruptcy proceedings
(including efforts to modify or vacate any automatic stay or injunclion), appeals, and any anticipated post-Judgment collection services. If not
prohibited by applicable law, Borrower also will pay any court cas Is, in addilion 10 all other sums provided by law. " judgment is entered in conneclion
with this Note, inlerest will continue to accrue on tllis Note after judgment at the interest rale applicable to this Note at the time jUdgment is entered.
This Note has been delivered to lender and accepled by lender in the Commonwealth of Pennsylvania. If there Is a lawsuit, Borrower agrees
upon Lender's request to submit to the lurlsdlcllon of the courts of Cumberland County, the Commonwealth at Pennsylvania. Lender and
Borrower hereby waive the right to any Jury trial In any action, proceeding, or counterclaim brought by either lender or Borrower against the
olher. This Note shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.
DISHONORED ITEM FEE. Borrower wilt pay a fee to Lender of $10.00 if Borrower makes a payment on Borrower's loan and the check or
preauthorlzed charge with which Borrower pays is later dishonored.
RIGHT OF SETOFF. Borrower grants to lender a contractual security interest in, and hereby assigns, conveys, delivers, pledges, and Iranslers 10
lender an Borrower's right, Iitle and interest in and 10, Borrower's accounts wilh Lender (whether checking, savings, or some other account), including
without limllation all accounts held joinlly with someone else and all accounts Borrower may open in the future, excluding however all IRA and Keogh
accounts, and all trust accounts for which the grant of a security inlerest would be prohIbited by law, Borrower authorizes Lender, to the extent
permitted by applicable law, to charge or setoff all sums owing on this Note against any and all such accounts,
COLLATERAl. This Note is secured by three (3) Commerce Bank CD's in the amount no less than $299,852.00 pledged by Virginia L. Calabrese,
these three (3) CO's wilt secure funds up to $299,852.00, additional CO's will need to be pledged to secure advances up to $500,000.00; a Personal
Guarantee of Virginia L. Calabrese,
LINE OF CREDIT. This Note evidences a revolving line of credit. Advances under this Note may be requested orally by Borrower or by an authorized
person. lender may, bul need not, require thai aU oral requesls be confirmed in writing. AU communications, instructions, or directions by telephone or
otherwise to lender are to be directed to Lender's office shown above. The following party or parties are authorized to request advances under the line
of credit until Lender receives from Borrower at lender'S address shown above written notice of revocation of their authority: Michael Calabrese, Jr.,
President. Borrower agrees 10 be liable for all sums either: (a) advanced In accordance with the instructions of an authorized person or (b) crediled
10 any of Borrower's accounts with lender. The unpaid principal balance owing on this Note at any lime may be evidenced by endorsements on Ihis
Note or by lender's internal records, including daily computer print.outs. Lender will have no obligation to advance funds under Ihis Note if: (a)
Borrower or any guarantor is in delault under tile terms of this Note or any agreement that Borrower or any guarantor has with Lender, including any
agreemenl made in connection with tbe signing of this Nole; (b) Borrower or any guarantor ceases doing business or is Insolvent; (c) any guarantor
seeks, claims or otherwise attempls to limit, modify or revoke such guarantor's guarantee of thIs Note or any other loan with lender; (d) Borrower has
applied funds provided pursuant to this Note for purposes other than those authorized by Lender; or (e) Lender in good faith deems ilself Insecure
under Ihis Note or any other agreement belween lender and Borrower,
ANNUAL PAYOUT PERIOD. Borrower shall be required to reduce the outstanding principal balance under this Line of Credit to zero for a thirty (30)
conseculive day period during each year of the Une of Credit.
