Plaintiff Commerce Bank/Harrisburg, National Association is a national banking association, with an office at 100 Senate Avenue, Camp Hill, Pennsylvania 17001. 2. Defendant Calabrese & Sons, Inc. is a Pennsylvania corporation, whose address is: 406 Brandy Lane, Mechanicsburg, Pennsylvania 17055. 3. On or about April 1, 1999, Defendant, for good and valuable consideration, executed and delivered a Promissory Note (the "Note") to Plaintiff's predecessor. A true and correct copy of said Note is attached hereto, made a part hereof and marked Exhibit "A". 4. The Note referred to in Paragraph 3 above has not been assigned by Plaintiff to any person or organization. 5. Judgment has not been entered on the Note referred to in Paragraph 3 above in any jurisdiction. 6. The Note provides that Plaintiff may confess judgment against Defendant after a default for the entire principal balance of the Note, together with interest and court costs and ten percent (10%) for attorneys' fees. 7. The Note is in default, among other things, by reason of the failure of Defendant to make the payment(s) due under the Note. Lender will tell Borrower the current Index rate upon Borrower's raquest. Borrower understands that lender may make loans based on olller rates as well. The Interest rate change will not occur more often than each day. The Index currently Is 7.750% per annum. The Interest rate to be applied to the unpaId principal balance of this Note will be at a rate equal to the Index, resulting In an Initial rate of 7.750% per annum. NOTICE: Under no circumstances will the interest rate on this Note be more than the maximum rate ~ allowed by applicable law. (0- PREPA YMENT. Borrower may pay all or a portion of the amount owed earlier than it is due. Early payments will not, unless agreed to by Lender in writing, relieve Borrower of Borrower's obligation to continue to make payments of accrued unpaid Interest. Rather, they will reduce the principal balance due. LATE CHARGE. If a payment is 15 days or more late, Borrower will be charged 5.000% of the regularly scheduled payment. lJ- DEFAULT. Borrower will be in default it any of the following happens: (a) Borrower fails to make any payment when due. (b) Borrower breaks any promise Borrower has made to Lender, or Borrower fails to comply with or to pertorm when due any other term, obligation, covenant, or condition contained in this Note or any agreement related to this Note, or in any other agreement or loan Borrower has with Lender. (c) Borrower defaults under any loan, extension of credit, security agroement. purchase or sales agreement, or any other agreement, in favor of any other creditor or person that may materially aNect any at Borrower's property or Borrower's ability to repay this Note or perform Borrower's obligations under this Note or any of the Aelated Documents. (d) Any representation or slatement made or furnished to Lender by Borrower or on Borrower's behalf is false or misleading in any material respect either now or at the lime made or furnished. (ej Borrower becomes insolvent, a receiver is appointed for any part of Borrower's property, Borrower makes an assignment for the benefit 01 creditors, or any proceeding is commenced eilher by Borrower or against Borrower under any bankruptcy or insolvency laws. If any defaull, other than a default in payment, is curable and if Borrower has not been given a notice of a breach of the same provision of this Note within the preceding twelve (12) months, it may be cured (and no event of default will have occurred) if Borrower, after receiving written notice from Lender demanding cure of such default (a) cures the default within len (10) days; or (b) if the cure requires more than ten (10) days, immediately initiates steps which Lender deems in lender's sole discretion to be sufficient to Cure the default and thereafter continues and completes all reasonable and necessary sleps sufficient to produce compliance as soon as reasonably practical. lENDER'S RIGHTS. Upon default, Lender may, alter giving such notices as required by applicable law, declare the entire unpaid principal balance on this Nole and all accrued unpaid interest imrnedialely due, and then Borrower will pay that amount. Upon detaull, including lailure to pay upon tinal maturity, Lender, at its option, may also, if permitted under applicable law, increase the variable interest rate on this Note to 2.000 percentage points over the Index. The interest rate will not exceed the maximum rale permitted by applicable law. Lender may hire or pay someone else to help collect this Note it Borrower does not pay. Borrower also will pay lender that amount. This includes, subject to any limits under applicable law, Lender's attorneys' fees and Lender's legal expenses whether or not there is a lawsuit, including attorneys' fees and legal expenses for bankruptcy proceedings (including eHorts to modify or vacate any automatic stay or injunction), appeals, and any anticipated post-judgmenl collection services. This Note evIdences a revolving line 01 credit. Advances under this Nole may be requested orally by Borrower or by an authorized person. Lender may, but need not, require that all oral requests be confirmed in writing. All communications, instructions, or directions by telephone or otherwise to Lender are to be directed to lender's office shown above. The following party or parties are authorized to request advances under the line at credit until Lender receives from Borrower at Lender's address shown above written notice of revocation of their authorlly: Joseph Calabrese, CEO. Borrower agrees to be liable for all sums eittler: (a) advanced in accordance with the instructions of an authorized person or (b) credited to any of Borrower's accounts wilh Lender. ANNUAL PAYOUT PERIOD.
