COMPLAINT
1. Plaintiff Commerce Bank/Harrisburg, National Association is a national banking
association, with an office at 100 Senate Avenue, Camp Hill, Pennsylvania 17001.
2. Defendant Calabrese & Sons, Inc. is a Pennsylvania corporation, whose address is:
406 Brandy Lane, Mechanicsburg, Pennsylvania 17055.
3. On or about April 1, 1999, Defendant, for good and valuable consideration,
executed and delivered a Promissory Note (the "Note") to Plaintiff's predecessor. A true and
correct copy of said Note is attached hereto, made a part hereof and marked Exhibit "A".
4. The Note referred to in Paragraph 3 above has not been assigned by Plaintiff to any
person or organization.
5. Judgment has not been entered on the Note referred to in Paragraph 3 above in
any jurisdiction.
6. The Note provides that Plaintiff may confess judgment against Defendant after a
default for the entire principal balance of the Note, together with interest and court costs and ten
percent (10%) for attorneys' fees.
7. The Note is in default, among other things, by reason of the failure of Defendant to
make the payment(s) due under the Note.

8. The amount due on the Note as of August 12, 2004, is $100,753.66, of which $100,000;s
principal and $753.66 is interest. Ten percent (10%) of the foregoing is $10,075.36.
9. This confession of judgment is not being filed against a natural person in regards to a
consumer credit transaction.
WHEREFORE, Plaintiff demands judgment against Defendant in the sum of $110,829.02,
together with interest as may hereafter accrue and costs of suit.

PROMISE TO PAY. Calabrese & Sons. Inc. ("Borrower") promises to pay to Commerce Bank/Harrisburg, National Assoclallon ("Lender"), or:
order, In lawful money ot the United States of America, the principal amount of One Hundred Thou.and & 00/100 Dollars ($100,000.00) or so 1
much as may be outstanding, together with Inlerest on the unpaid outstanding principal balance ot each advance. Interest shall be calculated .
from the date ot each advance until repayment of each advance. ~

PAYMENT. Borrower will pay this loan on demand, or If no demand Is made, In one payment of all outstanding principal plus all accrued r
unpaid Interest on April 1, 2000. In addillon, Borrower will pay regular monthly payments ot accrued unpaid Interesl beginning May 1, 1999, l
and all subsequenllnterest payments are due on the same day of each month after Ihat. The annual Interest rate for this Note is computed on a T
365/360 basis; that is, by applying the ratio of the annual interest rate over a year of 360 days, multiplied by the outstanding principal balance,
multiplied by the actual number of days the principal balance is outstanding. Borrower will pay Lender at lender's address shown above or at such
other place as lender may designate in writing. Unless otherwise agreed or required by applicable law, payments will be applied first to accrued ,
unpaid interest, then to principal, and any remaining amount to any unpaid collection costs and late charges. ~
VARIABLE INTEREST RATE. The interest rate on this Note is subject to change from time to time based on changes in an independent index which ~
is the The highest prime rate published in the Wall Street Journal and in effect as of the first day of each billing cycle prior to the rate change date (the
"Index"). The Index is not necessarily the lowest rato charged by lender on its 1011ns. If 1119 Index becomes unavailable during the term of IIlis loan,
Lender may designale a substitute index after nolice to Borrower. Lender will tell Borrower the current Index rate upon Borrower's raquest. Borrower
understands that lender may make loans based on olller rates as well. The Interest rate change will not occur more often than each day. The Index
currently Is 7.750% per annum. The Interest rate to be applied to the unpaId principal balance of this Note will be at a rate equal to the Index,
resulting In an Initial rate of 7.750% per annum. NOTICE: Under no circumstances will the interest rate on this Note be more than the maximum rate ~
allowed by applicable law. (0-
PREPA YMENT. Borrower may pay all or a portion of the amount owed earlier than it is due. Early payments will not, unless agreed to by Lender in
writing, relieve Borrower of Borrower's obligation to continue to make payments of accrued unpaid Interest. Rather, they will reduce the principal
balance due.
LATE CHARGE. If a payment is 15 days or more late, Borrower will be charged 5.000% of the regularly scheduled payment.

DEFAULT. Borrower will be in default it any of the following happens: (a) Borrower fails to make any payment when due. (b) Borrower breaks any
promise Borrower has made to Lender, or Borrower fails to comply with or to pertorm when due any other term, obligation, covenant, or condition
contained in this Note or any agreement related to this Note, or in any other agreement or loan Borrower has with Lender. (c) Borrower defaults under
any loan, extension of credit, security agroement. purchase or sales agreement, or any other agreement, in favor of any other creditor or person that
may materially aNect any at Borrower's property or Borrower's ability to repay this Note or perform Borrower's obligations under this Note or any of the
Aelated Documents. (d) Any representation or slatement made or furnished to Lender by Borrower or on Borrower's behalf is false or misleading in any
material respect either now or at the lime made or furnished. (ej Borrower becomes insolvent, a receiver is appointed for any part of Borrower's
property, Borrower makes an assignment for the benefit 01 creditors, or any proceeding is commenced eilher by Borrower or against Borrower under
any bankruptcy or insolvency laws. (I) Any creditor tries to take any at Borrower's property on or in which Lender has a lien or security interest. This
includes a garnishment of any of Borrower's accounts with lender. (g) Any guarantor dies or any of the other eVents described in this default section
occurs with respect to any guarantor 01 this Note. (h) A material adverse change occurs in Borrower's financial condition, or Lender believes the
prospect of payment or performance of the Indebtedness is impaired. (i) Failure to meet the deadlines required in the Year 2000 Compliance
Agreement to be Year 2000 Compliant or a reasonable likelihood that Borrower cannot be Year 2000 Compliant on or before December 31,1999. (j)
Lender in good faith deems itself insecure.
If any defaull, other than a default in payment, is curable and if Borrower has not been given a notice of a breach of the same provision of this Note
within the preceding twelve (12) months, it may be cured (and no event of default will have occurred) if Borrower, after receiving written notice from
Lender demanding cure of such default (a) cures the default within len (10) days; or (b) if the cure requires more than ten (10) days, immediately
initiates steps which Lender deems in lender's sole discretion to be sufficient to Cure the default and thereafter continues and completes all reasonable
and necessary sleps sufficient to produce compliance as soon as reasonably practical.
lENDER'S RIGHTS. Upon default, Lender may, alter giving such notices as required by applicable law, declare the entire unpaid principal balance on
this Nole and all accrued unpaid interest imrnedialely due, and then Borrower will pay that amount. Upon detaull, including lailure to pay upon tinal
maturity, Lender, at its option, may also, if permitted under applicable law, increase the variable interest rate on this Note to 2.000 percentage points
over the Index. The interest rate will not exceed the maximum rale permitted by applicable law. Lender may hire or pay someone else to help collect
this Note it Borrower does not pay. Borrower also will pay lender that amount. This includes, subject to any limits under applicable law, Lender's
attorneys' fees and Lender's legal expenses whether or not there is a lawsuit, including attorneys' fees and legal expenses for bankruptcy proceedings
(including eHorts to modify or vacate any automatic stay or injunction), appeals, and any anticipated post-judgmenl collection services. If not
prohibited by applicable law, Borrower also will pay any court costs, in addition to all other sums provided by law. If judgment Is enlered In connection
with this Note, interest will conlinu8 to accrue on this Nole ofter Judgment at the Interost rate applicable to this Note at the time judgment is entered.
ThIs Note has been delivered 10 Lender and accepted by Lender In the Commonweallh of Pennsylvania. It 'here 1s a lawsun, Borrower agrees
upon Lender's request to submit to the lurlsdlctlon of the courts of Cumberland County, the Commonweallh of Pennsylvania. lender and
Borrower hereby waive the right to any lury Irlallo any action, proceeding, or counterclaim brought by either Lender or Borrower agalnsllhe
other. This Note shall be governed by and construed In accordance with Ihe laws of the Commonwealth of Pennsylvania.
OISHONORED ITEM FEE. Borrower will pay a fee to lender of $10.00 if Borrower makes a payment on Borrower's loan and the check or
preauthorized charge with which Borrower pays is later dishonored.
RIGHT OF SETOFF. Borrower grants to Lender a contractual security interest in, and hereby assigns, conveys, dellvers, pledges, and transfers to
Lender all Borrower's right, title and interest in and 10. Borrower's accounts with Lender (whether checking, savings, or some other account), including
without limitation all accounts held jointly with someone else and all accounts Borrower may open in the future, excluding however all IRA and Keogh
accounts, and all trust accounts for which the grant of a security interest would be prohibited by law. Borrower authorizes Lender, to the extent
permitted by applicable law, to charge or setoff all sums owing on this Note against any and all such accounts.
COLLATERAL. This Note is secured by a Commerce Bank CD In tho amount 01 no less than $100,000.00 pledged by Virgina L. Calabrese; Personal
Guarantee 01 Virginia L. Calabrese.
LINE OF CREDIT. This Note evIdences a revolving line 01 credit. Advances under this Nole may be requested orally by Borrower or by an authorized
person. Lender may, but need not, require that all oral requests be confirmed in writing. All communications, instructions, or directions by telephone or
otherwise to Lender are to be directed to lender's office shown above. The following party or parties are authorized to request advances under the line
at credit until Lender receives from Borrower at Lender's address shown above written notice of revocation of their authorlly: Joseph Calabrese, CEO.
Borrower agrees to be liable for all sums eittler: (a) advanced in accordance with the instructions of an authorized person or (b) credited to any of
Borrower's accounts wilh Lender. The unpaid principal balance owing on this Note at any time may be evidenced by endorsements on this Note or by
lender's internal records, including daily computer print-outs. Lender will have no obligation to advance funds under this Note if: (a) Borrower or any
guarantor is in default under the terms of this Nole or any agreement that Borrower or any guarantor has with Lender, Including any agreement made in
connection with the signing of this Note; (b) Borrower or any guarantor ceases doing business or is insolvent; (c) any guarantor seeks, clalms or
otherwise attempts 10 limit, modify or revoke such guarantor's guarantee of this Note or any other loan with Lender; (d) Borrower has applied funds
provided pursuant to this Note for purposes other than IIlose authorized by Lender; or (e) Lender in good faith deems itself insecure under this Note or
any other agreement between lender and Borrower.
ANNUAL PAYOUT PERIOD. Borrower shall be required to reduce the outstanding principal balance under this Line oJ Credit to zero for a thirty (30)
consecutive day period during each year of the Une of Credit.
