FOR VALUE RECEIVED, the undersigned, PYRAMID REAL ESTATE
PARTNERSHIP, a General Partnership, of Enola, Pennsylvania, (hereinafter "Assignor"), does
hereby transfer, assign and set over unto MILLENIUM REAL ESTATE PARTNERS, LLC, a
Pennsylvania Limited Liability Company, of Hampden Township, Pennsylvania, (hereinafter
"Assignee"), all of the right, title and interest of the Assignor in those three Commercial Leases
listed on Exhibit "A" hereto. crT.. is the.

TO HAVE AND TO HOLD the same unto the Assignee, its successors and/or Assigns to
the date hereof, forward and including any extensions and renewals. This Assignment shall
continue in full force and effect until such time as such is modified in writing.
The Assignor covenants and warrants that the Leases are in full force and effect that the
Assignor is not in default or breach of the said Leases, and has no knowledge of any claims,
offsets or defenses of the Lessees under said Leases, nor any basis for asserting the same. The
parties hereby agree that the security deposits for the Leases have been transferred by Assignor to
Assignee at closing.
IN WITNESS WHEREOF, Pyramid Real Estate Partnership and Millemum Real Estate
Partners, LLC, have hereunto set their hand and seals on the day of
