As soon as BUYER obtains the necessary financing, he shall notify SELLERS, and provide written documentation from his lender, verifying that he has been approved for his financing. 3. SELLERS or BUYER shall have all remedies in law or in equity, should any default occur on the part of either party, including but not limited to the right to compel specific performance. In the event that any default occurs on the part of BUYER, other than for the specific reasons set forth herein, SELLERS shall also have the option of retaining the sum of One Thousand and 00/100ths (51,000.00) Dollars, which was paid by BUYER as a down payment, as liquidated damages, or to be applied on account towards the purchase price, or as monies to be applied towards the SELLERS' damages, as SELLERS may elect. 4. BUYER shall not assign, transfer, or otherwise contract away any of his rights or obligations under this Agreement, without the advance written consent of SELLERS, and any attempt by BUYER to do so shall make this Agreement null, void, and of no further effect, at the option of SELLERS. 5. BUYER expressly acknowledges hereby that he is purchasing the premises "AS IS", with no reliance whatsoever upon any representations by SELLERS, and in fact further acknowledge that the SELLERS have made no representations to him. The BUYER agrees that he has plenty of time, if he chooses, at his option, to conduct whatever physical inspections and testing, either he desires to do himself, or through professionals whom be may retain, to satisfy BUYER with regard to the structural aspects of auy buildings on the premises, inclmiing but not limited to plumbing, heating, roofing, electrical system, foundation, or for termites; with regard to the flow, quantity, quality, mineral content, or contamination of any water supplying the mmises; with regard to the adequacy and legality of any on-site septic system; and with regard .o a survey of the premises, to determine the boundaries, the area of the premises, whether any 2 improvements thereon such as the house, water system, driveway, any septic system, and anything else necessary to the use and enjoyment of the premises may encroach upon the premises of third parties, or to determine whether or not there are any encroachments by third parties on to the premises that are the subject of the within Agreement. Any inspections, testing, certifications or survey desired by the BUYER shall be at his option and sole expense, and shall be conducted so as not to delay closing. Should BUYER choose not to close this transaction based upon what he may discover, then this Agrcement shall then and thereafter be null, void, and of no further effect, and BUYER'S down payment shall be returned to him. In no event shall SELLERS be required to expend any monies to correct any alleged problem which such inspection, testing or survey may reveal, unless SELLERS choose to do so. SELLERS shall ,,complete and execute a Seller's Property Disclosure Statement, to be provided to BUYER simultaneously with the execution of the within Article of Agreement, which the BUYER shall acknowledge Receipt and Acceptance of, said Disclosure Statement which shall reflect all known defects which SELLERS are aware, which SELLERS acknowledge true and accurate, to the best of SELLERS' knowledge, information and belief. SELLERS acknowledge that BUYER is purchasing the property for use as his principal residence, and as such, shall have all rights at law attendant thereto. 6. SELLERS and BUYERS shall each pay their own attorney's fees and costs related to this transaction. SELLERS and BUYERS shall each pay for one-half (1 /2) of the fees for the preparation of the within Article of Agreement. 7. BUYER shall not record this Agreement, and any attempt on his part to do so shall make it null, void, and of no fiuther effect, uiiless SELLERS choose to enforce it. 8. To the extent that this paragraph is not inconsistent with any other provision of the Agreement, it shall be legally binding upon, and inure to the benefit of the parties hereto, and their respective heirs and assigns. 9. This Agreement shall be executed in original and two (2) duplicate copies, and all three instruments shall be treated as one and the same, and an original. 10. Upon the payment of the said sums above mentioned, and pursuant to the terms of he within Agreement between the parties, SELLERS will, at SELLERS' expense, make, execute end deliver to BUYER a Special Warranty Deed, conveying the property free and clear of all 3 liens and encumbrances that may effect the property. The SELLER, Randy L. Powell, is presently married, and his spouse, Melinda Jo Powell, shall join in the conveyance, for the sole purpose of granting and conveying any right, title and interest which she may have in and to the premises, by virtue of her marital status. Included in the sale of the property is certain personalty, including the stove, refrigerator, old freezer, television set, and window treatments. 11. TIME SHALL BE OF THE ESSENCE in regard to all provisions of the within Article of Agreement between the parties.
