Any income not disposed of under this paragraph by the Trustee within three months of the end of each fiscal year of the trust shall be added to principal. 3.2 Incapacity of Grantor. If Grantor becomes incapacitated {as n defined by paragraph 5.5), the substitute co-Trustees, subject to J O paragraph 5.5, while the substitute co-Trustees believe such in- capacity.•continues, shall assume the duties of Trustee and apply '`~ all or any part of the net income or principal of this trust for . - 4 - i the benefit of Grantor for her care, support and maintenance in such amount or amounts and in such manner as the substitute co-Trustees may determine. Any income not disposed of by the co-Trustees under this paragraph within three months of the end of each fiscal year of the trust may be added to principal. IV. UPON DEATH OF GRANTOR 4.1 Pent of Expenses and Taxes. On the death of the Grantor, the co-Trustees shall pay (or reserve for payment at the appro- {....•~ priate time) the expenses of the last illness, funeral and burial of Grantor, together with any inheritance, estate or other death taxes that may, by reason of her death, be due upon or in con- nection with the entire trust estate or any portion thereof and any taxes that may be due' on any property outside the trust es- tate, unless Trustee •sha11 determine, in Trustee's sole dis- cretion, that other provisions have been made or that other funds are available for the payment of such expenses and taxes. Fur- they, during post-death administration, Trustee may "pour-back" assets to the probate estate of the deceased Grantor as may be ~ needed or beneficial for optimum administration and may make such O other payments from the principal of the trust as Trustee deems (~ desirable to facilitate the settlement of the estate, even though - 5 - (.__ said payments may be for purposes unrelated to the property sub- ject to this trust. 4.2 Disposition of Balance. Upon the death of the Grantor, the co-Trustees shall, except for the partnership interest in the Long Meadows-Joint Venture referred to in paragraph 4.3 below, pay over the entire remaining corpus of said trust, i.e., the principal, together with any accumulated income, to the Grantor's children, P. THOMAS LONG, LAURA MCHENRY, KATHLEEN J'. RUSSELL, PATRICIA BRINJAC, RQBERT A.'LONG and PAUL V. LONG, .I'R., in equal ~_^..~ shares, absolutely, free and clear of all Trust provisions. If any of Grantor's children should predecease the Grantor or die .prior to the distribution of~his or her share, said child's share shall be paid to his or her then living issue, if any, and in default of any such issue then living, such share shall be added to the shares for the other children. If any such issue is a minor, the co-Trustees may deliver said minor`s share to the person with whom said minor resides or who has custody of said minor, without bond, and the receipt of such person shall be a complete release of the co-Trustees. In the event, however, that the co-Trustees, in their sole dis- cretion should be of the opinion that to so~ deliver the minor's ~. ) - 6 - share to~the person with whom the minor resides or has custody, (:..- i the co-Trustee may petition any court of competent jurisdiction for the appointment of a guardian of said minor to receive and administer the funds for the benefit of said minor. 4.3 Long Meadows Joint Venture, If at the time of my death the Trust holds as an asset, ownership of a partnership interest in the Long Meadows Joint Venture, a Pennsylvania general partner- ship, pursuant to that certain agreement entitled Long Meadows Joint Venture Agreement, dated September 30, 1965, as amended, or any successor agreement relating to Long Meadows Apartment proj- ect in East Pennsboro Township, Cumberland County, Pennsylvania, the co-Trustees shall continue to hold said partnership interest for the benefit~~of my children so long as my co-Trustees, in their sole discretion, deem it wise. So long as the Long Meadows interest constitutes an asset of the Trust, the Trustees shall exercise all rights, duties and privileges o~f a partner under the said Partnership Agreement, collect all income therefrom and pay over all income, after making adequate reserves which may be prudent for the protection of the investment, to my children, in equal shares, or if deceased, to their issue, as per paragraph 4.2 above. The income shall be paid to my children at such time or times as the co-Trustees in their discretion deem best, but no less often than annually. - 7 - Upon the sale or liquidation of the Long Meadows Partnership interest, or dissolution of the Partnership, the proceeds shall be.paid over in equal shares to my children or their issue (as per paragraph 4.2), absolutely, free and clear of all Trust pro- visions. 4.4 Termination of Trust. Upon distribution of all assets of the Trust pursuant to paragraphs 4.2 and 4.3 above, the Trust shall terminate. V. GENERAL PROVISIONS 5.1 Qualify For Sub-Chapter S. Trustee may take, in a timely fashion, whatever steps may be necessary or desirable to qualify any of the trusts created hereunder to hold stock of a Sub-chapter S Corporation. 5.2 Spend-thrift Provisions. To the extent permitted by law, the interest of beneficiaries in principal or income shall not be subject to the claims of .their creditors and others, nor to legal process, and shall. not be voluntarily or involuntarily alienated or encumbered, except that nothing in this paragraph shall pre- clude the assignment of all or any part of a beneficiary's - 8 - l interest to his or her descendants. Exceptions may be made if the Trustee, in the Trustee's sole direction, approves. 5.3 Death Tax Provisions. To the extent not paid by the Execu- tor of Grantor, all death taxes (and interest thereon and pen- alties) imposed as a result of her death upon the property pass- ing under this agreement or by the wi11 of Grantor may be paid out of the principal of the Trust (including assets added by will). 5.4 Incapacitated Beneficiary. The whole or any part of the ~ __..~ income or principal payable to a beneficiary hereunder who is' incapacitated as defined by paragraph 5.5, may be applied by Trustee for such beneficiary`s support and maintenance. Any such . application may be made at such time and in such manner as Trust- ee deems advisable, whether by direct payment of such benefi- ciary's expenses or by payment to a person selected by Trustee to receive payment for such beneficiary; in each case, the receipt of the person to whom payment is made or entrusted shall be a complete discharge of Trustee with respect thereof. "Incapacity" shall mean the impairment of one`s ability to receive and evaluate information effectively and to communicate decisions to such a significant extent that he or she is partially or totally unable to manage his or her financial resources, to meet essential requirements for his or her physical health and safety, or to carry out the duties as provided by this agreement. In establishing the inca- pacity of Grantor, Trustee or beneficiary of this trust agree- ment, the written statements of two independent licensed physi- cians who have personally examined the person shall be sufficient to establish such incapacity or inability to act or to continue to act hereunder, and Trustee, any 'successor Trustee or - 10 - (,... . c~-Trustee and third parties shall be protected in relying upon such statements without any further act or notice. In the event that incapacity arises due to mental impairment, at least one of the physicians shall be a (Board certified) psychiatrist. 5.6 Power of Attorney - Effect on Trust. I have by document of even date herewith entitled "General Durable Power of Attorney" designated my daughter as my attorney-in-fact and agent (agent) to transact business with respect to my property and affairs. Said Power of Attorney shall be effective, and may be exercised, wtih respect to my role as Trustee hereunder and with respect to ~~~. '~ all assets of the Trust created herein so long as I am acting as Trustee. In the event of my incapacity or death, however, the said Power of Attorney ceases with respect to all assets of the Trust except, .however, that additional property may be poured into the Trust by my agent. 5.7 Adopted Persons. Persons adopted during minority shall be considered as children of their adoptive parents, and they and their descendants shall be considered as descendants of their a adoptive parents. JACQUELINE HALL, step daughter of my son ROBERT O A. LONG, even though not legally adopted by ROBERT, shall be considered as a descendant or issue of ROBERT as though she had titled to inherit hereunder been legally adopted, and shall be en (. j - 11 - in the same manner as my other grandchildren and shall be treated equally as a grandchild and as my issue. VI. MANAGEMENT PROVISION 6.1 Powers and Authority of Trustees. The Trustee shall have, in addition to the powers and authority conferred upon a trustee by law the additional powers and authority which follows. The term "Trustee" shall include any substitute Trustee(s). A. Se11/Lease: To se11 at public or private sale, ex- change, lease, mortgage or pledge any property, real or per- sonal, at any time,' and' upon such terms and conditions as the Trustee sha11 deem wise. z c '. B. Retain/Invest: To retain and to invest in all forms of real and personal property, including common trust funds, mutual funds and money market deposit accounts regardless of any limitations imposed by law on investments by Trustees, or any principle of law concerning investment diversifica- tion. C. Title to Property: To cause any security or .other - I2 - property which may constitute a portion of a trust or of the estate to be issued, held or registered in the Trustee's own -_ ~ . _..? ~~, name, or in the name of a nominee, or in such form that ti- t1e will pass-by delivery. D. Capital Change:. To consent to the reorganization, con- solidation, readjustment of the financial structure, or sale of the assets of any corporation or other organization, the securities of which constitute 'a portion of a trust, and to take any action with reference to such securities which, in the opinion of the Trustee is necessary to obtain the bene- fit of any such reorganization, consolidation, readjustment or sale; to exercise any conversion privilege or subscrip- tion right given to the Trustee as the owner of any secu- rities constituting a portion of a trust; to accept and hold as 'a portion of a .trust securities resulting from any reor- ganization, consolidation,.readjustment, sale, conversion or subscription. E. Expense of Trust or Estate: To. pay all costs, taxes, charges and expenses in connection with the administration of a trust or of the estate of Grantor. F. Allocate: To determine what is "income" and what is - 13 - "principal" hereunder, and the Trustee's decision thereon shall be final; and to purchase securities at a premium or discount, and to apply or charge said premium or discount against income or,principal as the Trustee may determine. ~~~ i0 'i 9 G. Add Net Income: To add the portion of the net income of a trust in excess of the net income distributed to prin- cipal and to reinvest such amounts. H. Borrow: To borrow money from any person, firm or cor- poration, including any corporation acting as a Trustee hereunder, for the purpose of protecting and preserving or improving a trust hereunder; to .execute promissory notes or other obligations for amounts so borrowed. I. Compromise: To compromise claims and to abandon any property which, in the Trustees' opinion, is of little or no value. J. Divide: To divide any trust into two or more separate trusts for tax, accounting or other reasons. K.. To Purchase Insurance: To carry insurance against such - 14 - J O risks and for such amounts and upon such terms as Trustee deems necessary and for the protection of Grantor, Trustee or any beneficiary of the trust estate, and to purchase pol- icies of insurance on the life of any beneficiary.: of any trust, or on the life of any other person in whom any trust may have an insurable interest, and to continue in effect or to terminate any Life insurance policy which may be owned or held by any trust; and•to pay (from income or principal) any premiums or, other charges, and to exercise any and all rights or incidents of ownership in connection therewith. To Em loy Professionals and Others: To employ legal counsel, accountants, brokers, investment advisors, custodi- ans, managers and other agents and employees and to pay them reasonable compensation out of the trust or out of any fund held hereunder to which said compensation is attributable. M. Compensation Of Trustee: The corporate Trustee sha11 be entitled to compensation in accordance with its standard schedule of fees in effect from time to time over the period during which services are performed. Any person acting as an individual Trustee or co-Trustee, also shall be entitled to reasonable compensation. - 15 - j~ N. Pour-Back: Trustee shall have the express power at any time to "pour-back" assets to the probate estate of Grantor should this be necessary or advantageous. 0. Continuation of Gift Programs: Trustee shall have the power to continue any gifting programs which Grantor may have begun, or to initiate gifting programs to the issue of Grantor should Trustee, in Trustee's sole discretion, deem these gifts advantageous to the family of Grantors. P. Miscellaneous: To do all other acts in the Trustee's ~~_.~ judgment necessary or desirable for the proper and advanta- geous management, investment and distribution of a trust or of the estate. 6.2 Duty of Trustee to Account. Every person acting as a Trust- ee hereunder, except for Grantor, shall render, at least annual- ly, a full and accurate accounting to the then current actual beneficiary or beneficiaries of the trust or guardian of such beneficiary, setting forth, inter a1ia, an inventory of all as- l-`~ sets, all liabilities, all investment and other transactions oc- tarring in the trust since the previous accounting, all income, C )1 additions to principal, and all disbursements. Such accounting shall be in such form as is required for a Trustee under the ~~ j - 16 - Pennsylvania Probate, Estates and Fiduciaries Code or any Succes- sor Act. If a Trustee fails to so account, any actual benefi- ciary, a guardian of a minor beneficiary or any other person hav- ing an interest in the proper administration of this trust may petition, or otherwise apply to, any court of competent jurisdic- tion, to compel an accounting. VII. POWER TO AMEND OR REVOKE (_. L~VJ ~~ ( 1 7.1 Power in Grantor During Lifetimes of Grantor. In addition to any powers reserved• to the Grantor elsewhere in this trust, Grantor reserves the right at any time or times to amend or re- voke this instrument and the trusts hereunder, in whole or in part, by an instrument or instruments in writing, signed by Grantor and delivered in Grantor's lifetime to Trustee. If this instrument is revoked in its entirety, the revocation shall take effect upon the delivery of the required writing to Trustee. On the revocation of this instrument in its entirety, Trustee shall deliver to Grantor, or as Grantor may direct in the instrument of revocation, all the trust property. 7.2 Power in Grantor by Last Will and Testament. Grantor re- serves the right to amend or revoke this instrument. and the - 17 - trusts hereunder, in whole or in part, by will which spec ifically refer to this instrument and specifically direct what amendments . are to be made or state that the instrument is revoked. If this instrument is revoked in its e~ztirety by will of Grantor, Trustee shall deliver to Grantor's estate, or as her will may direct, all the trust property. 7.3 Correlation' of Grantor's Last Wi11 and This Instrument. Grantor's will may provide for additions to the trust property hereunder, and consequently, Grantor's will should be examined in connection with the making_of any amendment or revocation of this ~~-~ instrument or of the trusts hereunder to determine what changes, if any, should be made in Grantor`s will in the light of such amendment or revocation. 7.4 Special Provision for Small Trust. Whenever the Trustee determines that the size~of any trust does not warrant the cost of continuing it, or that its administration would be impractical for any other reason, the Trustee shall pay the principal without .-. further responsibility ,to the income beneficiary. VIII. SITUS OF TRUST/GOVERNING LAW - 18 - I~ ~) } ~JI t ,1 8.1 Situs. Until such time as the trust is moved to another jurisdiction by Grantor/Trustee or pursuant to paragraph 2.2 hereof the sites of the trusts created by this agreement shall be the Commonwealth of Pennsylvania. 8.2 Governing Law. A11 questions pertaining to the validity, construction and administration of the trust agreement created herein shall be. determined in accordance with the laws of the Commonwealth of Pennsylvania, or if the sites of the trust is moved to another jurisdiction, by the laws of that jurisdiction. Notwithstanding the removal of the trust to another jurisdiction, questions pertaining to any real or personal property situate in Pennsylvania shall be subject to the laws of Pennsylvania. 8.3. Judicial Determination. The Court of Common Pleas of Cumberland County, Pennsylvania, or any other court of competer_t jurisdiction, shall have authority to adjudicate disputes and resolve any other issues arising hereunder in accordance with the terms and provisions of this agreement. LONG AGREEMENT OF TRUST DECLINATION TO ACT AS SUCCESSOR TRUSTEE On July 20, 1994, Angela R. Long, pursuant to a Trust Agreement for The Angela R. Long Trust, established a trust and named herself as trustee until her incapacity or death, at which time two co-trustees consisting of a bank (a corporate trustee) and an individual would serve as successor co-trustees. (Trust Agreement paragraph 2.1). With respect to the successor corporate trustee, the original agreement appointed CoreStates Hamilton Bank as the corporate trustee. The second amendment to the Trust Agreement, dated April 27, 2001 (Paragraph A), revoked that appointment and appointed Hershey Trust Company as the corporate trustee. With respect to the individual trustee, the original agreement of July 20, 1994 (paragraph 2.1), appointed Joseph G. Skelly as the successor trustee. In the event of his death, incapacity, or being unwilling or unable to act, Richard E. Connell was appointed as successor individual trustee. By the fifth amendment to the Trust Agreement, dated March 20, 2010 (paragraph THIRD), the appointment of Richard E. Connell was revoked and in his place, Kathleen L. Russell was. so appointed. On August 24, 2010, Kathleen L. Russell predeceased Angela R. Long. Pursuant to the Trust Agreement of July 20, 1994 (paragraph 2.1), if there is no individual trustee designated, Hershey Trust Company shall become the sole trustee. Mrs. Long died on November 10, 2010. By virtue of the Trust Agreement with subsequent amendments, Hershey Trust Company and Joseph G. Skelly are currently the successor co-trustees. Joseph G.
