Huganir Deed of Trust State how and when the present fund was awarded to Trustee(s): William L. Huganir conveyed to the William L. Huganir Deed of Trust dated May 29, 1998, his fifty percent (50%) interest in real estate situate in Upper Providence Township, Montgomery County, Pennsylvania, said property being more particularly described in Deed dated May 29,1998, and recorded in Montgomery County, PA, Deed Book 5298 Page 2239. Said real estate was sold on May 26, 2005, with Settlor's interest being paid to the Trustees thereunder. Period covered by accounting: May 26, 2005 to June 30, 2011. Current fair market value of the Trust principal is $1,057,444.08. See page 4 of Account.) State concisely the dispositive provisions of the Trust. The lesser of the trust income or 6% of the net fair market value of the assets of the trust shall be paid annually, in equal shares, to the children of the Donor, to wit: Peter Huganir, John Huganir and Fred Huganir, or to the surviving children if any are deceased, upon payment of any applicable state or federal estate or death taxes. Upon the death of all three children of Donor, the balance of principal and income of the trust is distributed to Swarthmore College, Swarthmore, Pennsylvania. [see spreadsheet attached hereto] 10. Explain the reason for filing this Account (if filed because of the death of a party, state name of person, relationship to Trust and date of death): Account is being filed to afford all parties of interest the opportunity to agree with or oppose the information set forth therein. Upon agreement of all interested parties, a Petition will be presented to your Honorable Court in which the Trustees named in said Deed of Trust will resign their fiduciary positions and Swarthmore College will agree to become successor Trustee. 11. Funding of (rust. i he donor transfers to the Trustees the prcperty described in Section A. and the Trustees accept such property and agree to .~ ~ - ', •J hold, manage. and distribute such property of the Trust under the terms set forth in this Trust instrument. 2. Payment of Unitrust Amount. In each taxable ~. gar of the Trust. the Trustees shall qav a unitrust amount equal to the lesser of (i) th~~ ~ rust income for the taxable year. as defined in Section 643(b) of the Code and the regulations ;hereunder. or (ii) six percent (6%) of the net fair market value of the assets of the Trust valued as of the first day of each taxable year of the Trust (the "valuation date") to, my children PETER HUGANIR. JOHN HUGANIR and FRED HUGANIR (individually, a Recipient". collectively. "Recipients"), in equal shares during their lifetimes. Upon the death of a Recipient. the survivor Recipient(s) shall be entitled to receive the entire unitrust amount. The unitrust amount shall be paid in equal quarterly installments. Any income of the Trust for a taxable year in excess of the unitrust amount shall be added to principal. If for any year the net fair market value of the Trust assets is incorrectly determined, then within a reasonable period after the value is finally determined for federal tax purposes, the Trust shall pay to the Recipients then entitle to income (in the case of an undervaluation) or receive from the Recipients then entitled to income (in the case of an overvaluation) an amount equal to the difference between the unitrust amount properly payable and unitrust amount actually paid. 3. Pa ment of Federal Estate Taxes and State Death Taxes. The lifetime unitrust interest of the survivor Recipient will continue in eft.'ect on the death of .~. In determining the unitrust amount. the Trustees shall prorate the same on a daily basis for a short taxable year and of the taxable year ending with the survivor Recipient's death. 5 Distribution to Charity. The Trustees shall not make any investments that jeopardize the charitable purpose of the Trust, 3 g. Power to Terminate Recipient's Interest. Donor retains the right to revoke or terminate the interest of any Recipient through a Will specifically referring to this provision. g. Taxable Year. The taxable year of the Trust shall be the calendar year. 10. Governing Law. Investment of Trust Assets.
