Box 109 Lemoyne, PA 17043-0109 (~(Q)~tf Dear Mr. Weidner: I am in receipt of your letter to Rosalie Kerr of September 14, 2004. Currently the Company is undergoing hard times due to foreign competition and massive increases in raw materials and scrap because of high demand from China for these items. We have instituted some price increases and surcharges to meet this problem. Also, we are attempting some efficiency measures in the plant. However, thus far this has not brought about .,-.-nN.*'" positive results. In the meantime, we have offered the Company for sale in the hope that a buyer would have more cash available than we do, and might possibly head the Company to a profitable future. As to the value of your shares, it is extremely difficult to give a figure. The last shares that the Company bought in were at $200 per share on December 18, 2002. However, that figure should now be considered unreliable since the Company suffered significant operating losses in 2001, 2002, and 2003. We presently have a letter of intent to sell the Company and if the transaction appears likely to occur we should have more accurate information with respect to the value of the shares being determined by the sale. At the present time, we are not buying in shares and can recommend no buyer to you. We will keep you informed. ~:e/~= ESTATE OF SCHEDULE E CASH, BANK DEPOSITS, & MISC.
