ARTICLE I FAMILY My husband, JOHN W. BIRD, is living at the time of the execution of this Will, and JENNIFER MARIE BIRD is the child of our marriage. Each child hereafter born of our marriage or legally adopted by me shall be considered a child of mine for all purposes under this will. The word "issue" whenever used herein shall mean my lawful descendants, whether natural or legally adopted. ARTICLE II DEBTS, FUNERAL EXPENSES AND OTHER CHARGES My Executor shall pay or provide for the payment of my legally enforceable debts, my charitable pledges, and the expenses of my funeral and burial (including the cost of a monument or marker). My Executor shall not seek contribution from my husband on our joint debts. However, if my husband wishes to retain any residence or other real property subject to a mortgage or similar indebtedness and so advises my Executor within six months after my death, my Executor may elect not to pay the indebtedness. ARTICLE III DEATH TAXES I direct that all taxes, however designated, that shall be payable by reason of my death (excluding any generation-skipping transfer taxes), whether assessed with respect to property passing under this Will or otherwise, shall be paid out of and be charged against my residuary estate, without reimbursement from any person. ARTICLE IV RESIDENCE I give, devise, and bequeath to my husband, if he survives me, any and all interest that I may own or have in the real property used by me as a place of residence at the time of my death, together with the buildings and improvements thereon, and all policies of insurance relating thereto. If my husband does not survive me, then said property shall be included in and be disposed of as a part of my residuary estate. ARTICLE V TANGIBLE PERSONAL PROPERTY I give to my husband, if he survives me, all tangible personal property owned by me at my death and all policies of insurance relating to such property. If my husband does not survive me, I give all of the aforesaid property in equal shares to my surviving children. I authorize my Executor in its absolute discretion to distribute said property to them in kind, even though one or more of them may be minors, hold all or any part of a minor child's share for his or her benefit until he or she reaches his or her majority, deliver all or any part to a relative, guardian or person with whom he or she may be residing, without further responsibility, or sell all or any part and add the net proceeds therefrom to my residuary estate to be disposed of as hereinafter provided. ARTICLE VI RESIDUARY ESTATE I give all of the rest and residue of my property of every kind and description, real, personal, and mixed, and wherever located, including any lapsed or void bequest or devise, to my husband, JO~N W. BIRD, if he should survive me. If JO~N W. BIRD should predecease me, then such property shall be divided into as many equal shares as I shall have children then living. My Executor may pay or deliver all or a portion of said shares to the guardian or guardians hereinafter named or to a custodian under the Virginia Uniform Transfers to Minors Act (21) selected by my Executor. ARTICLE VII SIMULTANEOUS DEATHS If my husband and I should die under such circumstances that the order of our deaths cannot be determined by proof, it shall be deemed that I survived him. B.D.B. ARTICLE VIII POWERS OF EXECUTOR AND TAX ET.RCTIONS I confer upon my Executor during the period of administration of my estate, in addition to the powers granted by law and by this will, all of the powers set forth in Section 64.1-57 of the Code of Virginia as in effect on the date hereof, the provisions of which are hereby expressly incorporated herein by reference. My Executor may join in or consent to income and gift tax returns filed with or by my spouse and shall be exonerated from any personal liability to the beneficiaries in the event of any deficiency subsequently arising as a result of the execution of such returns. My Executor may enter into agreements with appropriate governmental authorities and may make such elections as may be available on estate, inheritance and income tax returns as in its opinion will be in the best interest of my overall estate and the recipients of property subject to any such tax, taking into account the aggregate amount of all taxes to be paid, even though such agreements or elections may affect the shares of such recipients. ARTICLE IX APPOINTMENT OF EXECUTOR I nominate and appoint JOHN W. BIRD as Executor of this my Last Will and Testament, if he survives me. If JOHN W. BIRD is unwilling or unable to serve as Executor, then I nominate and appoint MICHAEL J. and VANESSA G. BURR as Alternate Co-Executors. If MICHAEL J. and VANESSA G. BURR are unwilling or unable to serve, then I nominate and appoint RANDALL and ELIZABETH DEMO as Second Alternate Co-Executors. I request that no surety be required on the bond of my Executor and request that an appraisal of my estate be waived. My Executor shall receive reasonable compensation for their services rendered. ARTICLE X APPOINTMENT OF GUARDIAN In the event that my husband should predecease me or should we both meet death in a common disaster, and any of our children be under the age of eighteen (18) years or in need of a guardian, then and in that event, I hereby express my desire that MICHAEL J. and VANESSA G. BURR be nominated and appointed as co- guardians of my said children. In the event MICHAEL J. and VANESSA G. BURR are unwilling or unable to serve as co- guardians, then and in that event, I hereby express my desire lthat RANDALL and ELIZABETH DEMO shall be nominated and appointed as co-guardians of my said children. ARTICLE III DEATH TAXES I direct that all taxes, however designated, that shall be payable by reason of my death (excluding any generation-skipping transfer taxes), whether assessed with respect to property passing under this Will or otherwise, shall be paid out of and be charged against my residuary estate, without reimbursement from any person. ARTICLE IV RESIDENCE I give, devise, and bequeath to my husband, if he survives me, any and all interest that I may own or have in the real property used by me as a place of residence at the time of my death, together with the buildings and improvements thereon, and all policies of insurance relating thereto. If my husband does not survive me, then said property shall be included in and be disposed of as a part of my residuary estate. ARTICLE V TANGIBLE PERSONAL PROPERTY I give to my husband, if he survives me, all tangible personal property owned by me at my death and all policies of insurance relating to such property. If my husband does not survive me, I give all of the aforesaid property in equal shares to my surviving children. I authorize my Executor in its absolute discretion to distribute said property to them in kind, even though one or more of them may be minors, hold all or any part of a minor child's share for his or her benefit until he or she reaches his or her majority, deliver all or any part to a relative, guardian or person with whom he or she may be residing, without further responsibility, or sell all or any part and add the net proceeds therefrom to my residuary estate to be disposed of as hereinafter provided. ARTICLE VI RESIDUARY ESTATE I give all of the rest and residue of my property of every kind and description, real, personal, and mixed, and wherever located, including any lapsed or void bequest or devise, to my husband, JOHN W. B1-RD, if he should survive me. If JO~N W. BIRD should predecease me, then such property shall be divided into as many equal shares as I shall have children then living. My Executor may pay or deliver all or a portion of said shares to the guardian or guardians hereinafter named or to a custodian under the Virginia Uniform Transfers to Minors Act (21) selected by my Executor. ARTICLE VII SIMULTANEOUS DEATHS If my husband and I should die under such circumstances that the order of our deaths cannot be determined by proof, it shall be deemed that I survived him. B.D.B. ARTICLE VIII .POWERS OF EXECUTOR AND TAX ELECTIONS I confer upon my Executor during the period of administration of my estate, in addition to the powers granted by law and by this will, all of the powers set forth in Section 64.1-57 of the Code of Virginia as in effect on the date hereof, the provisions of which are hereby expressly incorporated herein by reference. My Executor may join in or consent to income and gift tax returns filed with or by my spouse and shall be exonerated from any personal liability to the beneficiaries in the event of any deficiency subsequently arising as a result of the execution of such returns. My Executor may enter into agreements with appropriate governmental authorities and may make such elections as may be available on estate, inheritance and income tax returns as in its opinion will be in the best interest of my overall estate and the recipients of property subject to any such tax, taking into account the aggregate amount of all taxes to be paid, even though such agreements or elections may affect the shares of such recipients. ARTICLE IX APPOINTMENT OF EXECUTOR I nominate and appoint JO~N W. BIRD as Executor of this my Last Will and Testament, if he survives me. If JOHN W. BIRD is unwilling or unable to serve as Executor, then I nominate and appoint MICHAEL J. and VANESSA G. BURR as Alternate Co-Executors. If MICHAEL J. and VANESSA G. BURR are unwilling or unable to serve, then I nominate and appoint RANDALL and ELIZABETH DEMO as Second Alternate Co-Executors. I request that no surety be required on the bond of my Executor and request that an appraisal of my estate be waived. My Executor shall receive reasonable compensation for their services rendered.
