I, Sharon L. Wolf, of the Borough of Carlisle, Cumberland County, Pennsylvania,
being of sound and disposing mind, memory and understanding, declare the
following to be my last will and testament, hereby revoking any and all wills
heretofore made by me.
Item I. At the time of the writing of this will I am a widow.
Item II. I direct my executor hereinafter named to pay all my debts and
funeral expenses.
Item III. I hereby give, devise and bequeath my entire estate to my son
Barry, provided said son survives me by 30 days.
Item IV. In the event that my son, does not so survive me, or dies in a
common disaster with me, I give, devise and bequeath all my property, real and
personal, to Boalsburg United Methodist Church located on Church Street in
Boalsburg, Pennsylvania.
Item V. I hereby nominate and appoint Kevin Spicer and/or Wendy Spicer
to serve as executors, and direct that said individuals be permitted to serve
without bond.
Item VI. In the event my son Barry has not attained the age of 30 (Thirty),
the bequest to said son shall be held in trust for his benefit. Said trust proceeds
are to be used for the health, education and welfare of my son Barry.
Item VII. I hereby appoint Kevin Spicer and/or Wendy Spicer to serve as
Trustees. They are to serve in said capacity in accordance with the laws of
Pennsylvania.
Item VIII. In addition to any powers above provided for and those given by
law, my Trustee, without any order of court and in their sole discretion, may:
(1) Retain any property received hereunder in kind.
(2) Keep reasonable amounts of cash in bank and uninvested, if
deemed advisable for the protection of principal.
(3) Purchase investments at premiums and charge premiums to
income or principal or partly to each.
(4) Subscribe for stocks, bonds or other investments; join in any
plan of lease, mortgage, merger, consolidation, reorganization, foreclosure
or voting trust and deposit securities thereunder; and generally exercise
all the rights of security holders of any corporation including Financial
Trust Corporation.
(5) Register securities in the name of a nominee in such manner
that title shall pass by delivery.
(6) Vote, in person or by proxy, securities held by it and in such
connection to delegate its discretionary powers.
(7) Repair, alter, improve or lease, for any period of time, any
property, and give options for leases.
(8) Sell at public or private sale, for cash or credit, with or without
security, and exchange or partition properly and give options for sales or
exchanges.
(9) Borrow money from any person, including my Trustee, and
mortgage or pledge any property.
(10) Compromise claims.
(11) Make distributions in cash or in kind or partly in each.
(12) Exercise all power, authority and discretion given by this trust
after termination of any trust created herein until the same is fully
distributed.
