WILL
OF
RANDALL G. CASNER
I, Randall G. Casner presently of 641 Shed Road, Cumberland County, Newville,
Pennsylvania, revoke any other Wills and Codicils which I made, and make the following
to be my Last Will and Testament.
Article I
PAYMENT OF DEBTS
! direct the payment of my legal debts and funeral expenses, as soon as
conveniently can be done following my decease.
Article II
DISPOSITION OF FURNITURE
I direct that the articles of household furniture, furnishings, books, tableware and
similar articles of ornament or use in my residence or usually kept there belong to my
wife and me as tenants by the entirety and accordingly will pass to my wife by operation
of law if she survives me. If my wife does not survive me, then I order and direct my
Executor to distribute such articles as I may designate by memoranda or markings or
codicils to the persons thereby designated and I give full discretionary power to my
Executor in respect to the remaining articles as to whether to sell such articles at private
or public sale with the proceeds there-from to be added to the residue estate and
distributed accordingly.
Article III
PERSONAL EFFECTS
If my wife, Betty G. Casner, survives me, I give to her my jewelry and other
personal effects, together with any insurance associated therewith, absolutely. If my wife
does not survive me, I give the same to my Executor to be distributed in the same manner
set forth in Article II hereof in respect to the articles therein referred to.
Article IV
AUTOMOBILES
I give to my wife, Betty G. Casner, any automobiles used for family purposes
together with the insurance associated therewith. If my wife does not survive me I direct
that my Executor sell any such automobiles that I may own with the proceeds there-from
to be added to the residue as in Article II above.
Article V
RESIDUARY ESTATE
All my residue estate (meaning the rest and residue of the property of every kind
and wherever located, belonging to me at my death, but not meaning any property over
which I then have only power of appointment), I give as FOLLOWS:
A: If my wife, Betty G. Casner, survives me, I give to her my entire residuary
estate.
B: If my wife, Betty G. Casner, has not survived me, I direct my Residuary Estate
be distributed to my son, Randall G. Casner, Jr. per stirpes.
Article VI
SOURCE OF PAYMENT OF TAXES
All estate, inheritance and like taxes imposed by reason of my death, with respect
to any property (whether disposed of by will or not) required to be included in my gross
estate for tax purposes, any interest or penalties thereon, shall be borne by my residuary
estate.

Article VII
DOING BUSINESS WITH THIRD PARTY PERSONS
No purchaser from or other person dealing with my fiduciaries shall be
responsible for the application of any purchase money or other things of value paid to or
delivered to them, but the receipt of my fiduciaries shall be full discharge. And no
purchaser from or other person dealing with my fiduciaries, including the issuer or
transfer agent of any issuer of any securities to which any dealings with my fiduciaries
shall relate, shall be under obligation to ascertain or inquire into the power of my
fiduciaries to purchase, sell, grant and convey, exchange, transfer, mortgage, pledge,
lease, distribute or otherwise in any manner dispose of or deal with any securities or other
property held by my fiduciaries.
Article VIII
EXECUTOR
I name my friend, Douglas Berry, as Executor of my Last Will and Testament. In
the event my friend fails to survive me or are unwilling or unable to serve as my Executor
hereof, then I nominate and appoint my son, Randall G. Casner, Jr., Executor of my Last
Will and Testament.
Article IX
FIDUCIARY AUTHORITY
I give to my executors in the settlement of my estate the following fiduciary
powers, any or all of which may be exercised in discretion of the fiduciary and from time
to time without the necessity of approval of court:
(a) Te sell, exchange, give options for or otherwise dispose of any property, at
public or private sale, for cash or other consideration or on credit and upon
such terms and for such consideration as they shall think fit and to transfer,
and grant and convey the same, free of all trusts.
(b) To make such investments and reinvestment, including the acquisition of real
estate, as a prudent person would make of their own property, having
primarily in view the preservation of the value of the estate under economic
conditions as they may change from time to time and the amount of regularity
of the income to be derived, without being limited to so-called "legal
investments" for trust funds under the laws of the Commonwealth of
Pennsylvania.

(c) To take over and retain unconverted any investments, including jewelry,
household furniture and furnishings and personal effects and my residence,
even though such property by reason of character, amount and proportion to
the total would not be considered appropriate, except for this provision.
(d) To borrow money and to execute promissory notes thereof, and to secure such
obligations by mortgage or pledge.
(e) To renew or compromise, on such terms as they think fit, any claims,
including taxes, either in favor of or against me, my estate or any trusts I may
establish, and to pay claims upon such evidence as they think sufficient.
(f) To improve real estate, including power to demolish buildings in whole or in
part, and to erect buildings, to lease real estate on such terms as they think fit,
including power to give leases for periods beyond the duration of my estate
and the duration of any trusts, and to foreclose, assign, partially release and
satisfy mortgages.
(g) To employ such brokers, banks, custodians, investment counsel, attorneys,
accountants and other agents and to delegate to them such of their ministerial
duties, rights and powers and the right to vote shares of stock for such periods
as they think fit and to keep assets in name of a nominee without mention of
the estate or trust in any instrument of ownership.
(h) To participate in any voting trust, merger, reorganization or consolidation and
in connection therewith, to exchange any property held for other property.
(i) To determine as to all sums of money and other things of value received,
whether and to what extent the same shall be charged against principal or
income, including, without hereby limiting the generality of the foregoing
language, power to apportion any receipt or expense between principal and
income and to determine what part, if any, of the actual income received upon
any wasting asset or upon any security purchased or acquired at a premium
shall be added to principal to prevent a diminution of principal upon the
exhaustion or sale of the asset or to the maturity of the investment.
(j) In dividing my estate into shares or in distributing the same, to divide or
distribute in cash, in kind, or partly in cash and partly in kind, as they see fit.
For purpose of division or distribution, to value property, reasonably and in
good faith, and such valuation shall be conclusive upon all parties. To
whatever extent division or distribution is made in kind, they shall, as far as
practicable, allocate approximately proportionate amounts of each property.
(k) To continue to operate any business in which I may be engaged, either alone
or with others, for the benefit of and at the risk of my estate and trusts for the
purpose of winding up such business.
(1) To use, apply and expend income directly to promote the well being of the
person entitled to the same in the event of such person's sickness, incapacity
or unavailability.
(m)To purchase and maintain insurances with respect to a beneficiary, including
life, hospitalization and liability insurances.

Article X
TAX ELECTIONS
My fiduciary may make elections (or refrain from making elections) permitted
under the 1986 Internal Revenue Code, as amended, without liability to any beneficiary,
regardless of whether such election increases taxes paid or incurred, provided such
elections are not made in bad faith or by reason of gross negligence.

I, Randall G. Casner presently 0[641 Shed Road, Cumberland County, Newville,
Pennsylvania, revoke any other Wills and Codicils which I made, and make the following
to be my Last Will and Testament.
Article I
PAYMENT OF DEBTS
I direct the payment of my legal debts and funeral expenses, as soon as
conveniently can be done following my decease.
Article n
DISPOSITION OF FURNITURE
I direct that the articles of household furniture, furnishings, books, tableware and
similar articles of ornament or use in my residence or usually kept there belong to my
wife and me as tenants by the entirety and accordingly will pass to my wife by operation
of law if she survives me. If my wife does not survive me, then I order artd direct my
Executor to distribute such articles as I may designate by memoranda or markings or
codicils to the persons thereby designated and I give full discretionary power to my
Executor in respect to the remaining articles as to whether to sell such articles at private
or public sale with the proceeds there-from to be added to the residue estate and
distributed accordingly.
Article ill
PERSONAL EFFECTS
Ifmy wife, Betty G. Casner, survives me, I give to her my jewelry and other
personal effects, together with any insurance associated therewith, absolutely. If my wife
does not survive me, I give the same to my Executor to be distributed in the same manner
set forth in Article n hereof in respect to the articles therein referred to.
Article IV
AUTOMOBILES
I give to my wife, Betty G. Casner, any automobiles used for family purposes
together with the insurance associated therewith. Ifmy wife does not survive me I direct
that my Executor sell any such automobiles that I may own with the proceeds there-from
to be added to the residue as in Article II above.
Article V
RESIDUARY ESTATE
All my residue estate (meaning the rest and residue of the property of every kind
and wherever located, belonging to me at my death, but not meaning any property over
which I then have only power of appointment), I give as FOLLOWS:
A: If my wife, Betty G. Casner, survives me, I give to her my entire residuary
estate.
B: Ifmy wife, Betty G. Casner, has not survived me, I direct my Residuary Estate
be distributed to my son, Randall G. Casner, Jr. per stirpes.
Article VI
SOURCE OF PAYMENT OF TAXES
All estate, inheritance and like taxes imposed by reason of my death, with respect
to any property (whether disposed of by will or not) required to be included in my gross
estate for tax purposes, any interest or penalties thereon, shall be borne by my residuary
estate.

Article VII
DOING BUSINESS WITH THIRD PARTY PERSONS
No purchaser from or other person dealing with my fiduciaries shall be
responsible for the application of any purchase money or other things of value paid to or
delivered to them, but the receipt of my fiduciaries shall be full discharge. And no
purchaser from or other person dealing with my fiduciaries, including the issuer or
transfer agent of any issuer of any securities to which any dealings with my fiduciaries
shall relate, shall be under obligation to ascertain or inquire into the power of my
fiduciaries to purchase, sell, grant and convey, exchange, transfer, mortgage, pledge,
lease, distribute or otherwise in any manner dispose of or deal with any securities or other
property held by my fiduciaries.
Article VIII
EXECUTOR
I name my friend, Douglas Berry, as Executor of my Last Will and Testament. In
the event my friend fails to survive me or are unwilling or unable to serve as my Executor
hereof, then I nominate and appoint my son, Randall G. Casner, Jr., Executor of my Last
Will and Testament.
Article IX
FIDUCIARY AUTHORITY
I give to my executors in the settlement of my estate the following fiduciary
powers, any or all of which may be exercised in discretion of the fiduciary and from time
to time without the necessity of approval of court:
(a) Te sell, exchange, give options for or otherwise dispose of any property, at
public or private sale, for cash or other consideration or on credit and upon
such terms and for such consideration as they shall think fit and to transfer,
and grant and convey the same, free of all trusts.
(b) To make such investments and reinvestment, including the acquisition of real
estate, as a prudent person would make oftheir own property, having
primarily in view the preservation of the value ofthe estate under economic
conditions as they may change from time to time and the amount of regularity
of the income to be derived, without being limited to so-called "legal
investments" for trust funds under the laws of the Commonwealth of
Pennsylvania.

(c) To take over and retain unconverted any investments, including jewelry,
household furniture and furnishings and personal effects and my residence,
even though such property by reason of character, amount and proportion to
the total would not be considered appropriate, except for this provision.
(d) To borrow money and to execute promissory notes thereof, and to secure such
obligations by mortgage or pledge.
(e) To renew or compromise, on such terms as they think fit, any claims,
including taxes, either in favor of or against me, my estate or any trusts I may
establish, and to pay claims upon such evidence as they think sufficient.
(f) To improve real estate, including power to demolish buildings in whole or in
part, and to erect buildings, to lease real estate on such terms as they think fit,
including power to give leases for periods beyond the duration of my estate
and the duration of any trusts, and to foreclose, assign, partially release and
satisfy mortgages.
(g) To employ such brokers, banks, custodians, investment counsel, attorneys,
accountants and other agents and to delegate to them such of their ministerial
duties, rights and powers and the right to vote shares of stock for such periods
as they think fit and to keep assets in name of a nominee without mention of
the estate or trust in any instrument of ownership.
(h) To participate in any voting trust, merger, reorganization or consolidation and
in connection therewith, to exchange any property held for other property.
(i) To determine as to all sums of money and other things of value received,
whether and to what extent the same shall be charged against principal or
income, including, without hereby limiting the generality of the foregoing
language, power to apportion any receipt or expense between principal and
income and to determine what part, if any, of the actual income received upon
any wasting asset or upon any security purchased or acquired at a premium
shall be added to principal to prevent a diminution of principal upon the
exhaustion or sale ofthe asset or to the maturity of the investment.
(j) In dividing my estate into shares or in distributing the same, to divide or
distribute in cash, in kind, or partly in cash and partly in kind, as they see fit.
For purpose of division or distribution, to value property, reasonably and in
good faith, and such valuation shall be conclusive upon all parties. To
whatever extent division or distribution is made in kind, they shall, as far as
practicable, allocate approximately proportionate amounts of each property.
(k) To continue to operate any business in which I may be engaged, either alone
or with others, for the benefit of and at the risk of my estate and trusts for the
purpose of winding up such business.
(1) To use, apply and expend income directly to promote the well being of the
person entitled to the same in the event of such person's sickness, incapacity
or unavailability.
(m)To purchase and maintain insurances with respect to a beneficiary, including
life, hospitalization and liability insurances.

T AX ELECTIONS
My fiduciary may make elections (or refrain from making elections) permitted
under the 1986 Internal Revenue Code, as amended, without liability to any beneficiary,
regardless of whether such election increases taxes paid or incurred, provided such
elections are not made in bad faith or by reason of gross negligence.

You will recall that last year we wrote to you about a
settlement offer to the Estate of Randy Casner from a company
called Uniroyal, Inc. You, on behalf of the Estate, and Mrs.
Casner, in her own right, accepted the offer based upon our
recommendation.
Uniroyal recently issued payment of the agreed upon $15,995
to this office and, as a result, we are writing to send to you
(as the Personal Representative/Executor) the Estatels portion of
the net proceeds. Please note that this settlement has been [and
any possible future settlements will be] divided into two parts
one part directly to Mrs. Casner as surviving spouse and the
other part to Randy Casner's Estate through you as the officially
appointed Personal Representative of the Estate.

In addition, I am enclosing a QQRY of the Settlement Sheet
showing the distribution of Mrs. Casner's individual, personal
portion of the settlement. I am writing separately to her to
enclose her check and her original Settlement Sheet.
Please note that there is an important difference --
for tax purposes -- between the two payments. The
money paid directly to Mrs. Casner, as surviving
spouse, is not subject to any form of tax. The check
to Mr. Casner's estate is not subject to income taxi
however, the money going to the Estate may be subiect
to Pennsylvania state inheritance tax (or at least may
involve the filing of an Inheritance Tax Return,
regardless whether any tax is due) .
Neither I nor this office is a tax attorney. Because
of that, we advise that you consult with an estate
attorney to determine whether inheritance tax is
required and, if so, how to take care of that. It is
also advisable, we think, to open a separate bank
account in the name of the Estate.

Dear Mr. Beery:
You may recall that during the past several months our
Baltimore office mailed to you a Release fora minimal settlement
with the bankruptcy trust of the former H.K. Porter Company in
connection with the Estate of Randy Casner's asbestos litigation.
You, on behalf of the Estate, and Mrs. Casner, in her own right,
accepted the offer based upon our recommendation.
H.K. Porter recently issued payment to this office and, as a
result, we are writing to send to you (as the Personal
Representative/Executor) the Estate's portion of the net
proceeds. Please note that this settlement has been [and any
possible future settlements will bel divided into two parts
one part directly to Mrs. Casner as surviving spouse and the
other part to Randy Casner's Estate through you as the officially
appointed Personal Representative of the Estate.
Enclosed please find the Estate's check, attached to your

In addition, I am enclosing a QQQY of the Settlement Sheet
showing the distribution of Mrs. Casner's individual, personal
portion of the settlement. I am writing separately to her to
enclose her check and her original Settlement Sheet.
please note that there is an important difference --
for tax purposes -- between the two payments. The
money paid directly to Mrs. Casner, as surviving
spouse, is not subject to any form of tax. The check
to Mr. Casner's estate is not subject to income tax;
however, the money going to the Estate may be subject
to Pennsylvania state inheritance tax (or at least may
involve the filing of an Inheritance Tax Return,
regardless whether any tax is due) .
Neither I nor this office is a tax attorney. Because
of that, we advise that you consult with an estate
attorney to determine whether inheritance tax is
required and, if so, hoy/to- take care of that. It is
also advisable, we think, to open a separate bank
account in the name of the Estate.

Dear Mr. Beery:
Earlier this month we wrote to you about a large settlement
offer to the Estate of Randy Casner from the Minnesota Mining &
Manufacturing (3-M) Company. You, on behalf of the Estate, and
Mrs. Casner, in her own right, accepted the offer based upon our
recommendation.
Very promptly, 3-M has issued payment of the agreed upon
$500,000 to this office. As a result, we are writing via
certified mail to send to you (as the Personal Representative/
Executor) the Estate's portion of the net proceeds. Please note
that this settlement has been [as other past settlement payments
were] divided into two parts one part directly to Mrs. Casner
as surviving spouse and the other part to Randy Casner's Estate
through you as the officially appointed Personal Representative
of the Estate.
Enclosed please find the Estate's check, attached to your

signed page in the envelope provided -- as this office's receipt
for having distributed this money to you.
In addition, I am enclosing a ~ of the Settlement Sheet
showing the distribution of Mrs. Casner's individual, personal
portion of the settlement. I am writing separately to her to
enclose her check and her original Settlement Sheet.
As I have explained previously, please again note that
there is an important difference -- for tax purposes --
between the two payments. The money paid directly to
Mrs. Casner, as surviving spouse, is not subject to any
form of tax. The check to Mr. Casner's estate is not
subject to income taxi however, the money going to the
Estate may be subiect to Pennsylvania state inheritance
tax -- or at least may involve the filing of an
Inheritance Tax Return, regardless whether any tax is
due.
Neither I nor this office is a tax attorney. Because
of that, we advise that you consult with an estate
attorney to determine whether inheritance tax is
required and, if so, how to take care of that. It is
also advisable -- if it hasnlt already been done -- to
open a separate bank account in the name of the Estate.

Dear Mr. Beery:
Recently Mrs. Betty Casner agreed to a settlement with Minnesota Mining &
Manufacturing (3-M) Company, a defendant in Randy Casner's asbestos lawsuit, for $500,000.
To formalize the settlement, I am enclosing a Release document (titled "Release and
Settlement of Claim") which we and Mrs. Casner need for you to sign in your capacity as the
Personal Representative of Randy's estate. Please sign at the red X on the last page. Then
please mail back the entire Release document in the postage-prepaid return envelope which also
is enclosed.
You may notice, on the first page of the Release, that there is a reference to $10. Please
be assured that the actual settlement is for, as stated above, $500,000. The reference to $10 is
solely for the purpose of confidentiality for the estate and 3-M Company, so that other persons
will not lmow the actual settlement amount.
