ESTATE SETTLEMENT AGREEMENT AND FINAL RELEASE

"Beneficiaries",

In accordance with their desire that the administration of
the Estate of Ernest R. Garrison be terminated without the
expense and delay of a court accounting, the parties hereto, in
consideration of the mutual covenants herein expressed and
intending to be legally bound, hereby agree that:
1. Ernest R. Garrison died testate on December 1, 2009,
leaving a Will which was probated in the. Register of Wills
office of Cumberland County, Pennsylvania on December 16, 2009,
at No. 2009-01162.
2. Letters Testamentary were granted to Delores L. Shope
and Jean M. Furnish.
3. An Inventory of the assets of the estate was filed.
4. A Pennsylvania Inheritance Tax Return was filed. The
return was accepted as filed and all inheritance tax paid in
full.
5. The Personal Representatives have gathered and
liquidated-the assets of the estate.
6. Disbursements, including debts, deductions, the
payment of inheritance tax in full, and distributions to
beneficiaries have been made.
7. Should any proper liabilities of the estate, whether
for taxes or otherwise, arise or come to the attention of the
Personal Representatives or any of the parties hereafter, the
beneficiaries agree to be jointly and severally liable
therefore.
8. Beneficiaries have been offered the opportunity to
review the probate documents, inheritance tax returns, income
tax returns, bank statements, together with the books and
records of the estate and any statements .which the Personal
Representatives have either provided, or offered to provide, and
based upon such examination, or on their decision not to make
such an examination, the Beneficiaries are satisfied that they
have sufficient information to make an informed decision in
waiving their right to a court accounting and approving the
administration, management and distribution of the estate,
including decisions made and actions taken or not taken with
regard to the administration of the estate.
9. Beneficiaries desire to approve the distribution of
the remaining estate assets to them and to settle the adminis-
tration of the estate on an informal basis without having an
accounting filed with the Court, without an accounting being
prepared in the form used for filing with the Court and without
Court approval of the distribution of the estate; and they have
been informed that they are entitled to an accounting, to the
filing of such accounting with the Court and such Court
approval.
lp. The parties and each of them, hereby forever fully
release, compromise, settle, and discharge any and all claims,
demands, actions, or causes of action, legal or equitable,
absolute or contingent, vested or hereafter to accrue which any
of them have against any other party hereto or against the
Estate of Ernest R. Garrison, Deceased or the Personal
Representatives thereof, by reason of any matter, cause or
thing, growing out of or relating to any property or assets of
said estate, or growing out of or relating to any act of the
Personal Representatives in their administration of the estate,
even if attributable to negligence, and agree that any period
for limitation of actions for the collection of any erroneous
distribution or distributions shall commence only at such times
as the Personal Representatives shall have obtained actual
knowledge of such erroneous distribution, and that in no event
shall the period for collection of any erroneous distribution be
less than two years after the actual discovery thereof by the
Personal Representatives.
11. The parties agree to execute such additional receipts
or releases as the Personal Representatives may submit to them
in order to confirm their discharge from any further liability
in connection with said estate and to acknowledge receipt of the
sums distributed to them.
12. The parties hereto agree that in order to avoid the
expense and time involved in the filing of a formal account and
schedule of distribution that no such formal account is
necessary and hereby consent to distribution being made without.
the filing of a formal account and schedule of distribution.
IN WITNESS WHEREOF, we, the undersigned parties, execute
this Agreement for the purposes herein stated.
