BROV'VNE I, Helen .Browne, of Mechanicsburg, Pennsylvania, County of Cumberland, being of lawful age and so d and disposing mind and memory, do hereby declare this to be my Last Will and Testament anc~ hereby revoke all prior wills and codicils made by me. FIII2ST: I direct the payment of my debts and the expenses of my last illness and funeral from my e~tate as soon after my death as conveniently may be done. I d~rect that any and all inheritance, estate and transfer taxes imposed upon my estate passing and I r my will shall be paid out of the principal of my residuary estate. I hereby give and bequeath all remaining tangible personal property as I have set forth in an unsigned letter of instruction that has been placed with my will. If I have not left such a letter of ins tion, then I give and bequeath all my household furnishings and tangible personal prope I in equal shares to my children. Any undistributed items are to be sold or donated as my Cd- Executors determine and the proceeds added to the residuary of my estate. -dP~ My children are L}avid N. Browne, Barry L. Browne, and Steven Browne. TI~[IRD: I give devise and bequeath all of the rest, residue, and remainder of my estate, real, perso~al, and mixed, of whatsoever kind and nature and wheresoever situated at the time of my death .into my children, share and share alike, per capita. I hereby nominate, constitute and appoint David N. Browne as Executor of this ~y Last Will and Testament. In the event he is unable or unwilling to serve, I hereby nominate, constitute and appoint my son Barry L. Browne as successor Executor. Any Executors named herein shall have authority to exercise all powers set forth by law and all powers enumerated herein, and shall serve without bond or security. To accept and retain any real or personal property, including stock of a corporate fiduciary or its holding company, without restriction to legal investments; 2. To sell, exchange, partition or lease for any period of time any real or personal property and to give options for cash or credit, with or -2- without security; 3. To borrow money from any person including any fiduciary acting hereunder, and to mortgage or pledge any real or personal property; 4. To hold shares of stock or other securities in nominee registration form, including that of a clearing corporation or depository, or in book entry form or unregistered or in such other form as will pass by delivery; 5. To engage in litigation and compromise, arbitrate or abandon claims; 6. To make distributions in cash, or in kind at current values, or partly in each, allocating specific assets to particular distributees on a pro rata basis, and for such purposes to make reasonable determinations of current values; 7. To make elections, decisions, concessions and settlements in connections with all income, estate, inheritance, gift or other tax returns and the payment of such taxes; 8. To pay off any loans I may have taken against any life insurance policies owned by me that remain unpaid at the time of my death; and 9.
