DIMITRIOS TSITSIRIS, Additional Defendant DEFENDANTS' COMPLAINT TO JOIN ADDITIONAL DEFENDANT NOW COME the Defendants, Tsitsiris Enterprises, LLC d/b/a Summerdale Diner and Drosos Kostopoulous, by and through their attorneys, Cunningham & Chernicoff, P.C., and state as their Complaint to Join Additional Defendant, as follows: 1. Plaintiff commenced this action against Defendants to recover damages for breach of contract for the alleged failure of the Defendant, Tsitsiris Enterprises, LLC d/b/a Summerdale Diner ("Summerdale") to pay for certain products allegedly purchased from Plaintiff, and against Defendant, Drosos Kostopoulous ("Drosos"), as guarantor of Summerdale's contractual obligations. 2. Additional Defendant, Dimitrios Tsitsiris ("Dimitrios"), is a sui juris individual, with a last-known address at 1448 West Powderhorn Road, Mechanicsburg, Cumberland County, Pennsylvania, 17050. 3. On or about May 23, 2010 Drosos and Dimitrios, on behalf of Summerdale, entered into that certain agreement (the "Agreement") for the purchase of products and services from Plaintiff. A true, correct, and complete copy of the Agreement is attached hereto, incorporated herein, and marked as Exhibit "A." 4. The Agreement also contained a separate, individual personal guaranty, executed by both Drosos and Dimitrios (the "Guarantee") 5. On or about January 11, 2012, Plaintiff brought suit against Summerdale and Drosos for the alleged breach of contract by them for failing to pay for goods and services allegedly purchased by Summerdale. 6. Pursuant to the terms of the Guarantee both Drosos and Dimitrios are liable for any sums judicially determined to be due and owing to Plaintiff by virtue of any default by Summerdale of the terms of the Agreement. 7. Should it be determined that Drosos is liable or responsible to Plaintiff, then it is averred that Dimitrios is liable over to Drosos, entitling Drosos to indemnity and/or contribution for the entire amount for which he is found liable in this action, together with the costs of defending this action. WHEREFORE, Defendants Tsitsiris Enterprises, LLC d/b/a Summerdale Diner and Drosos Kostopoulos, Additional Defendant, for indemnity and/or contribution for all sums which Defendants may be found liable to Plaintiff together with reasonable attorney's fee and other expenses incurred in defending this action. Customer hereby grams to Sysco and each Sysco-related company a continuing security interest in all presently owned or hereafter acquired property of Customer consisting of" (a) goods; (b) inventory; (c) instruments; (d) chattel paper; (e) documents; (f) accounts; (g) accounts receivable; IN general intangibles; (1) payment intangibles; and (j) any proceeds and all support obligations of any of the foregoing (together called the "collateral"). The collateral secures Customer's liabilities and obligations to Sysco and each Sysco-related company, whether now existing or hereafter arising. Events of default. Each of the following constitutes an "Event of Defaull (a) not paying on time; (b) not performing on time,, (c) bankruptcy, insolvency, or assignment for the benefit of creditors with respect to Customer; or (d) any misrepresentation by Customer to Sysco or any Sysco- related company. Upon an Event of Default Sysco may declare all unpaid balances, tens any uteamed charges, immediately due and payable in full, without notice, and exercise all rights and remedies allowed by applicable law. Customer authorizes Sysco to file a finandng statement describing the collateral or indicating that the collateral includes all assets of Customer or words of similar effect. Plaintiff commenced the above-captioned action by filing a Complaint in Breach of Contract (hereinafter "Complaint") on or about January 11, 2012, with respect to a certain agreement (hereinafter "Agreement") wherein Plaintiff was to supply certain goods and services to Defendants Tsitsiris Enterprises, Inc., d/b/a Summerdale diner and Drosos Kostopolous (hereinafter "Defendants"). The Agreement further provided Defendants were to pay Plaintiff same as invoiced. 2. Defendants filed an Answer to Plaintiff's Complaint on or about February 6, 2012 (hereinafter "Answer"). 3. In their Answer, Defendants admit the following relevant material facts: a) The identity of the Parties (Answer at ¶ 1, 2 & 3); b) Defendants entered into a contract with Plaintiff, for Plaintiff to provided goods and services to Defendants (Answer at ¶ 4); c) Plaintiff provided goods and services to the Defendants (Answer at ¶5); and d) Plaintiff has demanded payment and that the Defendants have refused to pay the same (Answer at ¶6). 4. In their Answer, Defendants deny the amounts due and owing Plaintiff (Answer, ¶10). 5. To further support the averments in the Complaint, Plaintiff has filed a sworn Affidavit which is marked as Exhibit "A", attached hereto and incorporated by reference. In the Affidavit, an authorized representative of Plaintiff certifies that the Defendants are in default under the Agreement and further certifies the amount due and owing Plaintiff. This testimony is based on the Statement of Account, which reflects the items invoiced and accepted and payments received, which is a business record of Plaintiff maintained in the regular course of business. 6. The amount due and owing Plaintiff by Defendants under the Agreement is $75,224.47, itemized as follows: Unpaid Invoices (4/9/10-3/23/11) $ 48,813.37 Interest (5/21/10 - 2/7/12 @ 1 '/2%) $ 11,366.22 Attorneys' Fees (25% of amount due) $ 15,044.88 TOTAL $ 75,224.47 with interest on the Unpaid Invoices ($48,813.37) from February 8, 2012, at the rate of 1 1/z% per month, plus additional attorney's fees and costs of suit. 7. Defendants have admitted to signing the agreement and have generally denied the amount due and owing as a conclusion of law. Defendants have failed to raise any genuine issue of material fact and have failed to offer any valid defense for the breach of contract. Therefore, pursuant to Pa.R.C.P. 103 5.2, Plaintiff is entitled to summary judgment as a matter of law.
