AGREEMENT T0~ INDEMNIFY, RECEIPT, AND RELEASE
THIS AGREEMENT, by an among Jane E. Clifford, Executrix of the Estate of Marie A.
Clifford, Paul H. Clifford and Jane .Clifford, beneficiaries of the Estate of Marie A. Clifford.
WHEREAS, Marie A. Clifford died August 20, 2009, testate, a resident of Cumberland
County, Pennsylvania; and
WHEREAS, the Last Will d Testament of Marie A. Clifford dated July 29, 2008, was
duly probated in the Office of the R gister of Wills of Cumberland County, Pennsylvania as
appears of record at Number 21-09- 900 (a copy of the Will is attached hereto and marked
Exhibit A); and
WHEREAS, Letters

of Common Pleas of Cumberland ounty, it being the desire of the parties to avoid the expense,
delay and publicity of a formal acc unting.
