NO: 2012-194 CIVIL ACTION - LAW CHELSEA GOLIGHTLEY Defendant COMPLAINT AND NOW, comes the Plaintiff Capital Asset Property Management, LLC, by and through their counsel, Nancy H. Meyers, Esquire of SALZMANN HUGHES, P.C., and files this Complaint and in support thereof avers the following: 1. Plaintiff Capital Asset Property Management, LLC is a Pennsylvania Limited Liability Company with a business address of 2000 Powell Drive, Chambersburg, PA, 17201. 2. Defendant Chelsea Golightley is an adult individual residing at 79 Lyndwood Avenue, Hanover Township, PA 18706. 3. Plaintiff Capital Asset Property Management, LLC owns a residential dwelling located at 103 Brookside Avenue, Shippensburg, Cumberland County, Pennsylvania 17257. 4. Defendant entered into a written residential Lease Agreement on October 28, 2010 (a true and correct copy of which is attached hereto and incorporated herein as Exhibit A) with Plaintiff for Apartment 412 within the residential dwelling at 103 Brookside Court, Shippensburg, Cumberland County, Pennsylvania 17257 (the "Leased Property") 5. The Lease Agreement was for the period beginning August 22, 2011 and ending on May 6, 2012. 6. The Lease Agreement required Defendant to pay the sum of Three Hundred Dollars ($300.00) (as a partial payment for the Fall semester) on March 1, 2011, the sum of Two Thousand Ninety-Five Dollars ($2,095.00) on July 1, 2011 for the Fall Semester for the Leased Property, and the sum of Two Thousand Three Hundred Ninety-Five Dollars ($2,395.00) on November 1, 2011 for the Spring Semester for the Leased Property. 7. Defendant failed to submit the lease payment for the Fall 2011 semester in the amount of $2,095.00 in violation of the Lease Agreement. 8. Defendant failed to submit the lease payment for the Spring 2012 semester in the amount of $2,395.00 in violation of the Lease Agreement. 9. The Lease Agreement provides for a late fee of $75.00 after the fifth day rent is not paid. 10. Defendant did not inform Plaintiff that she was not returning to the Shippensburg area to take possession of the premises. 11. Plaintiff was not required to give Defendant a notice of default as Defendant waived the right to receive a "notice to quit" or "notice to vacate" from the Landlord in Section Eight of the Lease Agreement, and also because Defendant never took possession of the Leased Property. 12. Plaintiff filed a Landlord Tenant Complaint with Magisterial District Judge Brenda M. Knepper (Magisterial District 09-3-01) against Defendant to recover rent and damages on or about September 1, 2011. 13. On September 15, 2011, the Landlord Tenant Complaint was withdrawn after Magisterial District Judge Brenda M. Knepper informed Plaintiff that since Defendant never took possession, Plaintiff would instead have to file a civil. complaint. 14. Plaintiff filed a Civil Complaint with Magisterial District Judge Brenda M. Knepper (Magisterial District 09-3-01) against Defendant to recover rent and damages on September 20, 2011. 15. Magisterial District Judge Brenda M. Knepper (Magisterial District 09-3-01) dismissed the Complaint without prejudice on October 13, 2011. 16. On November 22, 2011, Plaintiff refilled the Complaint. 17. On December 20, 2011, after hearing, Magisterial District Judge Brenda M. Knepper (Magisterial District 09-3-01) entered judgment for the Defendant. A copy of the judgment is attached hereto and incorporated herein as Exhibit B. 18. As a result of Defendant's failure to abide by the Lease Agreement, the Plaintiff's damages are as follows: a. Seventy-Five Dollars ($75.00) late fee from the Fall 2011 lease payment; b. Seventy-Five Dollars ($75.00) late fee from the Spring 2012 lease payment; c. Two Thousand Ninety-Five Dollars ($2,095.00) for the Fall Semester lease payment; and d. Two Thousand Three Hundred Ninety-Five Dollars ($2,395.00) for the Spring Semester lease payment. 19. As of the date of this Complaint, Defendant owes Plaintiff the sum of Four Thousand Six Hundred Forty Dollars ($4,640.00) for rent and late fees. 20. Despite Plaintiff's demands for payment, Defendant has failed to pay to Plaintiff all sums due and owing under the Lease Agreement. WHEREFORE, Plaintiff requests this Honorable Court to enter judgment in favor of Plaintiff and against Defendant in the amount of Four Thousand Six Hundred Forty Dollars ($4,640.00) together with costs in connection with this action. Chelsea also sent an email to Plaintiff at or around that same time; however, the email was sent using Chelsea's student email account, which has since been erased by Shippensburg University, so there is currently no copy of this email available. 11. Defendant was approached in October of 2010 to sign a Lease Agreement binding her to a rental period which would not begin for another ten months. 31. Plaintiff drafted, or caused to be drafted, the Lease Agreement. 32. The Lease Agreement consisted of at least 48 separate provisions and was 14 pages long. 33. Defendant was afforded no realistic opportunity to negotiate or modify any of the terms of the Lease Agreement. 34. The Lease Agreement was a contract of adhesion. 35. The provision(s) which allegedly bound Defendant to payment of all rents for the entire term, even if she gave good faith notice and sufficient justification for a change in plans during the ten months between the signing of the Lease Agreement and the start of the lease term, were unconscionable and against public policy. 36. Defendant Chelsea Golightley's step-father died suddenly and unexpectedly in June of 2011. Page 4 of 8 37. Within a week of her step-father's untimely passing, Defendant informed Shippensburg University of her step-father's death, that she would be living with her mother in Wilkes-Barre, Pennsylvania, and that she would therefore not be able to return to attend classes in the fall. 38. Within a week of her step-father's untimely passing, Defendant informed Plaintiff of her step-father's death, that she would be living with her mother in Wilkes-Barre, Pennsylvania, and that she would therefore not be able to use the room described in the Lease Agreement. 39. At or about the same time, Defendant's mother also called Plaintiff to make sure they knew her daughter would not be returning in the fall and would be unable to use the room described in the Lease Agreement. 40. During the summer of 2011 Defendant tried to find a suitable tenant to live in the room described in the Lease Agreement. 41. It is believed and therefore averred Plaintiff did not make any real effort to find a new tenant. 42. It is believed and therefore averred that whenever a renter suffers a change in circumstances during the period between the signing of a lease and the commencement of the period of possession, it is the policy of Plaintiff, rather than making any realistic efforts to re-rent the unit, to aggressively attempt to collect unpaid rents for the units which has never been occupied; thereby collecting rents on rooms which remain locked and unused, suffering no wear and tear. 43. Plaintiff's complaint is barred for failing to mitigate any of their claimed damages. COUNTERCLAIM COUNT I: ILLEGAL CONTRACT 44. All previous paragraphs are incorporated by reference. 45. The Lease Agreement attached as Exhibit "A" to Plaintiff's Complaint is signed by Mark Amer as the agent for Plaintiff. 46. When Mark Amer executed the Lease Agreement he was not the owner of the property described in the lease. 47. When Mark Amer executed the Lease Agreement Plaintiff he was not a licensed real estate agent in the Commonwealth of Pennsylvania. 48. Pursuant to 63 P.S. § 455.304(10), Mark Amer was therefore authorized to "show apartments and provide information on rental amounts, building rules and regulations and leasing determinations," but he was specifically not authorized to "enter into leases on behalf of the owner, to negotiate terms or conditions of occupancy with current or prospective tenants or to hold money belonging to tenants other than on behalf of the owner." 49. The Lease Agreement, executed by Mark Amer as agent for Plaintiff Capital Asset Property Management on or about October 28, 2010, was in violation of 63 P.S. § 455.301 et. seq. Page 6 of 8 50. The Lease Agreement was therefore void ab initio. 51. Defendant has a right to rescission of the Lease Agreement and to be placed into the same position she occupied prior to its execution. 52. On or about March 1, 2011, Defendant provided Plaintiff with payment of $300 pursuant to the terms of the Lease Agreement. WHEREFORE, Defendant demands the right to rescind the Lease Agreement and asks for judgment in her favor of $300.00, and for all consequential and incidental damages, including reasonable attorney's fees and any other relief this Court deems just and proper. COUNT II: VIOLATION OF THE PLAIN LANGUAGE CONSUMER CONTRACT ACT 53. All previous paragraphs are incorporated by reference. 54. The Lease Agreement attached as Exhibit "A" to Plaintiff's Complaint does not comply with the Plain Language Consumer Contract Act, 73 P.S. § 2201 et. seq., in that it fails to comply with the general rule, language guidelines and visual guidelines stated in 73 P.S. § 2205. 55. As a result of Plaintiff's failure to comply with the Pursuant to 73 P.S. § 2207, Defendant is entitled to compensation in an amount equal to the value of any actual loss caused by the violation of the Act, statutory damages of $100, court costs, reasonable attorney fees, and any equitable and other relief ordered by the court. 56. On or about March 1, 2011, Defendant provided Plaintiff with payment of $300 pursuant to the terms of the Lease Agreement. Page 7 of 8 57. As a result of Plaintiff's actions Defendant incurred and will continue to incur reasonable attorney's fees, expenses, and costs.
