Plaintiff, Banc of America Leasing and Capital, LLC, successor-by-merger to Fleet Capital Corporation ("Plaintiff') is a corporation with offices located at 299 Cherry Hill Road, Parsipanny, New Jersey 07054. 2. Defendant, Carelton Communications, Inc. is, upon information and belief, an entity with offices located at 937 Nixon Drive, Mechanicsburg, PA 17055. FACTUAL BACKGROUND 3. On or about June 18, 2006, Defendant entered into a Lease Agreement ("Lease") with GE Commercial Finance. See a true and correct copy of the Lease attached hereto as Exhibit "A" and incorporated herein by reference. 4. The Lease was subsequently assigned to Plaintiff. 5. The equipment which is the subject of the Lease was delivered to and accepted by the Defendant. See a true and correct copy of the Certificate of Acceptance attached hereto as Exhibit "B" and incorporated herein by reference. 6. The Defendant agreed to pay the payments reflected in the Lease and the payments are fair and reasonable. 7. The Defendant failed to make the payments due to Plaintiff pursuant to the Lease. 8. The failure to make payments to Plaintiff constituted a default under the Lease and, therefore, the total amount due under the Lease was accelerated and a Complaint was filed in the U.S. District Court for the Middle District of Pennsylvania to enforce the terms of the lease. See a true and correct copy of the Complaint attached hereto as Exhibit "C" and incorporated herein by reference. 9. Thereafter, Plaintiff and Defendant reached a settlement agreement as resolution of the matter, which was memorialized in a Stipulation of Settlement and executed by all parties on November 2, 2009. See a true and correct copy of the Stipulation of Settlement attached hereto as Exhibit "D" and incorporated herein by reference. 10. The U.S. District Court thereafter executed an Order dismissing the action as settled on November 12, 1009. See a true and correct copy of the Order attached hereto as Exhibit "E" and incorporated herein by reference. 11. Under the terms of the Stipulation of Settlement, Defendant must pay to Plaintiff the sum of $146,269.20 in full and final settlement of all claims related to the Lease. The settlement was to be paid in 102 consecutive monthly installments in the amount of $1,400.00 each beginning on December 1, 2009 and one final payment of $469.20 thereafter. See the Stipulation of Settlement attached hereto as Exhibit "D." 12. Defendants have not made a required payment since February 11, 2011. 13. Paragraph 5 of the Stipulation of Settlement states that, in the event of default by Defendant, the entire balance set forth in the Complaint in this lawsuit of $153,269.20, minus payments made in the amount of $7,000.00 equaling $146,269.20 plus additional attorney's fees and costs incurred in enforcing the Stipulation of Settlement shall become immediately due and payable. It further states that, in the event of default, Plaintiff shall have the right to enter judgment for the full amount demanded in the Complaint for the Lease. See the Stipulation of Settlement attached hereto as Exhibit "D." 14. Despite frequent demands, the Defendants have failed, neglected and continues to fail or neglect to pay Plaintiff as required by the Stipulation of Settlement. 15. The failure to make the monthly payments as required by the Stipulation of Settlement constitutes a default and therefore the total amount due under the Stipulation of Settlement is now due. WHEREFORE, Plaintiff respectfully requests this Honorable Court to grant judgment in its favor and against the Defendants, in the amount of $146,269.20 plus interest, court costs and additional attorneys' fees, and grant such other and further relief as this Court deems just and proper. COUNTI Breach of Contract 19. Plaintiff hereby incorporates by reference the averments of all the Paragraphs above as though each were fully set forth herein. 20. Defendant's failure to remit the monthly payments due and owing to Plaintiff constitutes a breach of the Stipulation of Settlement Agreement. WHEREFORE, Plaintiff respectfully requests this Honorable Court to grant judgment in its favor and against the Defendants in the amount of $146,269.20, plus interest, court costs and additional attorneys' fees, and grant such other and further relief as this Court deems just and proper. The equipment which is the subject of the Lease was delivered to and accepted by the Defendant. The Defendant agreed to pay the payments reflected in the Lease and the payments are fair and reasonable. 10. The Defendant has failed to make the payments due to BALCAP pursuant to the Lease. 11. The failure to make payments to BALCAP constitutes a default under the Lease and, therefore, the total amount due under the Lease has been accelerated and the amounts owed by the Defendant under the terms and conditions of the Lease are as follows: Accelerated Balance $113,876.00 Court Costs $ 350.00 2 Late Fees Attorney's Fees $ 8,459.36 $ 30,583.84 TOTAL DUE TO BALCAP $153,269.20 12. Defendant, CMI PrintGraphix, Inc. a/k/a CyberNet Information Media, Inc. (as Successor in Interest to) Carleton Communications, Inc. d/b/a CyberNet Information Media, Inc. is, upon information and belief, an entity with offices located at 937 Nixon Drive, P.O. Box 364, Mechanicsburg, PA 17055. FACTUAL BACKGROUND 3. On or about October of 2005 Carleton Communications was acquired by Corporate Media International, Inc., ("CMI"), the company then operated as a wholly owned subsidiary of CMI PrintGraphix which also is known as CyberNet Information Media, Inc. See a true and correct copy of a Case Study attached hereto as Exhibit "A" and incorporated herein by reference. 4. On or about June 18, 2006, Carleton Communications, Inc. ("Carleton") entered into a Lease Agreement ("Lease") with GE Commercial Finance. See a true and correct copy of the Lease attached hereto as Exhibit "B" and incorporated herein by reference. 5. The Lease was subsequently assigned to Plaintiff. See a true and correct copy of the assignment attached hereto as Exhibit "C" and incorporated herein as referenced. 6. The equipment which is the subject of the Lease was delivered to and accepted by Carleton. See a true and correct copy of the Certificate of Acceptance attached hereto as Exhibit "D" and incorporated herein by reference. 7. Carleton failed to make the payments due to Plaintiff pursuant to the Lease. 8. The failure to make payments to Plaintiff constituted a default under the Lease and, therefore, the total amount due under the Lease was accelerated and a Complaint was filed in the U.S. District Court for the Middle District of Pennsylvania to enforce the terms of the Lease. See a true and correct copy of the Complaint attached hereto as Exhibit "E" and incorporated herein by reference. 9. Thereafter, Plaintiff and Carleton reached a settlement agreement as a resolution of the matter, which was memorialized in a Stipulation of Settlement and executed by all parties on November 2, 2009. See a true and correct copy of the Stipulation of Settlement attached hereto as Exhibit "F" and incorporated herein by reference. 10. The U.S. District Court thereafter executed an Order dismissing the action as settled on November 12, 1009. See a true and correct copy of the Order attached hereto as Exhibit "G" and incorporated herein by reference. 11. Under the terms of the Stipulation of Settlement, Carleton was to pay Plaintiff the sum of $143,269.20 in full and final settlement of all claims related to the Lease. The settlement was to be paid in 102 consecutive monthly installments in the amount of $1,400.00 each beginning on December 1, 2009 and one final payment of $469.20 thereafter. See the Stipulation of Settlement attached hereto as Exhibit "F." 12. Carleton has not made a required payment since February 11, 2011. 1.3. Four of the five payments received from Carleton were made from an account held by CMI PrintGraphix, Inc., Executive Suites at the Garden, 1100 South Avenue, Staten Island, NY 10314. See a true and correct copy of the payments attached hereto as Exhibit "H" and incorporated herein by reference. 14. Paragraph 5 of the Stipulation of Settlement states that, in the event of default by Carleton, the entire balance set forth in the Complaint in this lawsuit of $153,269.20, plus additional attorney's fees and costs incurred in enforcing the Stipulation of Settlement shall become immediately due and payable. It further states that, in the event of default, Plaintiff shall have the right to enter judgment for the full amount demanded in the Complaint for the Lease.
