COMPLAINT
AND NOW, comes the Plaintiff, John Gross & Company, by and through its attorneys,
MARTSON DEARDORFF WILLIAMS OTTO GILROY & FALLER, and hereby avers the
following:
1. Plaintiff, John Gross & Company, is a food service distributor with a business address
at 400 Cheryl Avenue, P.O. Box 1189, Mechanicsburg, Cumberland County, Pennsylvania, 17055.
2. Defendant Irish Restaurants LP d/b/a Coakley's Restaurant is a Pennsylvania limited
partnership with a business address of 322 Equus Drive, Camp Hill, Cumberland County,
Pennsylvania.
3. The General Partner of Irish Restaurants LP is Irish New Cumberland, LLC, a
Pennsylvania limited liability company, with a registered office address of 322 Equus Drive, Camp
Hill, Cumberland County, Pennsylvania.
4. Defendant, Timothy Hogg, is an adult individual, with an address of 322 Equus Drive,
Camp Hill, Cumberland County, Pennsylvania 17011.
COUNT I- BREACH OF CONTRACT
5. Plaintiff hereby incorporates paragraphs 1 through 4 as though fully set forth.
6. Plaintiff and Defendant Irish Restaurants LP began a course of dealings in which
Plaintiff would deliver food service items to Defendant Irish Restaurants LP's business location,
Coakley's Restaurant, 305 Bridge Street, New Cumberland, Cumberland County, Pennsylvania
17070.
7. Defendant Irish Restaurants LP has refused and otherwise failed to make any payment
of the invoices for food service items it received from Plaintiff between 2009 and 2011. True and
correct copies of the invoices are attached hereto as Exhibit "A".
8. Defendant Irish Restaurants LP made no other attempts at payment or actual payment
for the goods received.
9. Defendant Irish Restaurants LP has breached its contractual duty to make payment
for the goods received.
10. As a direct and proximate result of Defendant Irish restaurants LP's breach, Plaintiff
has suffered an economic loss in excess of $48,227.69.
WHEREFORE, based on the foregoing, Plaintiff respectfully demands judgment in its favor
in the amount of $48,227.69, as of January 11, 2012, together with interest at 18% per annum,
finance charges, costs, attorney fees, and any other remedy this Court may deem appropriate.
COUNT II- QUANTUM MERUIT
11. Plaintiff hereby incorporates paragraphs 1 through 10 as though fully set forth.
12. Defendants are liable to the Plaintiff and/or have been unjustly enriched in excess of
$48,227.69.
WHEREFORE, based on the foregoing, Plaintiff respectfully demands judgment in its favor
in the amount of not less than $48.227.69, together with interest at 18% per annum costs, attorney's
fees and any other remedy this Court may deem appropriate.
COUNT IV - MISREPRESENTATION AND FRAUD
13. Plaintiff hereby incorporates by reference the averments contained in Paragraphs 1
through 12 as if fully set forth.
14. On or about November 8, 2011, Defendant Timothy J. Hogg issued a check in the
name of Irish Restaurants LP to Plaintiff in the amount of $500.00. A true and correct copy of the
redacted check is attached hereto as Exhibit "B."
15. The check was stopped from being honored.
16. Defendant Timothy Hogg has issued a check that could not be honored.

PRELIMINARY OBJECTIONS TO PLAINTIFF'S COMPLAINT
Defendants, by and through their counsel, John P. Zeigler, Esquire and Swartz Campbell
LLC, files preliminarily objections to the Complaint filed by Plaintiff, and in support aver as follows:
The Complaint alleges a breach of contract however fails to state whether the
purported agreement is oral or written as required per Pennsylvania Rule of Civil
Procedure 1019 (h).
2. The Complaint fails to attach any alleged contract between the parties nor plead with
specificity the terms of any alleged contractual relationship between the parties.
3. This failure is significant in part as Defendants believe no demand was proffered
prior to Plaintiff's initiating the filing of a Complaint.
4. Plaintiff has failed to plead with specificity the "certain goods" that were purportedly
received by Plaintiff and for which a $500.00 check was issued by Defendant Irish
Restaurants, LP.
5. This failure is significant as Defendant's believes the promised goods were not in fact
delivered by Plaintiffs.
6. Plaintiff has failed to plead with specificity that a check was issued for which there
was not sufficient funds where rather their purported evidence only shows that
payment was stopped.
7. Plaintiff has failed to plead with specificity that a check was issued that could not be
honored.
8. Plaintiff has failed to plead with specificity how Defendant Tim Hogg misrepresented
that he individually could pay for certain goods where the check was in the name of
Irish Restaurants, LP.
Wherefore, Defendants request judgment in favor of Defendants and
against Plaintiff.

AND NOW, comes the Plaintiff, John Gross & Company, by and through its attorneys,
MARTSON DEARDORFF WILLIAMS OTTO GILROY & FALLER, and hereby avers the

1. Plaintiff, John Gross & Company, is a food service distributor with a business address
at 400 Cheryl Avenue, P.O. Box 1189, Mechanicsburg, Cumberland County, Pennsylvania, 17055.
2. Defendant Irish Restaurants LP d/b/a Coakley's Restaurant is a Pennsylvania limited
partnership with a business address of 322 Equus Drive, Camp Hill, Cumberland County,
Pennsylvania ("Defendant Coakley's).
3. The General Partner of Irish Restaurants LP is Irish New Cumberland, LLC, a
Pennsylvania limited liability company, with a registered office address of 322 Equus Drive, Camp
Hill, Cumberland County, Pennsylvania.
4. Defendant, Timothy Hogg, is an adult individual, with an address of 322 Equus Drive,
Camp Hill, Cumberland County, Pennsylvania 17011 ("Defendant Hogg").
COUNT I- BREACH OF CONTRACT
Plaintiff v. Defendant Coakley's
5. Plaintiff hereby incorporates paragraphs 1 through 4 as though fully set forth.
6. Defendant Coakley's requested that Plaintiff deliver goods (mainly produce, sauces,
condiments, cheeses and dough as more fully set forth on the "Invoices") (herein, the "Goods") to
Defendant Coakley's business location which is identified as Coakley's Restaurant, 305 Bridge
Street, New Cumberland, Cumberland County, Pennsylvania 17070.
7. As a result of the request, Plaintiff and Defendant reached an agreement that Plaintiff
would supply Goods and Defendant Coakley's would pay for the same within thirty (30) days.
8. The terms of agreement were outlined in a written Credit Agreement executed on
December 23, 2008, by Defendant Coakley's and re-affirmed in the form of an invoice for each
delivery of Goods (collectively, the "Invoices"). A copy of the Credit Agreement is attached hereto
as Exhibit "A". A copy of the first invoice is attached hereto as Exhibit "B" and a statement showing
all outstanding Invoices is attached as Exhibit "C." All of the invoices are not being produced
because of the quantity of invoices, but will be produced upon request. The invoices are dated
between 2009 and 2011.
9. By accepting the Goods, Defendant Coakley's accepted the terms of the invoices.
10. As a result of such agreement, Defendant Coakley's would be billed for the Goods
and would then pay them per the terms of the invoices.
11. Defendant Coakley's has refused and otherwise failed to make any payment of the
outstanding invoices during the period as set forth on the invoices between 2009 and 2011.
12. Defendant Coakley's has breached its contractual duty to make payment for the
Goods received.
13. As a direct and proximate result of Defendant Coakley's breach, Plaintiff has suffered
an economic loss in excess of $48,227.69.
14. Defendant Coakley's has had a history with Plaintiff of failing to make payments in
a timely manner and paying with checks that were either not honored or stopped from being honored.
15. Plaintiff has contacted Defendant Coakley's on several occasions about its failure to
pay as evidenced by letters dated March 18, 2010, and June 8, 2011. A true and correct copy of each
letter is attached hereto as Exhibits "D."
WHEREFORE, based on the foregoing, Plaintiff respectfully demands judgment in its favor
in the amount of $48,227.69, as of January 11, 2012, together with interest at 18% per annum,
finance charges, costs, attorney fees, and any other remedy this Court may deem appropriate.
COUNT II- QUANTUM MERUIT
Plaintiff v. Defendant Coakley's
16. Plaintiff hereby incorporates paragraphs 1 through 15 as though fully set forth.
17. In the alternative, should an agreement not be found to exist as alleged above,
Defendant Coakley's is liable to the Plaintiff and/or has been unjustly enriched in excess of
$48,227.69 for the Goods.
WHEREFORE, based on the foregoing, Plaintiff respectfully demands judgment in its favor
in the amount of $48,227.69, as of January 11, 2012, together with interest at 18% per annum,
finance charges, costs, and any other remedy this Court may deem appropriate.
COUNT III - MISREPRESENTATION AND FRAUD
Plaintiff v. Defendant Hogg
18. Plaintiff hereby incorporates paragraphs 1 through 17 as though fully set forth.
19. Defendant issued two checks dated February 11, 2010, in the amount of $7695.56 and
March 1, 2010, in the amount of $5,958.20, that are similar to the check attached hereto as Exhibit
«E„
20. Both of the checks referenced in Paragraph 19 were returned to Plaintiff for
insufficient funds.
21. On or about November 8, 2011, Defendant Coakley's attempted to make a payment
on behalf of one or more past due invoices.
20. On or about November 8, 2011, Defendant Hogg issued a check in the name of Irish
Restaurants, LP to Plaintiff in the amount of $500.00. A true and correct copy of the redacted check
is attached hereto as Exhibit "E."
21. The check was stopped from being honored.
22. It is believed and, therefore averred, that Defendant Hogg has issued a check that
could not be honored.
23. It is believed and therefore averred, that Defendant Hogg knew or should have known
that there was not sufficient funds when the check was issued.

24. Defendant Timothy Hogg has fraudulently misrepresented to Plaintiff that he could
pay for certain goods received from Plaintiff on more than one occasion.
25. Plaintiff relied on the issuance of the checks by Defendant Hogg that a certain portion
of the Goods would be paid for.
WHEREFORE, Plaintiff demands judgment against Defendant Hogg in the total amount of
$500.00, plus interest at 18% per annum, costs, attorney's fees and any other remedy this Court may
deem appropriate.

In consideration for the extension of credit and intending to be legally bound hereby, the undersigned Buyer hereby agrees that the following terms will
govern any charge account established by John Gross & Co. (Seller) for Buyers benefit.
1. Payment. Buyer hereby agrees to pay the Time Sale Price of purchases charged to Buyers account. The Time Sale Price shall consist of the cash
sale price including applicable sales tax and delivery charges, if any, plus service charges and any finance charge which may accrue pursuant to paragraph
two (2) hereunder.
2. Past Due Accounts. Payment is due upon receipt. Failure to pay within 30 days of receipt ("the billing date") constitutes a default. Buyer hereby agrees
that interest charges of 1112 per month or 18% per annum will be assessed on any account balance which is not satisfied within 30 days of the Billing Date.
3. Seller's Remedies. In the case of Buyer's Default, Buyer's entire account balance shall become due and payable. Seller's waiver of any Default shall
not operate as a waiver of any other Default. If Buyer's account is referred for collection to an attorney, Buyer will pay, to the extent permitted by law,
reasonable attorney's fees and court costs incurred.
4. Seller's Discretion. The extension of temporary credit pursuant to this Agreement is within Seller's sole discretion and Seller may terminate this
Agreement any time and for any reason.
5. Credit Check. Buyer hereby authorizes the firms and banking institutions listed above to furnish any information requested by Seller to process this
application; and Buyer agrees that neither those firms nor their employees shall be liable for any claim of damages as a result of furnishing the requested
information.
6. Buyer shall pay Seller a service charge of $25.00 for each check returned by the Buyer's bank, unless said service charge would result in the
violation of the usury laws of the applicable jurisdiction.
Buyer shall notify Seller by certified mail immediately upon any change of ownership or change of Address of Buyer.
Buyer shall completely fill out all sections of the Credit Application before credit can be extended.
CONFESSION OF JUDGEMENT
I/We hereby irrevocably authorize and empower any prothonotary, clerk, or attorney of any court of record within the United States or elsewhere to appear for
me/us and, with or without declaration, to confess judgement at any time or times against each, any or all of us and in favor of the Seller for the amount
demanded by Seller to any Past Due Account under this Credit Application and Agreement, plus interest, costs of collection, and attorneys fees provided
therein; and for so doing, this Agreement or a copy thereof, verified by affidavit shall be sufficient warrant. I/we hereby release all errors and expressly waive
all rights to any stay of execution under any law or rule of court now in force or hereafter enacted. All of the foregoing promises are the joint and several
promises of me/us and shall bind me/us, my/our heir, succession and assigns. I/we waive protest, demand and notice of nonpayment. The authority granted
herein to confess judgment against me/us shall not be exhausted by any exercise of that authority, but shall continue from time to time and at all times until

DISCLOSURE
A. I/we understand that the above constitutes a Confession of Judgment provision that would permit the Seller to enter judgment against me/us in court, after
a failure to pay on demand any Past Due Account, without advance notice to me/us and without offering me/us an opportunity to defend against the entry of
judgment. In executing the Agreement, being fully aware of my/our rights to advance notice and to a hearing to contest the validity of any judgment or other
claims that the Seller may assert against me/us. I/we am knowingly, intelligently and voluntarily waiving these rights, including any right to advance notice of
the entry of judgment, and I/we expressly agree and consent to the Seller's entering judgment against me/us by confession as provided for in this Confession
of Judgment provision.
B. I/we further understand that in addition to giving the Seller the right to enter judgment against me/us without advance notice or a hearing, this Confession
of Judgment also contains language that would permit the Seller, after entry of judgment, to execute on the judgment by foreclosing upon, attaching, levying
on, taking possession of or otherwise seizing my/our property, in full or partial payment of the judgment. Being fully aware of my rights to advance notice and
a hearing after judgment is entered and before execution on the judgment, I/we am knowingly, intelligently and voluntarily waiving these rights, and I/we
expressly agree and consent to the Seller's executing on the judgment, in any manner permitted by applicable state and federal law.

PLAINTIFF'S FIRST AMENDED COMPLAINT
Defendants, by and through their counsel, John P. Zeigler, Esquire and
Swartz Campbell LLC, file preliminarily objections to Plaintiffs First
Amended Complaint and in support aver as follows:
Count I - Breach of Contract
Plaintiff v. Defendant Coakley's
1. Plaintiffs First Amended Complaint avers a contractual
agreement and breach of contract on the basis of a credit agreement and
additional terms of multiple invoices over a three year period.
2. Plaintiff's pleading is legally insufficient as they have failed to
demonstrate the existence of a contract or the essential terms of a contractual
relationship between Plaintiff and Defendant, Irish Restaurants, LP.
3. Accordingly, Plaintiffs allegation of breach of contract is legally
insufficient pursuant to Pa.R.C.P. 1028(a)(4).
4. In paragraph 7 of Plaintiffs First Amended Complaint, Plaintiff
avers that the Plaintiff and Defendant "reached an agreement" after a request
was allegedly made for a supply of Goods.

5. Pursuant to Pa.R.C.P. 1028(a)(3), Plaintiff has failed to plead
with specificity what person or persons requested delivery of goods, how any
alleged agreement to any terms of payment or delivery were "reached" or any
person acting on the part of Plaintiff.
WHEREFORE, Defendants request that Count I of the First Amended
Complaint be dismissed pursuant to a grant of Defendants' demurrer under
Pa.R.C.P. 1028(a)(4), or in the alternative, that Defendants' preliminary
objection under Pa.R.C.P. 1028(a)(3) be granted.
Count II - Quantum Meruit
Plaintiff v. Defendant Coakley's
6. Defendants hereby incorporate paragraphs 1 through 5 as though
fully set forth herein.
7. Plaintiff pleads in the alternative under Count II that Defendants
have been unjustly enriched.
8. Plaintiff's First Amended Complaint is legally insufficient as it
has failed to plead with specificity how purported goods were either wrongfully
secured or passively received by Defendant and what, if any, enrichment was
secured by Defendant.
9. Accordingly, Plaintiff's allegation of unjust enrichment is legally
insufficient pursuant to Pa.R.C.P. 1028(a)(4).
WHEREFORE, Defendants request that Count II of the First Amended
Complaint be dismissed pursuant to a grant of Defendants' demurrer under

Count III - Misrepresentation and Fraud
Plaintiff v. Defendant Hogg
10. Defendants hereby incorporate paragraphs 1 through 9 as though
fully set forth herein.
11. In Count III, Plaintiff purports to allege an cause of action
against Defendant Hogg under misrepresentation and fraud.
12. Pursuant to Pa.R.C.P. 1019(b), averments of fraud or mistake
must be set forth with particularity.
13. In Count III, Plaintiff has failed to plead with particularity and
specificity the certain goods that were purportedly received by Plaintiff and for
which a $500.00 check was issued by Defendant, Irish Restaurants, LP.
14. This failure is significant as Defendants believe that goods
specific to that $500.00 check were not in fact delivered to Plaintiff.
15. Plaintiff has failed to plead with particularity and specificity that
a check was issued for which there were not sufficient funds. Rather, Plaintiff
has only pled that checks "similar" to Exhibit "E" were allegedly returned for
insufficient funds.
16. Accordingly, Plaintiff has failed to plead with particularity and
specificity that where, when and which checks, if any, were issued that could
not be honored.
17. Plaintiff has failed to plead with specificity how Defendant, Tim
Hogg, misrepresented that he individually could pay for certain goods where

the alleged check was issued by Irish Restaurants, LP.
18. Plaintiff's misrepresentation and fraud claims against Defendant,
Tim Hogg, are legally insufficient as they fail to aver how an individual could
be liable for an alleged partnership obligation.
19. Further, Count III fails to cite any specific and particular
misrepresentations, innocent or otherwise, that they allege were made by
Defendant.
20. Accordingly, Plaintiff has failed to plead with particularity and
specificity pursuant to Pa.R.C.P. 1019(b) and 1028(a)(2)&(3).
21. Further, Count III is legally insufficient in regard to allegations
of fraud and misrepresentation pursuant to Pa.R.C.P. 1028(a)(4).
WHEREFORE, Defendants request judgment in their favor in regard to
the above referenced preliminary objections.

OPINION and ORDER
Before the court are the preliminary objections of Defendants Irish Restaurants LP,
s Restaurant, and Timothy Hogg to an Amended Complaint filed by Plaintiff J
& Company. (Defendants' Preliminary Objections to Plaintiffs First
filed May 24, 2012). Plaintiff's Amended Complaint contains three counts: at
I, ~ claim against Defendant Coakley's Restaurant for breach of contract; at Count II, a
Defendant Coakley's for quantum meruit; and at Count III, a claim of
fraud against Defendant Timothy Hogg. (Plaintiffs First Amended Complaint, filed May
202). The Amended Complaint has been preliminarily objected to in the form of a demurrer
all (three counts, by way of a motion to dismiss Counts I and III for lack of specificity, and
of a motion to dismiss Count III for reasons including the failure to conform to law or
of ~ourt and the failure to plead a claim of fraud with the particularity required by
of Civil Procedure 1019(b). (Defendants' Preliminary Objections to Plaintiff's
Complaint, filed May 24, 2012).
Plaintiff s Amended Complaint may be summarized as follows: Plaintiff is a food
with a business address at 400 Cheryl Avenue, P.O. Box 1189,
County, Pennsylvania 17055. (First Amended Complaint, ¶ 1). Defendant
LP, d/b/a Coakley's Restaurant, is a Pennsylvania limited partnership with
address of 322 Equus Drive, Camp Hill, Cumberland County, Pennsylvania 1701
Amended Complaint, ¶ 2). The General Partner of Irish Restaurants LP is Irish N
LLC; a Pennsylvania limited liability company, with a registered office address
Equus Drive, Camp Hill, Cumberland County, Pennsylvania 17011. (First
¶ 3). Defendant Timothy Hogg is an adult individual with an address of 322
Camp Hill, Cumberland County, Pennsylvania 17011. (First Amended Complaint, ¶ 4).
This civil case arises out of a business relationship between the parties in which
to supply to Defendant Coakley's Restaurant various restaurant-related goads, including,
limited to, cheeses, dough, condiments, produce, sauces, coffee, and meats. (First
¶ 6; Ex. B). Plaintiffs Amended Complaint alleged that the parties entered into
credit agreement whereby Plaintiff would supply its goods and Defendant
would pay for the same within thirty days of receipt. (First Amended Complaint, ¶
A). Plaintiff averred that "the terms of agreement were outlined in a written
executed on December 23, 2008, by Defendant Coakley's and re-affirmed in
of an invoice for each delivery of Goods." (First Amended Complaint, ¶ 8). Attached
s Amended Complaint at Exhibit A was a copy of the credit agreement, signed
Hogg on behalf of Irish Restaurants, LP, and which provided, in pertinent part,
TERMS AND CONDITIONS
In consideration for the extension of credit and intending to be legally bound
hereby, the undersigned Buyer hereby agrees that the following terms will govern
any chazge account established by John Gross & Co. (Seiler) for Buyers benefit.

1. Payment. Buyer hereby agrees to pay the Time Sale Price of purchases
charged to Buyers account. The Time Sale Price shall consist of the cash sale
price including applicable sales tax and delivery charges, if any, plus service
charges and any finance charge which may accrue pursuant to paragraph two (2)
hereunder.
2. Past Due Accounts. Payment is due upon receipt. Failure to pay within
30 days of receipt ("the billing date") constitutes a default. Buyer hereby agrees
that interest charges of 1 '/Z % per month or 18% per annum will be assessed on
any account balance which is not satisfied within 30 days of the Billing date.
3. Seller's Remedies. In the case of Buyer's default, Buyer's entire account
balance shall become due and payable. Seller's waiver of any Default shall not
operate as a waiver of any other Default. If Buyer's account is referred for
collection to an attorney, Buyer will pay, to the extent permitted by law,
reasonable attorney's fees and court costs incurred.

a copy of the first invoice issued by Plaintiff to Defendant Coakley's Restaurant and

and fraud, alleging that "Defendant [Hogg] issued two checks dated

Initially, Defendants seek the dismissal of Count I, breach of contract, based on
(i) lack of specificity; and (ii) legal insufficiency.
Pennsylvania is a fact pleading jurisdiction. Foster v. UPMC South Side Hosp., 2010 P
143, 2 A.3d 655, 666 (quoting Lerner v. Lerner, 2008 PA Super 183, ¶ 12, 954 A.2d 1
125). The plaintiff must state the material facts on which a cause of action is based "in
and summary form." Pa.R.Civ.P. 1019(aj. It is well established that a plaintiffl
must provide sufficient factual averments in order to sustain a cause of
v. Hendrzal~ 2011 PA Super 34, 15 A.3d 937, 942. The complaint must "not only
defendant notice of what the plaintiff's claim is and the grounds upon which it rests, but
must also formulate the issues by summarizing those facts essential to support

Applying the foregoing, we find that Plaintiff has properly set forth the

without payment of value. The application of the doctrine depends on the
particular factual circumstances of the case at issue. In determining if the doctrine
applies, our focus is not on the intention of the parties, but rather on whether the
defendant has been unjustly enriched.

The Plaintiff has properly asserted the elements required to make out a cause of action
rneruit. Although recovery on Plaintiffs Count II would be precluded by a
Count I, Plaintiff is permitted under the Pennsylvania Rules of Civil Procedure to
inconsistent and alternative causes of action. Plaintiff's Amended Complaint avers
conferred benefits upon Defendant, specifically, restaurant goods with a value in
of X48,000; that Defendant appreciated and realized the benefits provided, as evidenced by
on each delivery invoice; and that Defendant accepted and retained the goods
in ~uch a manner in which it would be inequitable for Defendant to retain the goods
of value. Thus, Plaintiff has properly asserted a cause of action for quantum
if subsequently proven, would been entitled to recovery. For these reasons,
to Plaintiff s Count II will be overruled.
Lastly, Defendants seek the dismissal of Count III, misrepresentation and fraud, based
grounds: (i) the failure to plead fraud with the requisite particularity and specificity; and (i
insufficiency, in which Defendants' contend that Defendant Hogg cannot be liable in
capacity for an alleged partnership obligation.
Pennsylvania Rule of Civil Procedure 1019(b) provides that "[a]verments of fraud . .

to challenge allegations of fraud where a complaint fails to meet the

Averments of fraud are meaningless epithets unless sufficient facts are set forth
which will permit an inference that the claim is not without foundation or offered

simply to harass the opposing party and to delay the pleader's own obligation....
The pleadings must adequately explain the nature of the claim to the opposing
party so as to permit him to prepare a defense and they must be sufficient to
convince the court that the averments are not merely subterfuge.
York State Elec. & Gas Corp. v. Westinghouse Elec. Corp., 387 Pa.Super. 537, 553,
919, 927 (1989) (quoting Bata v. Central-Penn National Bank of Philadelphia, 423
373, 379-80, 224 A.2d 174 (1966)).
While it remains impossible to establish precise standards as to the degree of
by Rule 1019(b), Pennsylvania courts have consistently mandated that two conditions
be ~iet in order to satisfy the requirement: "(1) the pleadings must adequately explain the
of t~e claim to the opposing party so as to permit the preparation of a defense, and (2) they
be sufficient to convince the court that the averments are not merely subterfuge." Martin
Battery Co., Inc., 530 Pa. 11, 18, 606 A.2d 444, 448 (1992).
In order to maintain a cause of action for fraud, a plaintiff must allege the
(1) a representation; (2) which is material to the transaction at hand; (3) made
knowledge of its falsity or recklessness as to whether it is true or false; (4) with the intent
another into relying on it; (5) justifiable reliance on the misrepresentation; and (6)
injury was proximately caused by the reliance. Bortz v. Noon, 556 Pa. 489, 499,
555, 560 (1999).
With these standards in mind, and after review of Plaintiff s Amended Complaint in

to support a cause of action for misrepresentation and fraud, thus making its Count
deficient. In its claim of fraud, Plaintiff alleges that Defendant Hogg issued two

AND NOW, comes the Plaintiff, John Gross & Company, by and through its attorneys,
MARTSON LAW OFFICES, and in support of its Motion for Sanctions avers as follows:
1. Plaintiff is John Gross & Company, a Pennsylvania business with a principal place
of business located at 400 Cheryl Avenue, Mechanicsburg, Cumberland County, Pennsylvania.
2. Defendants are Irish Restaurants LP d/b/a Coakley;'s Restaurant and Pub, and
Timothy Hogg with a business address of 322 Equus Drive,Camp Hill,York County,Pennsylvania
17011.
3. The parties are currently involved in ongoing discovery.
4. As part of that discovery,Defendant Timothy Hogg was scheduled for a deposition
on June 19,2013,in the office of Plaintiff's counsel.A copy of the Notice of Deposition scheduling
the deposition for June 19, 2013, is attached hereto as Exhibit"A."
5. This deposition had previously been scheduled for May 16,2013 and May 30,2013.
Copies of the Notices of Deposition are attached hereto as Exhibit`B" and Exhibit"C."
6. Plaintiff's counsel was contacted on June 18, 2013, by Attorney John Zeigler, who
indicated that he would be withdrawing as counsel and requested a continuance of Defendant Hogg's
deposition to allow him time to secure new counsel.
7. Due to the several continuances previously granted, Plaintiff opposed Attorney
Zeigler's request and was prepared to move forward with Defendant Hogg's deposition as scheduled.
8. Plaintiff's counsel was later contacted and notified that Defendant Hogg would not
be appearing for his deposition as scheduled on June 19, 2013.
9. Defendant Hogg has wilfully violated the Notice of Deposition for which he had
previously agreed to appear.
10. Counsel of record, John Zeigler, has been contacted regarding his concurrence;
however, Attorney Zeigler has previously filed a Motion to withdraw as counsel for Mr. Hogg and
could not provide his concurrence.

AND NOW, comes the Plaintiff, John Gross & Company, by and through its attorneys,
MARTSON LAW OFFICES,and in support of its Petition to Make Rule Absolute avers as follows:
1. Plaintiff filed a Motion to Compel on June 25, 2013, requesting that Defendant
Timothy Hogg be required to comply with all further notices of deposition.
2. On June 27, 2013, the Honorable Kevin A. Hess issued a Rule to Show Cause on
Defendant Timothy Hogg as to why Plaintiff's relief should not be granted. Defendant Hogg was
ordered to answer the Rule to Show Cause within 20 days of service.
3. Defendant Hogg has not answered the Rule to Show Cause.
WHEREFORE, Plaintiff respectfully requests this Honorable Court to make its Rule
absolute, and grant Plaintiff s Motion to Compel.
