C.J C~ Respondents, Sharon Taylor, and Dana Dagle-Lowe, by and through counsel, Paul D. Daggs, Esquire, hereby respond to the above-captioned Petition as follows: 1. Admitted in part, denied in part. Respondents acknowledge that the Petitioner is Deborah Heisler. However, Respondents have no knowledge as to the Petitioner's current address. 2. Admitted. 3. Admitted. FORMAL ACCOUNTING 4. Denied. The averments contained in paragraph 4 are specifically denied. Petitioner never requested an accounting, either directly or through counsel. This Petition was the first correspondence received by Respondents from Petitioner's present counsel. 5. Denied. The averments contained in paragraph 5 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed to be required, the averments are specifically denied. By way of further response, x~ _z ~-ii; r-~ .. -~, ~, ~~ ~~ l.~ O _~ Respondents hereby declare that an Informal Accounting and Settlement Agreement was prepared in January, 2012, after ensuring that all tax issues, inheritance and income, were resolved. However, Respondents did not know where to send the Informal Accounting. Petitioner's previous counsel, David Getz, Esquire, did not respond that he in fact represented Petitioner; rather, he only sent Respondents' counsel two letters of inquiry, which were replied to by Respondents' counsel based on the information available at that time (Exhibit A). Moreover, Petitioner moved from her Hilton Head, South Carolina, residence in August, 2010, and has not supplied Respondents with current contact information, so no correspondence could be sent to Petitioner directly. The Informal Accounting that was completed has been adjusted to account for the month of February, 2012, including the additional costs associated with responding to this Petition, and is attached hereto as Exhibit B, together with all supporting documents. 6. Admitted. WHEREFORE, Respondents respectfully request this Honorable Court to deny the relief sought in the Petition. TRANSFER OF REAL PROPERTY 7. Paragraph 7, being a paragraph of incorporation, does not require a response. 8. Admitted in part; denied in part. The averments in paragraph 8 are admitted; however, Respondents submit that they are irrelevant since this transaction never occurred. By way of further response, Respondents' counsel hereby indicates that no Exhibits were attached to the Petition received. 9. Denied. The averments contained in paragraph 9 call for conclusions of law, to which no response is required. To the extent that a response is judicially deemed necessary, the averments are specifically denied. By way of further response, Respondents' counsel hereby indicates that the Petition received did not include any Exhibits. An appraisal was sought for purposes of completing the Inheritance Tax Return. Moreover, the averments in paragraph 9 are irrelevant since this transaction never occurred. 10. Admitted in part; denied in part. An appraisal was received reflecting an appraisal value of $160,000 - $165,000. Said appraisal is attached hereto as Exhibit C. However, Respondents specifically deny that those figures reflected the market value. This issue is addressed more fully in paragraph 15 of this Response. 11. Admitted. 12. Admitted. See Exhibit A. 13. Admitted in part; denied in part. At the time of the transfer, David Dagle was a staff attorney at Dethlefs-Pykosh Law Group, LLC. However, he currently has his own practice and no longer works for the Dethlefs-Pykosh Law Group, LLC. Respondents' counsel has his own practice and is Of Counsel at the Dethlefs-Pykosh Law Group, LLC. Respondents hereby declare that any relationship between David Dagle and counsel for Respondents has only benefitted the estate and Petitioner through discounted legal fees. 14. Admitted. The HUD-1 is hereby attached as Exhibit D. 15. Denied. The averments contained in paragraph 15 call for conclusions of law, to which no response is necessary. To the extent that a response is judicially deemed necessary, the averments are specifically denied. Contrary to the averments in the Petition, the transfer at issue was in fact for fair market value and only served to increase the estate residue which has benefits Petitioner. (a) By way of further response, Respondent, Sharon Taylor, the Executrix, hereby declares that she discussed the listing with a real estate agent who also visited the residence and recommended a listing price of $155,000. The real estate agent indicated that in order to get near list price, more than $20,000 in repairs/improvements would have to be completed. The property at issue is 27 years old with 2 bedrooms, 1 1/2 baths; it has had no upgrades; it has no central air conditioning; and has the original roof. Moreover, at the time of these discussions with the real estate agent, it is important to note that the estate was insolvent. In fact, Respondents, Sharon Taylor and Dana Dagle-Lowe, had already fronted substantial amounts of cash to the estate to cover bills and the ongoing maintenance expenses (over $10,000 each). To give any more money to the Estate presented an undue burden on the Respondents. By way of correspondence dated October 12, 2010 (Exhibit A), Respondents invited Petitioner to assist in the ongoing maintenance expenses, but never received any response from Petitioner. Specifically, the real estate agent indicated that the following should be completed before attempting to list the property: (i) repair/replace leaking faucets; (ii) power wash the siding; (iii) repair/replace the kitchen cabinet doors; (iv) repair bedroom window trim; (v) repair/replace baseboards in the living room, dining room and hallway; (vi) replace laundry tub; (vii) weed plant beds; (viii) repair outside lights; (ix) repair screened in porch; (x) repair/replace screen door; (xi) replace bathroom fixtures because they were for a handicapped person; (xii) paint bedrooms; and (xiii) repair/replace original roof. (b) The court can take judicial notice that the housing market is down and that houses typically are sold for less than the list price. (c) By way of illustration, the Respondents offer the following comparables. It is important to keep in mind that decedent's property has 2 bedrooms, 1 1/2 baths; no upgrades; no central air conditioning; and has the original roof. These comparables underscore that the transfer (net proceeds of $129,632.58) at issue was clearly within fair market value. (i) 1354 Caboose Lane, Boiling Springs: This property offered "more house" in that it featured two fireplaces, central air, spacious deck and 1.75 acres. The list price was $169,500. The contract price was $150,000, but seller provided $8,000.00 in closing help. Thus, after transfer taxes (1%) and agent fees (6%), the net proceeds from this sale equaled approximately $131,000. See Exhibit E attached hereto. (ii) 1475 Orrs Bridge Road, Enola: This property offered "more house" in that it featured 3 bedrooms, partially finished basement, central air, and a finished den. It listed for $149,900. The contract price was $150,000, but seller provided $5,000.00 in closing help. Thus, after transfer taxes (1%) and agent fees (6%), the net proceeds from this sale equaled approximately $134,000. See Exhibit F attached hereto. (iii) 4603 N Clearview Drive, Camp Hill: This property offered "more house" in that it was newly remodeled and featured 3 bedrooms with central air and all new kitchen and baths. It listed for $144,900. The contract price was $146,000, but seller provided $5,480 in closing help. Thus, after transfer taxes (1%) and agent fees (6%), the net proceeds from this sale equaled approximately $130,000. See Exhibit G attached hereto. (iv) 922 Greenbriar Drive: This property is an active listing at $159,000. It has been on the market for over 5 months. See Exhibit H. (d) Dana Dagle-Lowe purchased the house "as is" and practically absorbed all closing costs. The net proceeds to the estate equaled $129, 632.50. Considering that the estate was insolvent and that there were no agent fees (typically 6%) or any transfer tax (1%), Respondents respectfully submit that this transaction was for fair market value. In fact, the decisions made by Respondents in relation to this transaction only served to increase the value of the estate and benefit Petitioner. (e) Petitioner, herself, is fully aware that the real estate market is not strong. Petitioner owned a 2 bedroom house in a gated community in Hilton Head, South Carolina. In August, 2010, after listing the property for $160,000, Petitioner sold it for $141,500. See Exhibit I attached hereto. After agent fees, transfer taxes and seller's help at closing, the net proceeds to Petitioner were less than $130,000. 16. Denied. The averments contained in paragraph 16 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed necessary, the averments are hereby specifically denied. By way of further response, Respondents hereby incorporate their response to paragraph 15 above. 17. Denied. The averments contained in paragraph 17 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed necessary, the averments are hereby specifically denied. By way of further response, Respondents indicate that they were under no duty to inform Petitioner of this transfer. Decedent's Will (page 4) afforded the Executrix with "broad and reasonable discretion" and stipulated that the Executrix could "do everything he or she deems advisable for the best interest of the Estate and the Heirs thereof, all without the necessity of court approval or supervision." See Exhibit J attached hereto. 18. Denied. The averments contained in paragraph 18 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed necessary, the averments are hereby specifically denied. By way of further response, the only person with knowledge as to the veracity of this statement is Petitioner. Furthermore, Respondents hereby incorporate their response in paragraph 17 above. WHEREFORE, Respondents respectfully request this Honorable Court to deny the relief sought in the Petition. REMOVAL OF EXECUTRIX 19. Paragraph 19, being a paragraph of incorporation, does not require a response. 20. Denied. The averments contained in paragraph 20 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed necessary, the averments are hereby specifically denied. By way of further response, Respondent, Sharon Taylor, often at her own expense, has safeguarded all estate property and disposed of it in a manner to maximize Petitioner's distribution. Respondents hereby incorporate their responses in paragraphs 15 and 17 above. 21. Denied. The averments contained in paragraph 21 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed necessary, the averments are hereby specifically denied. By way of further response, Respondents hereby incorporate their response in paragraph 5 above. 22. Denied. The averments contained in paragraph 22 call for conclusions of law to which no response is required. To the extent that a response is judicially deemed necessary, the averments are hereby specifically denied. By way of further response, Respondents hereby direct this Honorable Court to review the Indemnification and Hold Harmless Clause that the decedent inserted on page 5 of her Will to protect Respondent, Sharon Taylor, in her role as Executrix. See Exhibit J attached hereto. Respondents also incorporate their response in paragraph 17 above. In administering this estate, Respondent, Sharon Taylor has expended countless hours organizing yard sales, attending flea markets, paying bills, meeting with the real estate agent, meeting with the CPA and meeting with counsel. Respondent, Sharon Taylor loaned the estate over $15,000 in cash, or by paying estate bills from her 26. Petitioner's own conduct contributed to the lack of correspondence that Petitioner now complains of in this Petition. Petitioner alienated herself from the family during decedent's life, failed to attend the funeral and has failed to maintain any contact with Respondents. 27. The filing of this Petition frustrates the purpose of the terms of decedent's Will, and has only caused a diminution of the estate residue. Moreover, the filing of this Petition has served to hinder the administration of this estate. WHEREFORE, Respondents respectfully request this Honorable Court to deny the relief sought in the Petition. COUNTER-CLAIM AND NOW, Respondents, by and through counsel, hereby make this Counter- claim against Petitioner, Deborah Heisler. In support of this Counter-Claim, Respondents assert the following: 28. Respondent, Sharon Taylor, is the Executrix of the above-captioned estate. 29. Petitioner, Deborah Heisler, is an equal 1/3 beneficiary in the decedent's residuary estate. 30. In 2007, when Petitioner got divorced, the decedent loaned her $2,600.00 to cover the legal fees for that divorce. 31. Petitioner failed to pay the decedent back before the decedent's death. 32. Pursuant to the Debt Clause on page 2 of decedent's Will, Petitioner's inheritance shall be reduced by $2,600.00. See Exhibit J attached hereto. Ebert Your File No. 3632/15571 Dear Mr. Getz: I am writing in response to your correspondence and to advise you of the status of the administration of~ this estate. However, it is important to clear up a primary misunderstanding that your client may have: Ms. Ebert did not have a lot of assets at the time of her death. Ms. Ebert was receiving monthly resource income of $1,200. Her resource income was not enough to cover out-of-pocket medical expenses. The last two years of her life involved a great deal of medical care, much of which was paid for out of pocket and coordinated through the Department of Aging. In particular, Ms. Ebert received home health care during the last nine months of her life. The cost for this day-time care was approximately $700/week. The evenings and overnight care were provided by Dana Dagle (who was uncompensated and paid out of her own pocket for much of Ms. Ebert's daily living expenses.) At the time of 11er death, Ms. Ebert had liquid assets totaling less than $20,000. This amount was surpassed by funeral and burial expenses, advance payment of the PA inheritance tax, and many other debts of the decedent. Thus, not only is the estate presently in the red, my client, Sharon Taylor, and Dana Dagle have fronted money (in excess of $5,000) to the estate to cover bills. Box 213 C n Lancaster, PA 17608-0213 The Dethlejs-Pykosh L ~"1 ivice La~~~ Fi~•m " A Debt Relief Agency The lack of cash in the estate underscores the benefit of a quick, intra-family sale of the house. To be clear, no one is living in the house, nor has anyone lived in the house since the date of death. The only "improvement" to the house was replacing the flooring. Ms. Ebert vas prone to "bathroom accidents" which necessitated the replacement of the carpeting (it was the original 1979 carpeting.) Attached please find a copy of the appraisal for the house. This house was built in 1979; it has no air-conditioning and electric baseboard 1leating; the original roof has not been replaced and there have not been any upgrades to the house. My client recently met with a real estate broker who advised her that $155,000 would be an appropriate listing price. As you know, houses are not selling for full list price. In fact, it is common for houses to sell for 20%, or more, below list price (through reduction of sale price and/or seller's help at closing). Assume for arguments sake that this house only sold 10°io below list price; that would yield a sale price of $140,000. With an intra-family sale, there would be no agent fees (6%) or transfer tax (1%). That additional 7% savings totals $9,800. There also certainly is a benefit to a quick sale as the monthly carrying costs have averaged $200. Therefore, I would submit that an intra-family sale for $130,000 would be a fair market transaction and would benefit the estate and all beneficiaries. Please let me know if you would like me to send you a release for the sale of the house at $130,000. If not, we would have to put the house on the market. However, we would expect that your client contribute 1/3 of the continued monthly carrying costs as well as 1/3 of the property tax bill. It has become unfairly burdensome on in}' client to front money to the estate. If I do not hear from you within l0 days, I will assume that your client will not sign a release for the sale of the house. With respect to the personal property, I would like to again clear up a misunderstanding. Your correspondence suggested that my client (and Dana Dagle) acted to exclude your client from the process. The fact is that my client called your client on three occasions asking what personal property she wanted. ~~t this time, the dining set is still available and will be held for your client. Many items have been sold for needed cash (mostly through yard sales). With the appraisal in hand, my understanding is that the CPA will complete the final inheritance tax return. At first, my client planned to administer this estate with the aid of a CPA for the taxes and hoped to not have to involve an attorney (in order to minimize estate expenses). Thus, rather than completing the tax return myself, we will have the CPA finish it. Once I have that, l will certainly send you a copy.
