VERIFIED COMPLAINT
Plaintiff Rite Aid HDQTRS. Corp., by its undersigned attorneys, files this
Verified Complaint alleging as follows:
PARTIES
1. Rite Aid HDQTRS. Corp. ("Rite Aid") is a Delaware corporation with its
principal place of business at 30 Hunter Lane, Camp Hill, Pennsylvania 17011.
2. On information and belief, defendant Advance Publishers, L.C., d/b/a
Advanced Publishers ("Advance") is a Florida limited liability corporation with a principal place
of business at 1060 Maitland Center Commons, Suite 365, Maitland, FL 32751.
JURISDICTION AND VENUE
3. This court has jurisdiction pursuant to 42 Pa.C.S. §931(a).
4. Venue in this Court is proper because the cause of action arose in
Cumberland County and a transaction or occurrence took place out of which the cause of action
arose in Cumberland County.
5. The parties have also agreed that any lawsuit brought with regard to the
Guaranteed Sales Agreement ("GSA"), executed between the parties on May 26, 2011, must be
venued in this Court: "Any lawsuit brought with regard to this Guaranteed Sales Agreement will
be venued in the Court of Common Pleas, Cumberland County, Pennsylvania." A true and
correct copy of the GSA, a valid and enforceable written contract, is attached to this Complaint
as Exhibit A.
RELEVANT FACTS
6. Rite Aid is a national drug store chain with its principal office in
Cumberland County, Pennsylvania.
7. At all times relevant to this Complaint, Advance was involved in the
publication, manufacture, sale and distribution of children's books (collectively "Products").
8. Rite Aid and Advance entered into several agreements regarding the sale
of Advance Products in Rite Aid's retail drug stores.
9. On May 26, 2011, Rite Aid and Advance entered into the GSA in which
Advance "guarantee[d] the sale of [Advance's] product to Rite Aid at both Customer Service
Centers (i.e. distribution centers) and retail locations." A true and correct copy of the GSA, a
valid and enforceable written contract, is attached to this Complaint as Exhibit A.
10. Under the GSA, Rite Aid had the right to return all unsold product to
Advance for a cash refund.
11. Specifically, the GSA provided:
If at any time Rite Aid determines in its sole discretion that
Vendor's product(s) performance continues to be unacceptable,
Rite Aid will have the right to return at Vendor's expense all
unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid,
but have not been sold.
See Exhibit A.
12. Rite Aid and Advance agreed that the Products would be available in
select Rite Aid stores for a twelve (12) week period.

13. The parties agreed that Rite Aid would sell Advance Products at retail at
specified prices for eight (8) weeks, followed by two (2) weeks of sale at fifty percent (50%) off;
followed by two (2) weeks of sale at seventy-five percent (75%) off.
14. At the conclusion of these twelve (12) total weeks of sale, Rite Aid would
return any unsold Product to Advance.
15. In support of this arrangement, on May 30, 2011, Rite Aid and Advance
entered into Incremental Investment Agreements whereby Advance agreed to fund this program
of retail store markdowns, thereby maintaining Rite Aid's margins for those books sold at a
discount. A true and correct copy of the Incremental Investment Agreements are attached to this
Complaint as Exhibit B.
16. Throughout the parties' relationship, Rite Aid tracked sales and submitted
payments to Advance for sales for each period, deducting any markdown offsets and/or
processing fees as applicable.
17. On or around October 22, 2011, at the conclusion of the twelve (12) week
sales period, Rite Aid issued a recall, processing the recall and return of unsold Product. A true
and correct copy of the Recall Disposition Form is attached to this Complaint as Exhibit C.
18. On or around December 2, 2011, Advance contacted Rite Aid and
requested that Rite Aid release the current balance of payment.
19. On or around December 9, 2011, Rite Aid released payment of
$152,351.96 to Advance. Rite Aid paid Advance a total of $240,734.29.
20. At the time Rite Aid released that payment, the personnel involved
believed that all of the unsold product had been returned to Advance in accordance with the
parties' agreements. Unfortunately, this was not correct.

21. After Rite Aid made the December 9, 2011, payment, it returned
additional unsold product to Advance.
22. As a result of this additional return, Rite Aid had actually overpaid
Advance in the amount of $128,976.61.
23. Rite Aid immediately informed Advance of this error and requested
repayment of $128,976.61 by Advance to Rite Aid.
24. Advance did not return the Overpayment to Rite Aid.
25. Rite Aid arranged a conference call between those most knowledgeable on
the matter from both Rite Aid and Advance, scheduled for January 6, 2012.
26. Upon information and belief, Advance Chief Executive Officer Len Habas
refused to take part in the January 6, 2012 call.
27. Advance Controller Jennifer Mills took part in the January 6, 2012 call.
28. During the call, Advance acknowledged the overpayment of $128,976.61.
29. Further Ms. Mills informed Rite Aid that she personally informed Mr.
Habas of the overpayment, and that he responded by informing her to not accept phone calls
from Rite Aid, and not to take part in the January 6, 2012 conference call.
30. Ms. Mills further informed Rite Aid that she also informed Mr. Habas that
failure to respond to Rite Aid's requests for repayment would likely result in legal action, to
which Mr. Habas responded, "Let them take legal action."
31. On January 11, 2012, Rite Aid submitted a letter to Mr. Habas, again
informing Advance of Rite Aid's error in overpayment to Advance, demanding repayment of
$128,976.61 by January 20, 2012. A true and copy of this letter is attached hereto as Exhibit D.

32. As of the date of the filing of this Complaint, Advance has not responded
to this letter, nor has it reimbursed Rite Aid for any of the Overpayment of $128,976.61.
33. Advance has no legal justification to retain any of the Overpayment of
$128,976.61.
34. As of the date of the filing of this Complaint, Advance is in breach of the
GSA, Incremental Investment Agreement and other related account contracts and agreements
because it refuses to repay Rite Aid the Overpayment.
COUNTI
BREACH OF CONTRACT
35. Rite Aid incorporates the averments in paragraphs 1 through 34 above as
if fully set forth herein.
36. As noted in paragraphs 8-14 above, Rite Aid and Advance entered into
various valid and enforceable written agreements.
37. As part of these agreements, Advance guaranteed the sale of Advance
Products to Rite Aid at both distribution centers and retail locations.
38. As part of these agreements, Advance guaranteed the margins to Rite Aid
for the sale of Advance Products at discounted prices.
39. As noted in paragraphs 18-28 above, on or around December 9, 2011, Rite
Aid overpaid Advance in the amount of $128,976.61.
40. Despite repeated requests, Advance has refused to repay to Rite Aid the
overpayment of $128,976.61.
41. Rite Aid has performed all conditions precedent under the GSA,
Incremental Investment Agreement and all related agreements under the account.

42. Under the GSA, Incremental Investment Agreement and all related
agreements under the account, Advance has no legal justification to retain the overpayment of
$128,976.61.
43. Advance is in breach of the GSA, Incremental Investment Agreement and
all related agreements because it has failed to repay to Rite Aid the overpayment of $128,976.61.
WHEREFORE, Rite Aid requests judgment in an amount in excess of
$128,976.61, plus interest, costs and all other amounts deemed appropriate by the Court.
COUNT II
UNJUST ENRICHMENT
44. Rite Aid incorporates the averments in paragraphs 1 through 43 above as
if fully set forth herein.
45. In the event Advance contends no contractual relationship exists, or that
the return of the Overpayment is somehow considered outside of the parties' contractual
relationship, Rite Aid is entitled to recover the overpayment of $128,976.61 to prevent Advance
from being unjustly enriched.
46. The Overpayment by Rite Aid of $128,976.61 to Advance was in error.
47. Advance has no legal justification to retain the overpayment of
$128,976.61.
48. Rite Aid has a reasonable expectation to receive repayment of the
overpayment of $128,976.61.
49. Advance reasonably should have expected to repay the overpayment of
$128,976.61.
50. It would be inequitable for Advance to receive the benefit of the
$128,976.61, as it was provided solely in error to Advance.

51. In the event the contracts are deemed to be unenforceable, or unrelated to
the current issue, Rite Aid has no adequate remedy at law.
52. Rite Aid is entitled to collect the outstanding overpayment of $128,976.61,
plus interest, from Advance under the doctrine of unjust enrichment.
WHEREFORE, Rite Aid requests judgment in an amount in excess of
$128,976.61, plus interest, costs and all other amounts deemed appropriate by the Court.

Rite Aid and your company agreed that your company, would be paid on scan for all
products sold and to pay processing fees for all unsold product. We not only released all relative
payments as agreed, but also inadvertently overpaid your company. The total overpayment and
amount that Advanced Publications owes Rite Aid is $128,976.61.
Please remit payment immediately. Failure to respond could result in damage to your
company's credit rating and legal action.
We urge you to send us a check before January 20, 2012. If you want to discuss special

for defendant's failure to plead to the complaint in this action within the required time. The
complaint contains a notice to defend within 20 days from the date of service thereof. Defendant
was served with the complaint on April 16, 2012, and the defendant's answer was due to be filed
