LAST WILL AND TESTAMENT
I, Charles C. Miller, of the Township of Lower Mifflin, County of Cumberland,
State of Pennsylvania, being of sound mind and memory, do hereby make, publish
and declare this to be my Last Will and Testament, hereby revoking any and all
Wills by me heretofore made.
FIRST: I hereby direct my Executrix, hereinafter named, to pay all my just debts
and funeral expenses as soon as may be conveniently done after my decease.
SECOND: I give, devise and bequeath all my estate be it real, personal or mixed,
to my wife, Betty L. Miller, for her own proper use and behoof forever.
THIRD: In the event my wife, Betty L. Miller and I should perish in a common disastel
or my wife should predecease me, then in that event, I give, devise and bequeath all
my estate, be it real, personal or mixed to my daughter, Sandra L. Beidel, or
her heirs, share and share alike. In the event my daughter, Sandra L. Beidel, should
predecease me, then in that event, I give, devise and bequeath all my estate, be it
real, personal or mixed to my son-in-law, Philip E. Beidel and my grandson,
Michael S. Beidel, share and share alike. In the event my grandson, Michael S.
Beidel, is a minor at the time of my death, then in that event, I give, devise and
bequeath his share of my estate to my son-in-law, Philip E. Beidel, to hold in
T RUST NEVERTHELESS, until said Michael S. Beidel attains the age of twenty-
one (21) years of age, at which time his share shall be delivered to him absolutely.
FOURTH: I hereby nominate, constitute and appoint my wife, Betty L., Miller to
be the Executrix of this my Last Will and Testament. In the event my wife, Betty L.
Miller, should become incapacitated, or is unable to serve as the Executrix of this
my Last Will and Testament for any reason whatsoever, then in that event, I hereby
nominate, constitute and appoint my daughter, Sandra L. Beidel to be the Executrix
of this my Last Will and Testament in her stead.

FAMILY SETTLEMENT AGREEMENT
IN THE ESTATE OF CHARLES C. MILLER, DECEASED

AGREEMENT executed this ~ day of J\ACtv~ , 2002, by and
between SANDRA L. BEIDEL, Executrix of the Estate of CHARLES C. MILLER, deceased,
and SANDRA L. BEIDEL, heir and beneficiary of the Estate of CHARLES C. MILLER.
WHEREAS, CHARLES C. MILLER, late of Lower Mifflin Township, Cumberland
County, Pennsylvania, died on September 9, 2001, having left a Last Will and Testament dated
October 24, 1980;
WHEREAS, on October 2, 2001, the Register of Wills in and for the County of
Cumberland, Commonwealth of Pennsylvania, did constitute and appoint SANDRAL. BEIDEL,
as Executrix of the Estate of CHARLES C. MILLER, in Estate Number 21-01-090 I, and
WHEREAS, the Executrix has proceeded with the administration of said Estate
consisting of assets in the amount of $145,625.34, plus contributions to the estate of $3,732.67,
disbursements in the amount of $23,545.42, and distribution in the amount of $125,812.59, plus
interest, leaving a principal balance on hand of $ 0.00, as set forth in the First and Final Account,
a true and correct copy is attached hereto and made part hereof as Exhibit "A", and
WHEREAS, the only party in interest in said Estate is the above-named party, and
WHEREAS, said party in interest desires that the Executrix shall not be required to file
an Account with the Orphan's Court of Cumberland County, Pennsylvania, and that the net
estate of the decedent shall be distributed without the necessity of filing a formal Account to
avoid the expense, delay and publicity of a formal accounting, but should instead be distributed
in accordance with the Executrice' s Proposed Schedule of Distribution, a true and correct copy
of which is attached hereto and made a part hereof as Exhibit "B".
NOW THEREFORE, in consideration of the mutual promises, covenants and agreements
recited herein, the above-named heirs and beneficiaries of the Estate of CHARLES C. MILLER
does hereby mutually agree as follows:
1. The parties hereto, and each of them, agree and acknowledge that they have
fully and carefully examined the First and Final Account of SANDRA L. BEIDEL,
Executrix for the Estate of CHARLES C. MILLER, deceased, and Proposed Schedule of
Distribution relating thereto, and find them to be true and correct, and acceptable to the
parties hereto and each of them, and further that each of them has received a copy of this
Family Settlement and Final Release and of said Account and Proposed Schedule of
Distribution.
2. The parties hereto hereby agree that in order to avoid the expense, delay and
publicity involved in the filing of a formal Account and Schedule of Distribution, no
accounting to the Court is necessary and we do hereby agree that we do consent to
distribution being made without the filing of an Account and Schedule of Distribution, the
same to be with the same force and effect as if they had been filed and confirmed by the
Orphan's Court Division of the Court of Common Pleas of Cumberland County,
Pennsylvania.
3. The parties hereby remise, release, quitclaim and forever discharge the Estate
of CHARLES C. MILLER, and SANDRA L. BEIDEL, Executrix, her heirs, executors,
administrators and assigns, from all manner of acts, suits, claims, accountings, debts and
demands whatsoever which we or any of us or our legal representatives or assigns may at
any time hereafter have against said Executrix, estate, or assets thereof, touching or
concerning the Estate of the Decedent.
4. The parties hereto covenant and agree that they will contribute their share of
the Estate to satisfy all claims, debts, demands, suits or cause of action which may be
successfully brought against the Estate or the Executrix after the execution of this Family
Settlement and Final Release.
5. The parties hereto hereby agree that they will at all times in the future and
wherever necessary, appropriate or convenient, made, execute and deliver to said Executrix,
and/or to the other party or persons, any and all instruments, documents, conveyances,
deeds, releases or other instruments of any kind necessary or convenient to carry out the
intention of this Family Settlement and Final Release.
6. This Family Settlement and Final Release constitutes the entire understanding
among the parties hereto, and each of them acknowledges that no representations or
statements of any kind, written or oral, have been made to them or any of them prior hereto
by the Executrix or any other person or party upon her behalf.
7. This Family Settlement and Final Release shall inure to the benefit and shall
bind the parties hereto, and each of them, their heirs, executors, administrators, successors
and assigns.
8. This Family Settlement and Final Release shall be governed by the laws of the
Commonwealth of Pennsylvania.
IN WITNESS WHEREOF, the parties hereto have hereunto set their respective hands
and seals the day and year first above written.

PURPOSE OF THE APPRAISAL
The purpose of this appraisal is to estimate the Market Value of the subject property as
of September 9, 2001.
Market Value, as defined by the courts, is the most probable price estimated in terms of
money which a property will bring if exposed for sale in the open market, allowing a
reasonable time finding a purchaser who buys with knowledge of all the uses to which it is
adapted and for which it is capable of being used.
Frequently, it is referred to as the price at which a willing seller would sell and a willing
buyer would buy, neither being under abnormal pressure.
mGHEST AND BEST USE
Highest and Best Use is defined by the Appraisal Terminology and Handbook,
published by the Appraisal Institute, as "the most profitable likely use to which a property can
be put". The opinion of such use may be based on the highest and most profitable continuous
use to which the property is adapted and needed, or likely to be in demand, in the reasonable
near future.
However, elements affecting value that depend upon events or a combination of
occurrences which, while within the realm of possibility, are not fairly shown to be reasonably

THE COST APPROACH
The Cost Approach to value is based on the principle of substitution, which proposes
that an informed buyer will pay no more than the cost of providing a substitute property with
similar utility.
In estimating the cost of providing a substitute, the following functions are completed.
The cost of the improvements, as if new, is estimated. Loss of value due to physical
deterioration, functional obsolescence and external depreciation, if applicable, is deducted to
represent the cost of a substitute depreciated. The land and the value of depreciated site
improvements is added to obtain a value indication of the real estate.

These approaches are representative of the market value of the subject property. I have
carefully reexamined each step in each method, and I believe the conclusions accurately reflect
the attitude of typical purchasers of this type property in this neighborhood. It is my belief that
this reexamination has confirmed the original conclusions.
The Cost Approach will result in an excellent estimate if all elements are figured
accurately, because no prudent person will pay more for a property than the cost to produce a
substitute property with equal desirability and utility. Purchasers of the type of dwelling
typical of the subject property are more concerned with amenities than with hypothetical
replacement of the property. The value of the cost approach is not disregarded, but given less
