Docket No.: MARK PERLMUTTER, M.D., Defendant Civil Action - Law COMPLAINT NOW COMES, Davis, Parry & Tyler, P.C., by and through its attorneys, Capozzi & Associates, P.C., and makes the following Complaint for money judgment against Defendant, and in support thereof, respectfully avers as follows: 1. Plaintiff, Davis, Parry & Tyler, P.C., is Pennsylvania Professional Corporation, duly licensed to practice law in the Commonwealth of Pennsylvania, with its principal place of business located at 1525 Locust Street, 14th Floor, Philadlephia, Philadelphia County, Pennsylvania 19102. 2. Defendant Mark Perlmutter, M.D. is an adult individual with a last known address of 47 Ridgeway Drive, Mechanicsburg, Cumberland County, Pennsylvania 17050. 3. Venue in this action is proper in Cumberland County, pursuant to Pa.R.C.P. 1006, in that an action against an individual may be brought in a county in which the individual may be served. COUNT I - BREACH OF CONTRACT 4. The foregoing paragraphs 1 through 3 are incorporated herein as if fully restated. 5. In early 2010, Defendant contacted Plaintiff and requested that Plaintiff represent him in regard to a threat by Hazelton General Hospital to report alleged thefts and other alleged improprieties by Defendant to law enforcement, licensing bodies and professional societies, as 2 well as various related matters including, but not limited to, emails sent by a Hospital employee that Defendant felt defamed his reputation. 6. On or about March 1, 2010, Defendant entered into a binding written agreement with Plaintiff whereby Plaintiff agreed to provide legal services to Defendant, and Defendant agreed to pay Plaintiff its customary and usual fees for the services performed, as well as all costs incurred on Defendant's behalf in connection with the services rendered. The written agreement between Plaintiff and Defendant was documented in a letter to Defendant (the "Engagement Letter"), dated March 1, 2010, and signed by Lloyd George Parry, Esquire, as one of the partners of Plaintiff's law firm and its authorized representative. A true and correct copy of the Engagement Letter is attached hereto and incorporated herein as Exhibit "A." Page 2, paragraph 3 of the Engagement Letter states: It will be necessary for you to pay a retainer of $20,000.... DPT will apply its monthly invoices against the retainer. Any unused portion of the retainer will be refunded. If DPT's fees and costs should exceed the retainer, the invoice amounts in excess of the retainer shall be payable as provided.... Moreover, as we discussed, I fully anticipate that the fees and costs will far exceed the retainer. 9. Page 2, paragraph 4 of the Engagement Letter states: DPT's monthly invoices in excess of the retainer specified in paragraph 3 shall be paid within thirty (30) days of receipt. Any unpaid balance outstanding after thirty (30) days shall accrue interest at the rate of one and one-half (I and''/z %) percent per month. 10. The provisions of Plaintiff's engagement letter concluded as follows: "If the foregoing terms are acceptable, please print duplicate originals of this letter, countersign them and send them to me with the retainer." 11. Pursuant to the terms of the engagement letter, Defendant executed the Engagement Letter. 12. Defendant did not raise any questions or indicate that he was unwilling to abide by the terms of the Engagement Letter. Accordingly, Plaintiff was entitled to, and did treat all the written terms of the Engagement Letter as binding upon Plaintiff and upon Defendant, and a contract was thereby created on the specific terms stated in writing. 13. Defendant further confirmed its acceptance of Plaintiff's Engagement Letter and the existence of a contract between the parties by remitting his retainer to Plaintiff in the amount of $20,000.00. 14. In reliance upon Defendant's acceptance of Plaintiff's written terms of engagement, Plaintiff provided professional legal representation as counsel for Defendant beginning on March 1, 2010. 15. The total amount of unpaid Account Invoices for legal services provided to Defendant by Plaintiff is $55,136.84. True and correct copies of the Account Invoices are attached hereto and incorporated herein as Exhibit "B." 16. All of the legal services included in the Account Invoices were billed at the rates agreed to as described in the Engagement Letter. 17. The rates and prices charged as set forth in the Account Invoices are the fair and reasonable charges for the services rendered, are the customary charges of Plaintiff in similar cases, and are the charges that Defendant agreed to pay for the legal services. 18. Defendant never disputed the monthly invoices and on numerous occasions, Plaintiff contacted Defendant for payment of the unpaid Account Invoices. True and correct copies of Plaintiff's demand for payments are attached hereto and incorporated herein as Exhibit «V „ 4 19. On February 22 and March 20, 2012, counsel for Plaintiff demanded payment for the unpaid Account Invoices. True and correct copies of the attorney's Demand Letters are attached hereto and incorporated herein as Exhibit "D." 20. Defendant's failure to cure his default with Plaintiff upon demand constitutes breach of contract. WHEREFORE, Plaintiff, Davis, Parry & Tyler, P.C., demands judgment against Defendant Mark Perlmutter in the sum of $55,136.84, plus interest at the rate of 1 '/2 % per month on all delinquent amounts, all of which are per the terms of the contract between the parties, plus costs of suit, which sum exceeds the jurisdictional amount for compulsory arbitration. COUNT II - QUANTUM MERUIT- UNJUST ENRICHMENT If this Honorable Court should find that an express contract did not exist between Plaintiff and Defendant, which is denied, then, in that event, Plaintiff pleads the following alternative cause of action in quantum meruit against the Defendant: 21. The foregoing paragraphs 1 through 20 are incorporated herein as if fully restated. 22. Plaintiff conferred valuable benefits upon Defendant by providing professional legal representation to Defendant and advancing costs on his behalf, which services and costs have not been fully paid or reimbursed. 23. Plaintiff is entitled to proper compensation for the legal services provided to and costs advanced on behalf of Defendant. 24. Plaintiff's expectation of payment in exchange for rendering legal services to Defendant and advancing costs on his behalf was reasonable and just. 25. The rates reflected in the Account Invoices are the just and reasonable charges for the legal services provided to Defendant. 26. Defendant accepted and retained those benefits under circumstances in which it would be unconscionable for Defendant to retain them without payment of value. 27. The total value by which Defendant has become enriched on account of such legal services provided to him for which Plaintiff has not been compensated is $55,136.84, as is specifically reflected in the Account Invoices. 28. Plaintiff has demanded payment from Defendant in that amount, but he has refused to remit payment in full. 29. Defendant has been unjustly enriched unless the Court grants Plaintiff such relief as equity and justice require. WHEREFORE, Plaintiff, Davis, Parry & Tyler, P.C., demands judgment against Defendant Mark Perlmutter in the sum of $55,136.84, plus interest at the legal rate of 6% per annum and costs of suit, which sum exceeds the jurisdictional amount for compulsory arbitration. As you can appreciate, it is essential that all parties have the same understanding of our professional relationship. With this in mind, please read this letter carefully and, if the terms are satisfactory, please print duplicate originals of this letter, countersign them and send them to me for signing. You have requested that Davis, Parry & Tyler, P.C. ("DPT") represent you in regard to a threat by Hazelton General Hospital ("HGH") to falsely report alleged thefts and other alleged improprieties by you to law enforcement, licensing bodies and professional societies. In addition, you have asked DPT to represent you in connection with various related matters including but not limited to emails sent by an employee of HGH which defame your reputation. DPT will be pleased to represent you on the following terms: 1. DPT's services will be compensated at our standard hourly rates. My hourly rate will be $500.00 per hour. The rate for other attorneys who may be assigned to this case shall be $400.00 per hour. The rate for paralegals who maybe assigned to this case will be $100.00 All hourly rates will be billed in units of one-tenth of an hour. The term "services" includes, but is not limited to, such items as advice, negotiating sessions, the review of documents and evidentiary material, the preparation, revision and editing of documents, meetings and conferences, telephone conferences, correspondence, witness interviews, depositions, investigation, court appearances, trial preparation, trial, appeals and related activities. 2. DPT's invoices will include a billing of disbursements for items such as, but not limited to, photocopying, postage, telephone charges, facsimile use, computerized legal research, document production, secretarial overtime, messenger services and travel expenses. EXHIBIT 3. It will be necessary for you to pay a retainer of $20,000. It is understood that you are arranging financing for the retainer and that it will be paid to DPT within the next five business days. DPT will apply its monthly invoices against the retainer. Any unused portion of the retainer will be refunded. As we discussed, the litigation which we are undertaking will be very difficult and require a protracted and contentious effort.
