I, GARY E. NELL, of Hampden Township, Cumberland Caunty, Pennsylvania, being
of sound and disposing mind, memory and understanding, do hereby make, publish and
declare this as and for my Last Will and Testament, hereby revoking and making void
any and all Wills or Codicils at any time heretofore made by me.
ARTICLE I
I direct the payment of all my just debts, and the expenses of my last illness and
funeral from my Estate as soon after my death as conveniently may be done. I authorize
my Executrix to expend funds from my Estate for the purchase, erection and inscription
of a suitable grave marker. All of the foregoing shall be considered expenses of the
administration of my Estate.
ARTICLE II
I devise and bequeath all the rest, residue and remainder of my Estate, of whatever
nature and wherever situate, unto my wife, DIANE P. NELL, provided she survives me by
a period of thirty (30) days.
ARTICLE III
Should my wife, DIANE P. NELL, predecease me or die on or before the thirtieth
(30th) day following my death, I give, devise and bequeath all the rest, residue and
remainder of my Estate, of whatever nature and wherever situate unto my son,
GARETT R. NELL, provided, however, that if my son, GARETT R. NELL, has not
reached the age of twenty-one (21) years at the time for distribution, I devise and
bequeath his share unto DAUPHIN DEPOSIT BANK AND TRUST COMPANY, Harrisburg,

Pennsylvania, in TRUST, to hold, manage and invest the share so received and the
accumulation of income thereon, and to use and apply the income and principal, or sa
much thereof as, in Trustee's discretion, may be necessary or appropriate for his support
and education (including college education, both graduate and undergraduate) without
regard to his ability to provide for such support or education or to make payment for
these purposes, without further responsibility to such beneficiary or to any person taking
care of such beneficiary. When such beneficiary shall reach the age of twenty-one
(21) years, Trustee shall distribute to him absolutely one-third (1/3) of the then remaining
balance of principal and income in the Trust, one-half (1/2) when he shall have reached
the age of twenty-four (24), and the balance when he shall have reached the age of
twenty-eight (28) years. In the event the beneficiary dies before reaching the age of
twenty-eight (28), this Trust shall terminate and the balance of principal and income
shall be paid over to my then living issue per stirpes. During the time any portion of
my Estate remains in Trust, the same shall not be subject to anticipation, pledge or
alienation, voluntary or involuntary, by or against the beneficiary.
ARTICLE IV
I nominate and appoint my sister-in-law, ALLISON A. PLACE, Mountville,
Pennsylvania, as Guardian of the person of my minor child.
ARTICLE V
I nominate and appoint my wife, DIANE P. NELL, Executrix of this my Last Will.
Should my wife, DIANE P. NELL, fail to qualify or cease to act as Executrix, I nominate
and appoint DAUPHIN DEPOSIT BANK AND TRUST COMPANY, Executor of this my Last
Will.
ARTICLE VI
My Executrix or successor shall have the power, in addition to those vested in her
by law or by other provisions of this Will, applicable to all property, exercisable without
Court approval and effective with respect to each item of said property until actual

distribution thereof, to sell at public or private sale, to exchange or lease for any
period of time any real or personal property, and to give options for sales, exchanges
or leases for such price and upon such terms and conditions as she deems proper.
ARTICLE VII
My corporate fiduciary shall be entitled to compensation based on his regular
schedule of fees for such services in effect from time to time during the period over
which its services are performed.
