The balance of the purchase price shall be paid via wired funds at final settlement, which shall be held within 45 days. Time is of the essence. 2. WARRANTY OF TITLE. The property shall be conveyed to Purchaser by Seller's special warranty deed, conveying good and marketable title, free and clear of all liens, subject only to such easements, restrictions as may affect the Property on the date hereof. The quality of title to be conveyed is such title as will be insurable by a reputable Title Insurance Company at regular rates. Seller warrants that the restrictions affecting the premises, if any, will not be violated at the date of settlement hereunder. 3. IF TITLE DEFECT. If Seller is unable to convey good and marketable title, Purchaser shall have the option of taking such title as the Seller can give without abatement of price, or of being repaid all monies paid on account by Purchaser to Seller and the Purchaser shall also be reimbursed for any title examination costs incurred; and in the latter event, there shall be no further liability or obligation by either parties hereunder and this agreement shall become null and void. Seller is obligated to take reasonable steps and expend reasonable sums to clear title of any liens, encumbrances, defects or clouds which might appear on the title. 4. RISK OF LOSS. REALTY TRANSFER TAX. All realty transfer taxes shall be borne equally by Purchaser and Seller. 7. FIXTURES AND PERSONAL PROPERTY. (A) INCLUDED in this sale and purchase price aze all existing items permanently installed in the Property, as well as the following items free of liens: 1. Curtains; 2. Chandelier; and 3. Remaining fuel in tank. (B) EXCLUDED from this sale are the following items to be retained by Seller: 1. Stove 8. SETTLEMENT LOCATION. Settlement shall be held at the office of Weigle & Associates, P.C., at 126 E. King Street, Shippensburg, Pennsylvania 17257 or at such other location agreed by the parties. 9. PRIVATE SEPTIC SYSTEM. - There is no currently existing community sewage system available for the subject property. Before signing this Agreement, Purchaser should contact Upper Mifflin Township to determine the procedures and requirements for obtaining a permit for an individual sewage system if one has not been obtained. 10. PRIVATE WATER SYSTEM. The property is not served by any public water supply system. Water is provided by a well on the property. 11. RECORDING OF AGREEMENT. This Agreement shall not be recorded in the Office of the Recorder of Deeds or in any other office or place of public record. 12. DISCLOSURE FORMS. Purchaser acknowledges receipt of Sellers Property Disclosure Statement required by law. 13. SALE "AS IS" - Purchaser acknowledges and agrees that the purchase of this real estate is "as is." II 14. DEFAULT BY PURCHASER.
