KOVLAC, CIVIL ACTION - LAW Defendants JURY TRIAL DEMANDED COMPLAINT AND NOW, comes the Plaintiff, Matthew C. Fitzgerald, by and through his attorneys, James L. Goldsmith and David J. Evenhuis, CALDWELL & KEARNS, P.C. and files this Complaint against Daniel L. Kovlac and Tereza S. Kovlac, and in support thereof, avers the following: PARTIES 1. Plaintiff Matthew C. Fitzgerald is an adult individual, who resides at 4 Foxfield Court, Mechanicsburg, Pennsylvania 17050. 2. Defendants Daniel L. Kovlac and Tereza S. Kovlac are adult individuals, who reside at 18501 Fontana Lane, Gaithersburg, Maryland 20879. On or about October 15, 2010, Defendants Daniel L. Kovlac and Tereza S. Kovlac (hereinafter "Defendants") executed an Agreement of Sale with an offer to purchase the residential property of Plaintiff Matthew C. Fitzgerald (hereinafter "Plaintiff") located at 4 Foxfield Court, Mechanicsburg, Pennsylvania (hereinafter "Property"), for $807,000.00. 4. Upon information and belief, on or about October 18, 2010, Defendants escrowed $10,000.00 with listing broker, the Homestead Group Realtors, located at 4075 Market Street, Camp Hill, Pennsylvania 17011, as a good-faith deposit to purchase the property. Upon information and belief, on or about October 19, 2010, Defendants were informed that Seller-Plaintiff had filed for Chapter 13 Bankruptcy on September 29, 2010, prior to the execution of the Agreement of Sale. 6. All parties to the sale of the Property were informed, pursuant to the requirements of federal bankruptcy law, that the sale of the Property had to be approved by Plaintiff s Bankruptcy Court. 7. On or about October 20, 2010, Plaintiff signed the Agreement of Sale and modified several contingency deadline dates in the Agreement to conform with the bankruptcy approval process. 8. On or about October 22, 2010, Buyers-Defendants initialed and dated the contingency deadline modifications in the Agreement of Sale. 9. On or about October 22, 2010, Buyers-Defendants emailed Seller-Plaintiff an Appraisal Contingency Addendum to the Agreement of Sale, which was executed by the Buyers- Defendants on or about October 15, 2010, the initial execution date, and which provided the Buyers-Defendants with a contingency period of ninety (90) days from the execution date of the Agreement of Sale to obtain an appraisal of the Property. 10. On or about October 25, 2010, Plaintiff signed and dated the Appraisal Contingency Addendum. 11. In an Order dated December 28, 2010, the United States Bankruptcy Court for the Middle District of Pennsylvania approved the sale of the Property for the sum of $807,000.00, pursuant to the terms and conditions as set forth in the Agreement of Sale. 12. Following approval by the Bankruptcy Court, parties orally agreed to move the Settlement Date to April 1, 2011, which had been set for 45 days after Court approves sale. 13. At no time did Defendants attempt to modify the 90-day deadline in the Appraisal Contingency Addendum. 14. Defendants failed to obtain an appraisal of the Property within the contingency period of ninety (90) days from the execution date of the Agreement of Sale, as set forth in the Appraisal Contingency Addendum. 15. The Appraisal Contingency Addendum provides the following: "If Buyer does not terminate the Agreement of Sale or enter into a mutually acceptable written agreement with Seller within this Contingency Period, Buyer waives this contingency." 16. On or about March 8, 2011, Buyers-Defendants executed a Notice of Termination of the Agreement of Sale, demanding a distribution of the escrowed deposit money of $10,000.00 to the Buyers-Defendants and alleging violations of Paragraph 27a of the Agreement of Sale and the terms of the "Appraisal Contingency Valuation." 17. On or about March 14, 2011, Seller-Plaintiff signed the Notice of Termination after amending the document to strike out Defendants' allegations for termination and modifying the distribution of deposit monies to be paid instead to Seller-Plaintiff. 18. Defendants neither signed nor initialed Plaintiff's modifications in the Notice of Termination. 19. Defendants failed to settle on the Property by the deadline of April 1, 2011. 20. Defendants' failure to settle on the Property by April 1, 2011, is a breach of contract. 20. The Defendants' breach of contract was the proximate cause of damages suffered by Plaintiff. 21. Plaintiff demands damages in the amount of $10,000.00, which represents the full amount of liquidated damages available as set forth in Paragraph 22 of the Agreement of Sale. WHEREFORE, Plaintiff hereby demands judgment against Defendants in an amount less than the jurisdictional limits of arbitration, together with such costs, expenses and attorneys' fees as authorized by law and that this Court deems just, necessary, and appropriate under the circumstances.
