(c) In order to effect a division of the principal of :my estate or for any other purpose, including final distributions, the Executor is authorized to make said divisions or distributions of the personalty and realty, partly or wholly in kind, and to allocate specific assets among beneficiaries hereunder so long as the total market value of any share is not affected by the division, distribution or allocation in kind. Should it appear desirable to partition any real estate, the Executor is authorize Page 2 to make, join in and consummate partitions of lands, voluntarily or involuntarily, including giving of mutual deeds, recognizances or other obligations, with as wide powers as an individual owner in fee simple. (d) To sell either at public or private sale and upon such terms and conditions as the Executor may deem advantageous to the estate, any or all real or personal estate or interest therein owned by the estate severally or in conjunction with ~thc : 1}erson:; or acquired after my death by the Executor or Trustee, and to consummate said sale or sales by sufficient deeds or other instruments to the purchaser o:r purchasers, conveying a fee simple title, free and clear of all trust and arithout obligation or liability of the purchaser or purchasers to see to the application of the purchase money or to make inquiry into i;he validity of said sale or sales; also, to make, execute, acknowledge anal deliver any and all deeds, assignments, options or other writings which may be necessary or desirable in carrying out any of the powers conferred upon the Executor in this paragraph or elsewhere in my Will. PROWELL of Mechanicsburg, Cumberland County, Pennsylvania, as Grantor (the "Grantor") and MYRA P. REILLY as Trustee (the "Trustee"). and is intended to be an Amendment to a certain Amendment and Restatement to Agreement of'Trust (the "Trust") between the Grantor and the Trustee dated January 29, 2003, and the Amendment thereto dated Apri1.21, 2008. VdITNESSETH: WHEREAS, Article Vl of the Trust Agreement reserves to the Gracitor the right to amend or alter the Trust in whole or in part by instrument in writing signed b}~ the Grantor delivered to the Trustee and consented to by the Trustee. NOW THEREFORE, the Grantor hereby amends the Trust as follows: I hereby amend Article I, Pazagraph 3 to remove the reference to The Pennsylvania State University and replace it with Bethany Village of Mechanicsburg, Pennsylvania. In all other respects, the Trust between the Grantor and Trustee dated 3anuary 29, 2003 and amended on April 21, 2008, is hereby ratified and confirmed.
