Upon the death of settlor, the then remaining trust estate shall
be distributed or continued in trust, as the case may be, in
accordance with the provisions hereinafter set forth.
2. Upon the death of the said settlor, the remaining
trust estate shall be distributed to settlor's son, Jan A.
Manning, providing he survives settlox. Should he not survive
settlor, then the remaining trust estate shall be divided into
as many shares as there shall be grandchildren of settlor's then
living and grandchildren of settlor then dead represented by
issue then living, and settlor's trustee stiall~
A. Distribute one such share to the issue of
such deceased grandchild per stirpes absolutely.

benefit of each of my said grandchildren then living and pay the
income and principal as, in the sole discretion of my trustee,
is necessary for the support, education, health and welfare of my
grandchildren. As each of settlor's grandchildren reaches the
age of 21 years, trustee shall thereafter pay t}le net income from
the share to~~~am or her. As each of settlor's grandchildren
reaches the age of 25 years, he or she shall have tiie right to
withdraw one-half of the principal then remaining, and as each of
said grandchildren reaches the age of 3d years, he or she shall
have the right to withdraw absolutely the entire balance of his
or her share. Such rights of withdrawal may be exercised at any
time or from time to time as the right accrues.
C. If any grandchild of mine shall have attained
any of such respective ages at the time when such shares directed
to be set apart for such grandchild or at the time when any addi-
tion is made thereto, such grandchild shall then have the right
to withdraw such part or parts or all, as t}:e case may be, of
such share as is given such gran_child anon :_~tta?.Wing such

aries shall not leave any power to give, grant, sell, convey,
mortgage, pledge or otherwise dispose of, encumber or anticipate
the income of any installment thereof, or any share in the prin-
cipal thereof, it being the settlor's direction that no right of
disposition of any such property shall vest in beneficiary or
beneficiaries until the same shall have been actually transferred
or paid over to him or them.
9. Any sum from paragraph 2 hereinabove which is pay-
able to a minor beneficiary other than a grandchild of mine shall
continue to ue held I;d TRUST by my trustee. Any Bach sum may, in
the sole and absolute discretion of the trustee, be applied to
the support, maintn_nance, education and general welfare of said
minor in such Wanner as trustee may deem proper without regard
to the duty of any parson to support sue?i minor. 1lccumulate

5. Trustee shall have the following power and duties
in addition to those already conferred herein and to those con-

C. 'Phe trustee may determine t}ra node in which
xpenses are to be borne as between principal and income and may
etermine which moneys or property are to be treated as principal,
hich right shall include the power to determine whether any part
f the actual income of any investment purchased at a premium or
discount shall be treated as principal or income. Each such
etermination, whether made upon a question actually raised or
nplied in the acts or accounts of the trustee, shall be conclu-
ive and binding upon all the persons.

u. In dividing the trust estate into shares or
funds, the trustee may allot undivided interests in any of the
assets oS the trust estate to the >averal slraras or funds, and
may also make investments in common for any or all such funds or
shares insofar as the same :aay advantageously be done.
L. For the purpose of making any distribution of
the corpus of the trust estate, the trustee is authorized and
empowered to value and appraise any and all of said trust estate
and to distribute the same in kind or cash, or partly in kind and
partly in cash, as it may deem advisable; and any such valuation
and appraisement made by trustee shall be valid and binding on
every beneficiary }iereunder.
F. The trustee shall ;eith trust funds purchase at
the market value thereof at the time of purchase any securities or
'other }>roperty tendereii to it by the executor or acirainistrator
of the settlor's estate at any time and from time to time within
a period of 9 rronths after the settlor's death. If there shall
be any difference of opinion as to the market value of such prop-
erty, it shall be fixed by the trustee and executor or adminis-
trator of the settlor's estate and their determination as to such
value s}iall be conclusively binding upon all persons claiming
under this agreement, If they shall be unable to agree, such
value shall be determined by an arbitrator to be agreed upon and
appointed iJy then, and in such case his determination shall be
conclusive. The e,;pense of such arbitrator shall ba borne equally
by the settlor's estate and by this trust. The trustee may also

A. Settlor reserves the right to add to this trust
either as direct or contingent beneficiary any policy of insurance
issued on her life, the proceeds thereof to be held on the same
terms of trust and with like ford and effect as is the said

I3. Any corporation resulting frorn any merger,
:onversion or consolidation to which The Commonweal t}! iVatioual
iay be a party or any other corporation otherwise succeeding

of The Commonwealth National Bank shall be the successor to it as
trustee hereunder without the execution or filing of any paper or
any further action on the part of any party hereto or beneficiary
hereunder.
C. This instrument shall be construed and
administered in accordance with the laws of the Commonwealth of
Pennsylvania, and the validity of the trust hereby created shall
be determined in accordance with the laws of the said Commonwealth
of Pennsylvania.
D. Na life insurance company shall be responsible
to see to the execution of the performance of this trust.
r:. The settlor shall pay all premiums on the life
insurance policy or policies held hereunder. Trustee shall have
no responsibility to see that the policies are kept in force.
I'. T'ie settlor reserves to himself alone all
rights, options and powers granted to the insured by settlor's
policies held hereunder and any policies which might be added to
the trust estate, and particularly the following rights:
(1) To change beneficiary;
(2) To borrow on policies;
(3) To receive dividends, benefits and all
other sums payable to the insured.

settlor shall have the right to withdraw any or all of said poli-
cies from the possession of the trustee, to pledge or assign
them, to change the beneficiaries and to receive all dividends,
surrender values and all other payments of any Y.ind on account of
them. The trustee shall take any steps necessary to enable the
settlor to exercise any such rights. After the settlor's death,
the trustee may exercise all riyhts, options and powers granted
by the insurance policy or policies Yield hereunder.
G. settlor reserves the right to revoke or amend
this trust in all or in part at any time and from time to time by
written instrument and delivered to trustee in the lifetime of
settlor. The duties, powers and liabilities of the trustee shall
not be changed without the written consent of the trustee.
Fi. The trustee may exercise all its rights,
powers, duties and obligations without prior court approval.
7. Should the share of any trust hereinabove provided
for be or become too small in the trustee's discretion so as to
make establishment or continuance unadvisable, the trustee may
make immediate distribution of the said share, including any
accumulated or undistributed income, outright to the beneficiary.
