COMPLAINT
CONFESSION OF JUDGMENT
1. The Plaintiff, Susquehanna Bank, Successor by Merger to Graystone Bank, is a
banking corporation maintaining an address of 1826 Good Hope Drive, Enola, PA 17025.
2. The Defendant, Sleep Disorder Centers of Central Pennsylvania, Inc., is a
Pennsylvania corporation with a registered address of 2250 Millennium Way, Enola, PA 1702 .
3. On February 23, 2006, for value received, in connection with a commercial to ,
and not a consumer transaction, Central Pennsylvania Pulmonary Associates, LLC (the
"Business"), issued to the order of, and delivered to the Plaintiff a certain Promissory Note
(``Note"), pursuant to which the Business promised to pay the Plaintiff the principal amount of
Two Hundred Thousand Dollars ($200,000.00), plus interest and late fees thereon as therein

provided. A true and correct copy of the Note is attached hereto, made a part hereof, and mark
Exhibit "A."
4. As security for the payment and performance of the obligations of the Business
under the Note, the Defendant executed and delivered to the Plaintiff a certain Commercial
Guaranty (the "Guaranty"), dated February 23, 2006; a true and correct copy of which is attach d
hereto, made a part hereof, and marked Exhibit "B." A true and correct copy of the Disclosure or
Confession of Judgment is attached hereto, made a part hereof, and marked Exhibit "C".
5. The Note was modified by Change in Terms Agreements dated January 5, 2009
and January 11, 2011 (collectively, the ``Agreements"), modifying various terms and condition
of the Note as described in the Agreements. A true and correct copy of the Agreements is
attached hereto, made a part hereof, and marked as Exhibit "D". The Note and Agreements ar
hereinafter collectively referred to as the "Note".
6. The Business is in default because the Business has failed, refused, and continu s
to fail and refuse to pay the amount due Plaintiff as demanded by Plaintiff under and pursuant
the Note.
7. As a result of the default of the Business under the Note, the Plaintiff enters
judgment against the Defendant.
8. Judgment has not been entered on the warrant of attorney contained in the
Guaranty in any jurisdiction.
9. The Guaranty has not been assigned, and the Plaintiff remains the holder hereo
10. Judgment is not being entered by confession against a natural person in
connection with a consumer credit transaction.

11. An itemization of the amount due and owing to the Plaintiff by the Defendant
under the Guaranty, as of August 8, 2012, is as follows:

12. The warrant of attorney contained in the Guaranty provides for confession of
judgment against the Defendant for the amounts itemized as set forth in Paragraph 11 above.
WHEREFORE, the Plaintiff, prays your Honorable Court to grant judgment in favor of
the Plaintiff and against the Defendant in the sum of One Hundred Sixty-nine Thousand Seven
Hundred Thirty-two Dollars and Eighteen Cents ($169,732.18), plus interest at the per diem ra e
of $23.13, from August 8, 2012, late fees, and costs of collection.

calculated from the date of each advance until repayment of each advanoe.
PAYMENT. Borrower w~ pay this ban b htg immediately upon Lender's demand. Borrower wig pay regular monthly payments of ant accrued
unpaid &rterest due as of each payment date. beginning April 1, 2006, with aI subsequent interest payments to ba due on the same da of each
month after that. UNass otherwise agreed or required by appGdbb law, payments wiN be applied first to any accrued unpaid inter then to
prindpal; then m any late charges; and then to any unpaid caNectbn casts. The armual k+terest rate for this Note is computed on a 651360
basis; that is, by applying the ratb of the annual interest rate over a year of 360 days, multiplied by the outstanding principal balance, ItipRed
by the actual number of days the principal balance is outstanding. Borrower wip pay Lender at Lender's address shown above or at s h other
place as Lender may designate ln.writing.
VARIABLE INTEREST RATE. The interest rate on this Note is subject io change from time to time based on changes in an index hich is
Lender's Prime Rate {the "index"). This is the rate Lender charges, or would charge, on 90-day unsecured loans to the most cr orthy
corporate customers. This rate may or may not be the lowest rate available from lender at any given time: lender will tell Borcower current
Index rate upon Borrower's request. Tha interest rate change will not occur more often than each day. Borrower understands that Le er may
make loans based on other rates as well. The Interest rate to be applied to the unpaid principal balance of this Note will be et a rate f 1.000
percentage point over the Index. NOTICE: Under no circumstances will the interest rate an this Note be more than the maximum rate allowed
by applicable law.
PREPAYMENT. Borrower agrees that all loan fees and other prepaid finance charges are earned fully as of the date of the loan and wi I not be
subject to refund upon early payment (whether voluntary or as a result of default!, except as otherwise required by law. Excep for the
foregoing, Borrower may pay without penalty all or a portion of the amount owed earlier than it is due. Early payments will not, unlea agreed
to by Lender in writing, relieve Borrower of Borrower's obligation to continue to make payments of accrued unpaid interest. Ra r, early
payments will reduce the principal balance due. Borrower agrees not to send Lander payments marked "paid in full", "without rec rse", or
similar language. If Borrower sends such a payment, Lender may accept it without losing any of Lender's rights under this Note, and ower
will remain obligated to pay any further amount owed to Lander. All written communications concerning disputed amourms, including a y check
or other payment instrumem that indicates that the payment constitutes "payment in full" a# the amount owed or that is tendered w other
conditions or limitations or as full satisfaction of a disputed amount must be mailed or delivered to: GRAYSTONE BANK, 112 Mark Street
Harrisburg, PA 17101.
LATE CHARGE. if a regularly scheduled interest payment is 20 days or more late, Borrower will be charged 10.000% of the regularly eduled
payment ar 3250.00, whichever b greater. If Lender demands payment of this loan, and Borrower does not pay the loan In full within 0 days
after Lender's demand, Borcower also will be charged either 10.000% of the sum of the unpaid principal plus accrued unpaid int est or
S250.00, whichever is greater.
INTEREST AFTER DEFAULT. Upon default, including failure to pay upon final maturity, Lander, at its option, may, if permitted under a licable
few, increase the variable interest rate on this Nate to 3.000 percentage points over the Index. The interest rate will not exceed the ximum
rate permitted by applicable law. If judgment is entered in connection with this Note, interest will continua to accrue on this N e after
judgment at the interest rate applicable to this Note at the time judgment is entered.
LENDER'S RIGHTS. Upon Lender's demand, Lender may, after giving such notices as required by applicable law, declare the entire unpaid
principal balance on this Note and all accrued unpaid interest immed'wtely due, and then Borrower will pay that amount.
ATTORNEYS' FEES; EXPENSES. Lender may hire or pay someone else to help collect this Note if Borrower dons not pay. Borrower ill pay
Lender that amount. This includes, subject to any limbs under applicable law, Lender's attorneys' fees and Lender's legal expenses, w that or
not there is a lawsuit, including attOmeys' fees, expenses for bankruptcy proceedings {inc[uding efforts to modify or vacate any autom tic stay
orsnjunction), and appeals. If not prohibited by applicable law, Borrower also will pay any court costs, in addition to all other sums pro tiled by
law.
JURY WAIVER. Lander and Borrower hereby waive the right to any jury trial in any action, proceeding, or counterclaim brought by eithe Lender
or Borrower against the other.
GOVERNING LAW. This Note will be governed by federal law applicable to Lender and, to the extent not preempted by federal law, the laws of
the Commonwealth of Pennsylvania without regard to fts conflicts of law provisions. This Note has been accepted by Londe in the
Commonwealth of Pennsylvania.
CHOICE OF VENUE. If there is a lawsuit, Borrower agrees upon Lender's request to submit to the jurisdiction of the courts of Dauphin ounty,
Commonwealth of Pennsylvania.
RIGH7 OF SETOFF. To the extant permitted by applicable law, Lander reserves a right of setoff in all Borcower's accounts with Lender { bather
checking, savings, or some other account!. This includes all accounts Borcower holds jointly with someone else and ell accounts Horro er may
open in the future. However, this does not include any IRA or Keogh accounts, or any trust accounts for which setoff would be prohi ited by
law. Borrower authorizes Lender, to the extent permitted by applicable law, to charge or setoff all sums owing on the indebtedness agai st any
and all such accounts.
LIME OF CREOR. This Note evidences a revolving line of credit. Advances under this Note may be requested either orally or in w ing by
Borrower or by an authorized person. All oral requests shalt be confirmed in writing on the day of the request, on forms acceptable to ender.
All communications, instructions, or directions by telephone or otherwise to Lender are to be directed to Lender's office shown above. B rrower
egress to be liable for a8 sums either: (A) advanced in accordance with the instructions of an authorized person or (Bi credited to arty of
Borrower's accounts with Lander. The unpaid principal balance owing on this Note at any time may be evidenced by endorsements on t s Note
or by Lender's internal records, including daily computer print-outs.
SECURITY. Ali collateral {as herein defined) is security for this Note and any renewals, extensions and modifications thereof, and the ant,
perforrtsgnce and discharge of all other present or future indebtedness, obligations and undertakings (whether,. individual, joint, several, direct,
contingent or otherwise) of the Borrower to or for the beneftt of Lender, whether arising directly to lender under this Note or under a otfier
agreement, promissory note or undertakings now existing or hereinafter entered into by the Borrower to the Lender. The term "Co ateral"

includes all tangible and intangible property {i) described in arty mortgage, pledge, assignment or other security document separately ez cuted in
favor of Lender, end (ii} in which a security interest has been granted to Lender pursuant to this Note.
ANNUAL REVIEW. The Lender will review the Note annually for renewals and extensions; such renewals and extensions to b granted
predicated on the performance of the company and/or individuals and adherence to the Loan Agreement and/or loan policy.
CROSS COLLATERALIZEICROSS DEFAULT. This loan will ba cross~ollaterelizedlcross-defaulted with all other loans from borrower, r any of
Borrower's related entities, to Lender. If at any time there is a default under this loan, all bans will be considered in defsuh end ail ou standing

SUCCESSOR INTERESTS. The terms of this Note shall be binding upon Borrower, and upon Borrower's heirs, personal repres ntatives,
successors arxf assigns, and shall inure to the benefit of Lander and its successors and assigrts.
GENERAL PROVISIONS. Lender may delay or forgo enforcing any of its rights or remedies under this Mote without losing them. Burr war and
any other person who signs, guarantees or endorses this Note, to the extent allowed by law, waive presentment, demand for pay ant, and
notice of dishonor. Upon any change in the terms of this Note, and unless otherwise expressly stated in writing, no party who signs is Note,
whether as maker, guarantor, accommodation maker or endorser, shall be released from liability. AlCsuch parties agree that Lender m y renew
or extend /repeatedly and for any length of time/ this loan or release any party or guarantor or collateral; or impair, fail to realize upon r perfect
Lender's security interest in the collateral; ar?~9 take arty other action deemed necessary by Lender without the consent of or notice t anyone.
All such parties also agree that Lender may modify this loan without the consent of or notice to anyone other than the party with hom the
modification is made. The obligations under this Note are joint and several. If any portion of this Note is for any reason determi d to be
unenforceable, it will not affect the enforceability of any other provisions of this Note.
CONFESSION OF JUDGMENT. BORROWER HEREBY IRREVOCABLY AUTHORIZES AND EMPOWERS ANY ATTORNEY R THE
PROTHONOTARY OR CLERK OF ANY COURT IN THE COMMONWEALTH OF PENNSYLVANIA, OR ELSEWHERE, TO APPEAR AT A Y TIME
FOR BORROWER AFTER A DEFAULT UNDER THIS NOTE AND WITH OR WITHOUT COMPLAINT FlLED, CONFESS OR ENTER JU GMENT
AGAINST BORROWER FOR THE ENTIRE PRINCIPAL BALANCE OF THIS NOTE AND ALL ACCRUED INTEREST, LATE CHARGES AND Y AND
ALL AMOUNTS EXPENDED OR ADVANCED BY LENDER RELATING TO ANY COLLATERAL SECURING THIS NOTE, TOGETHER WIT COSTS
OF SUIT, AND AN ATTORNEY'S COMMISSION OFTEN PERCENT (10%} OF THE UNPAID PRINCIPAL BALANCE AND ACCRUED INTER ST FOR
COLLECTION, BUT IN ANY EVENT NOT LESS THAN FIVE HUNDRED DOLLARS (55001 ON WHICH.JUDGMENT OR JUDGMENTS NE OR
MORE EXECUTIONS MAY ISSUE IMMEDIATELY; AND FOR SO DOING, THIS NOTE OR A COPY OF THIS NOTE VERIFIED BY AFFIDAVI SHALL
BE SUFFICIENT WARRANT. THE AUTHORITY GRANTED IN THIS NOTE TO CONFESS JUDGMENT AGAINST BORROWER SHALL NOT BE
EXHAUSTED BY ANY EXERCISE OF THAT AUTHORITY, BUT SHALL CONTINUE FROM TIME TO TIME AND AT ALL TIMES UNTIL PAY ENT IN
FULL OF ALL AMOUNTS DUE UNDER THIS NOTE. BORROWER HEREBY WAIVES ANY RIGHT BORROWER MAY HAVE TO NOTICE R TO A
HEARING IN CONNECTION WITH ANY SUCH CONFESSION OF JUDGMENT AND STATES THAT EITHER A REPRESENTATIVE OF LENDER

original Principal Amount of Two Hundred Thousand and 00/100 Dollars ($200,000.OOJ ("Nate") with interest accruing at a Variabl Interest
Rate of Lender's Prime Rata plus 1.00% with no floor limitation.
DESCRIPTION OF CHANGE IN TERMS. Effective the date of this Agreement, lender and Borrower have agreed to include a floor of 5 50% on
the Variable Interest Rate, alt the terms of which are defined below.
PROMISE TO PAY. Control Pennsylvania Pumonary Associates, LLC ("Borrower") promisee to pay to GRAYSTONE BANK ("Lender"), r order,
in lawful money of the United States of America, on demand, the principal amount of Two Hundred Thousand &001100 DoYars (5200 000.00)
or ao much as rosy be outstandutg, togetfier with interest on the unpaid outstanding principal balance of each advance. Interest shall be
calculated from the date of each advance until repayment of each advance.
PAYMENT. Borrower will pay thfs ban in fuN immediately upon lender's demand. Borrower w~ pay regular monthly payments of si accrued
unpaid Interest duo as of each payment date, beginning February 1, 2009, with as subsequent interest payments to be due on the sa a day of
each month after that. Unless otherwise agreed or requ'xed by applicable law, payments wpl be appied first to any accrued unpair interest;
then to pdncipal; then to any late charges; and then to any unpaid collectbn costs. Borrower will pay Lender at Lender's address sho n above
or at such other place as Lender may designate in writing.
VARIABLE INTEREST RATE. The interest rate on this ban is subject to change from time to time based on changes in an index, hich is
Lender's Prime Rate (the "Index"?. This is the rate Lender charges, or would charge, on 90-day unsecured loans to the most cre itworthy j
corporate customers. This rate may or may not be the lowest rate available from Lender at any given time. Lender will teEl Borrower current '
Index rate upon Borrower's request. The interest rate change will not occur more often than each day. Borrower understands that Le der may
make loans based on other rates as well. The interest rate to be applied to the unpaid principal balance of this loan will be ca !sled as ~
described in the "INTEREST CALCULATION METHOD" paragraph using a rate of 1.000 percentage point over the Index. NOTICE: nder no
circumstances will the interest rata on this loan be less than 5.500% per annum ar more than the maximum rate allowed by applicable I w. ~

PREPAYMENT. Borrower may pay without penalty alt or a port(on of the amount owed earlier than it is due. Ear{y payments wHl no unless
agreed to by Lender in writing, relieve Borrower of Borcower's obligation to continue to make payments of accrued unpaid interest. Re r, early
payments will reduce the principal balance due. Borrower agrees not to send Lender payments marked "paid in full", "without rec roe", or
similar language. If Borrower sends such a payment, Lender may accept it without being any of Lender's rights under this Agreem nt, and
Borrower will remain obligated to pay any further amount owed to Lender. All written commun(cstions concerning disputed amounts, i luding
any check or other payment instrument that indicates that the payment constitutes "payment in full" of the amount owed or that is ndered
with other conditions or limitations or as full satisfaction of a disputed amount must be mailed or delivered to: GRAYSTONE BANK, 11 Market
Street Harrisburg, PA 17101.
LATE CHARGE. !f a regularly scheduled interest payment is 20 days or more late, Borrower will be charged 10.000% of the regularly s heduled
payment or 8250.00, whichever Is greater. !f Lander demands payment of this loan, and Borrower does not pay the loan in full within O days
after Lender's demand, Borrower also will be charged either 10.00096 of the sum of the unpaid principal plus accrued unpaid int rest or
5250.110, whichever is greater.
INTEREST AFTER DEFAULT. Upon defauk, including failure to pay upon final maturity, the interest rate on this loan shall be increased b adding
a 2.000 percentage point margin ("Default Rate Margin"). The Default Rate Margin shall also apply to each succeeding interest rate cha a that
would have applied had there been no defauk. If judgment is entered in connection with this Agreement, interest will continue to accr a after
the date of judgment at the rate in effect at the time judgment is entered. However, in no event will the interest rete exceed the m ximum
interest rate limitations under applicable law.
LENDER'S RIGHTS. Upon Lender's demand, Lender may, after giving such notices as required by applicable law, declare the entire unpaid
principal balance under this Agreement and all accrued unpaid interest immediately due, and then Borrower will pay that amount.
ATTORNEYS' FEES; EXPENSES. Lender may hire or pay someone else to help collect this Agreement if Borrower does not pay. Borro er will
pay Lender that amount. This includes, subject to any limits under applicable law, Lender's reasonable attorneys' fees and Lende s legal
expenses, whether or not there is a lawsuit, including reasonable attorneys' fees, expenses for bankruptcy proceedings (including of orts to
modify or vacate any automatic stay or injunction!, and appeals. If not prohibited by applicable law, 8orcower also will pay any court c sts, in
addition to all other sums provided by law.
.JURY WAIVER. Lender and Borrower hereby waive the right to any jury trial in any action, proceeding, or counterclaim brought by eidter tender
or Borrower against the other.
GOVERNING LAW. This Agreement wlil be governed by federal law applicable to Lender and, to the extent not preempted by federal f w, the
laws of tfie Commonwealth of Pennsylvania without regard to its conflicts of law provisions. This Agreement has been accepted by ! nder in
the Commonwealth of Pennsylvania.
CHOICE OF VENUE. It there is a lawsuit, Borrower agrees upon Lender's request to submit to the jurisdiction of the courts of Dauphin ounty,
Commonwealth of Pennsylvania.
RIGHT OF SETOFF. To the extent permitted by applicable-law, Lender reserves a right of setoff in all Borrower's accounts with Lender ( hether
checking, savings, or some other account). This includes all accounts Borrower holds jo(ntly with someone else and alt accounts Borro r may
open in the future. However, this does not include any IRA or Keogh accounts, or any trust accounts for which setoff would be prohib led by
law. Borrower authorizes Lander, to the extent permitted by applicable taw, to charge or setoff all sums owing on the indebtedness agai st arty
and all such accounts.
LINE OF CREDIT. This Agreemenrt evidences a revdving line of credit. Advances under this Agreement may be requested eitt?er oral or in
writing by Borrower or by an authorized person. All oral requests shah he.confirmed in writing on~the day of the request, on forms accep ble to
Lender. Ail communications, instructions, or directions by telephone or athorwise to lender are to be directed to Lender's office shown bove.

any of Borrower's accounts with Lender. The unpaid principal balance owing on this Agreement at any time may be evidenced by end rsements
on this Agreement or by Lender's internal records, including daily computer print-outs.
CONTINUING VALIDITY. Faccept as expressly changed by this Agreement, the terms of the original obligation or obligations, in lading all
agreements evidenced or securing the obligation(s), remain unchanged and in full force and affect. Consent by Lender to this Agree ant does
not waive Lender's right to strict performance of the obligation(s) es changed, nor obligate Lender to make any future change in terms Nothing
in this Agreement will constitute a satisfaction of the obligation(s). [t is the intention of Lender to retain as liable parties all m keys and
endorsers of the on final obli anon s includi accomm
endorser, including accommodation makers, will not be released by virtue of this Agreement. If any person who signed the original obligation
does not sign this Agreement below, then all persons signing below acknowledge that this Agreement is given conditionally, bas d on the
representation to Lender that the non-signing party consents to the changes and provisions of this Agreement or otherwise wiN not released
by it. This waiver applies not only to any initial extension, modification or release, but also to all such subsequent actions.
SUCCESSOR INTERESTS. The terms of this Agreement shall be binding upon Borrower, and upon Borrower's heirs, persona) repres ntatives,
successors, and assigns, and shell be enforceable by Lender and its successors and assigns.
MISCELLANEOUS PROVISIONS. H any part of this Agreement cannot 6e enforced, ibis fact will not affect the rest of the Agreeme Lender
may delay or forgo enforcing any of its rights or remedies under this Agreement without losing them. Borrower and any other pe son who
signs, guarantees or endorses tfiis Agreement, to the extent allowed by law, waive presentment, demand for payment, and notice of ishonor.
Upon any change in the terms of this Agreement, and unless otherwise expressly stated in writing, no party who signs this Agreement whether
as maker, guarantor, accommodation maker or endorser, shall be released from liability. All such parties agree that Lander may renew r extend
(repeatedly and for any length of time) this loam or release any party or guarentor or collateral; or impair, fail to realize upon or part Lender's
security interest in the collateral; and take any other action deemed necesaary by Lender without the consent of or notlca to anyone. All such
parties also agree that Lender may modify this loan without the consent of or notice to anyone other than the party with whom them ification
is made. The obligations under this Agreement are joint and several.
