LAST WILL AND TESTAMENT
OF
SPERO TOULOUMES
I, SPERO TOULOUME5, of 21 Chestnut Street, Mt. Holly Springs,
Cumberland County, Pennsylvania, declare this to be my Last Will
and revoke any Will or Codicil previously made by me.
ITEM I: I direct that all expenses of my last illness and
funeral, including my gravemarker and perpetual care, shall be paid
from my residuary estate as soon as practicable after my decease as
a part of the expense of the administration of my estate.
ITEM II: I direct that all taxes that may be assessed in
consequence of my death, of whatever nature and by whatever
jurisdiction imposed, shall be paid from my residuary estate as a
part of the expense of the administration of my estate, without
apportionment. .
ITEM III: I devise and bequeath the following cash bequests
to my grandchildren, providing that they survive me by thirty (30)
days:
A. To WILLIAM T. PHILLIPY, V, sor: of my daughter Vasiliki
Toulcumes Phillipy, the .sum of $1,400;
B. To ALEXANDRA DEMETRIOS TOULOUMES, daughter of Demetrios
Spero Touloumes, the sum of $1,000;
C. To EVANTHIA A. POYATZIS, daughter of Nickolette Spero
Poyatzis, the sum of $1,000;
D. To GEORGIA D. POYATZIS, daughter of Nickolette Spero
Poyatzis, the sum of $1,000.
ITEM IV: Any bequest payable to any of my beneficiaries,
under the terms of this Will, who may be under the age of eighteen
(18) years, I give, devise and bequest, in a separate trust, to my
trustee, hereinafter named, In Trust, for the benefit of such
beneficiary, to be administered as follows:
A. To hold the income and the principal in trust until such
time as my beneficiary shall reach the age of eighteen (18) years,
at which time the principal and accumulated income shall be paid to
my said beneficiary.
B. Should my beneficiary die before reaching the age of
eighteen (18) years, the then-remaining principal and accumulated
income of his or her trust shall be paid;
(i) to such one or more persons or organization, excepting
his or her estate, his or her creditors, and the creditors of his

or her estate, on such terms as he or she may appoint-by Will.
(ii) in default of appointment as aforesaid, or insofar as it
is not effectual, to his or her then living issue, per stirpes.
(iii) in default of such issue, to my then living issue, per
stirpes, any portion thus accruing to a child for whom principal is
then held in trust hereunder shall be added to and thereafter
treated as a part of such principal.
(iv) in default of such issue, to my heirs under the
Pennsylvania Intestate Law.
ITEM V: I appoint my brother, Dean touloumes, and my brother-
in-law, Thomas N. Kounas, as Co-Trustees of any trusts created for
the benefit of my grandchildren pursuant to ITEM III of this my
Last Will.
ITEM VI: I devise and bequeath the entire balance in my
Farmers Trust Company bank account No. 512885 to 'my daughter,
VASILIKI TOULOUMES PHILLIPY.
ITEM VII: I devise and bequeath all the rest, residue and
remainder of my Estate, to my trustee, hereinafter names, In Trust,
for the benefit of my children, VASILIKI TOULOUMES PHILLIPY,

DEMETRIOS SPERO TOULOUMES, NICKOLETTE SPERO POYATZIS and MELODY
ELAINE SPERO MAY, to be administered as follows:
A. During the lifetime of my children, VASILIKI TOULOUMES
PHILLIPY, DEMETRIOS SPERO TOULOUMES, NICKOLETTE SPERO POYATZIS and
MELODY ELAINE SPERO MAY, my Trustees shall use the income and such
sums as they deem advisable from principal in their absolute sole
discretion, to provide for the health, welfare and support of my
children.
B. Distributions of income and or principal may be made in
disproportionate shares to my beneficiaries, at such times or
intervals as my Trustees shall determinE: such decisions to be in
the sole discretion of my Trustees hereinafter named.
C. Upon the death of all of my children, the principal and
all undistributed income shall be transferred and delivered free of
trust to my then living grandchildren, in equal shares, per capita.
ITEM VIII: The Trustees hereunder shall have the following
powers, in addition to and not in limitation of those granted by
law: to accept assets in kind in distribution from my estate; to
collect proceeds of insurance on my life and to use such proceeds
to purchase assets from my estate or to make loans to my estate; to
retain assets in kind or to sell the same and to invest and
reinvest the proceeds and any other cash in any kind of property,

zeal or personal, or part interest therein located in the United
States, all statutory and other limitations as to the investment of
funds, now or hereafter enacted or in force, being waived; to hold
income cash uninvested until the next regular payment date, without
liability for interest thereon; to retain or to purchase policies
of life insurance, to pay premiums thereon from income or .principal
and to exercise all rights of ownership thereover; to pledge,
exchange or mortgage real or personal property and to lease the
same for terms exceeding five (5) years; =o give options for sales,
leases and exchanges; to borro~~r money; to compromise claims; to
vote shares of corporate stock, in person or by proxy, in favor of
or against management proposals; to carry securities in the name of
a nominee, including that of a clearing corporation or depository,
or in book entry form or unregistered or in such other form as will
pass by deliver; and to make division or distribution hereunder
either in cash or in kind an t allocate to different shares
different kinds of or interest ir. property and property having
different bases for Federal income tax j~urposes, as the Trustees
deem equitable.
ITEM IX: The Trustees, at their sole option, may delegate
from time to time to a corporate Trustee, selected by them, by an
instrument in writing, any or all of said individual Trustees'
rights, powers and duties hereunder. My Trustees shall have the
power to dismiss such corporate Trustee at any time, without cause.
This item shall not be interpreted as a requirement to select such

a corporate Trustee.
ITEM X: I appoint my brother, DEAN TOULOUMES and my brother-
in-law, THOMAS N. KOUNAS, Co-Executors of my Will.
ITEM XI: I appoint my brother, DEAN TOULOUMES and my brother-
in-law, THOMAS N. KOUNA5, as Co-Trustees of any trusts established
pursuant to ITEM VII hereinabove.
ITEM XII: No bond shall be required of any fiduciary
hereunder in any jurisdiction. Dro fiduciary hereunder shall have
any liability for any mistake or error of judgment made in good
faith.
ITEM XIII: The principal and income of any trusts created
hereunder for the benefit of my grandchildren or of my children
shall be free from anticipation, assignment, pledge or obligation
of any beneficiary and shall not be subject to any execution or
attachment or to voluntary or involuntary alienation.

ITEM IV: I realize that executors and trustees are given
discretion by law to make various elections which affect the income
and estate taxes payable by estates, trusts and beneficiaries as
well as the relative shares of beneficiaries, such as taking
administration expenses as deductions for either estate or income
tax purposes, selecting options for the payment of employee death

benefits, electing to take qualified terminable interests as part
of the marital deduction, selecting alternate valuation dates,
postponing the payment of taxes, filing joint income tax or gift
tax returns and redeeming corporate stock. The decisions made by
my fiduciaries in any of these matters shall be binding upon, and
not subject to question by, any affected persons. I rely upon my
fiduciaries to take into consideration the total income and estate
taxes payable by reason of their decisions, including those payable
by my survivors, and they are authorized in their discretion, but
not required, to make adjustment between and principal as a result
thereof.

other typewritten pages, identified by the signature of the
