Petitioner, Philip V. Hoffman, is an adult individual residing at 72 Ladnor Lane, Carlisle, Cumberland County, Pennsylvania 17015 (hereinafter "Petitioner"). 2. Respondent, BNY Mellon, N.A., is a national banking association organized under the laws of the United States of America, with a principal place of business at 1 Mellon Bank Center, Pittsburgh, Allegheny County, Pennsylvania 15258; however, all correspondence from BNY Mellon, N.A. are transmitted through its wealth management group, BNY Mellon Wealth Management, with an address of 1735 Market Street, Philadelphia, Pennsylvania 19103 (hereinafter referred to as "BNY Mellon, N.A." or "the Trustee"). 3. Petitioner's father, Philip Reynold Hoffinan (hereinafter "Settlor"), established a Trust dated September 19, 1979 with approximately One Million Dollars ($1,000,000.00) (hereinafter "Trust"). A true and correct copy of the Trust Agreement is attached hereto as Exhibit "A" and incorporated by reference. 4. The Trust was created when the Settlor and the Trust Officer from Commonwealth National Bank entered into the Trust Agreement dated September 19, 1979 in Perm Township, Cumberland County, Pennsylvania. See Exhibit "A ", notary page of Trust Agreement. 5. Venue is proper in Cumberland County, Pennsylvania. 6. Settlor departed this life on July 23, 1984. 7. Pursuant to the terms of the Trust, Petitioner's mother, Vernon Pauline Hoffman was the primary beneficiary of the Trust. 8. Petitioner's mother, Vernon Pauline Hoffman, departed this life on December 23, 2006. 9. Upon the death of Petitioner's mother, Petitioner became the beneficiary of the Trust. 10. As stated in the Trust Agreement, Settlor appointed Commonwealth National Bank as trustee of the Trust. See Exhibit "A", Trust Agreement. 11. On October 1, 1991, Commonwealth National Bank was acquired by Mellon Bank, N.A. 12. On July 1, 2008, Mellon Bank, N.A. was acquired by Bank of New York and renamed BNY Mellon, National Association. 13. BNY Mellon, N.A, through a portfolio manager at BNY Mellon Wealth Management (BNY Mellon's Wealth Management Group), is the current Trustee of the Trust. (referred to as the "Trustee" as set forth previously). 14. As of March 31, 2012, the Trust was valued at $505,967.04 and composed of the following assets: a. BNY Mellon Intermediate Bond Fund; b. BNY Mellon Large Cap Fund; c. BNY Mellon Mid Cap Stock Fund; d. BNY Mellon Small Cap Stock Fund; e. BNY Mellon International Fund; and f. BNY Mellon Emerging Markets Fund. A true and correct copy of the statement dated March 31, 2012 is attached hereto as Exhibit "B" and incorporated by reference. 15. As of Apri130, 2012, the Trust was valued at $503,026.32 and composed of the following assets: a. CRA (BNY Mellon, N.A., Member FDIC); b. CRA (BNY Mellon, N.A. Member FDIC); c. BNY Mellon Short-Term U.S. Government Security Funds; d. BNY Mellon Intermediate Bond Fund; e. BNY Mellon Bond Fund; f. BNY Mellon Large Cap Stock Fund; g. BNY Mellon Focused Equity Opportunities Fund; h. BNY Mellon US Core Equity 13/3; i. BNY Mellon Mid Cap Stock Fund; j. BNY Mellon Small/Mid Cap Fund; k. Dreyfus Diversified International Fund; and 1. BNY Mellon Emerging Markets Fund. A true and correct copy of the statement dated Apri130, 2012 is attached hereto as Exhibit "C" and incorporated by reference. 16. It is believed and therefore averred that the above mentioned assets in Paragraphs 14 and 15 are owned by a subsidiary of BNY Mellon, N.A. 17. As demonstrated by the statements dated March 31, 2012 and April 30, 2012, all trust assets are located in assets of BNY Mellon, N.A. and/or a subsidiary of BNY Mellon, N.A. 18. The Trustee has failed to diversify the assets of the Trust and is self-dealing. 19. As demonstrated on the Apri130, 2012 statement, the Trustee sold $42,470.58 of BNY Mellon International Funds and purchased $35,070.33 worth of BNY Mellon Emerging Market Funds on April 2, 2012 along with other sales and purchases of BNY Mellon funds and the Dreyfus Diversified International Fund. 20. As -set forth in the aforementioned two statements, the Trustee has switched funds from one Fund owned by BNY Mellon, N.A. and/or a subsidiary of BNY Mellon, N.A. to a different fund owned by BNY Mellon, N.A. and/or a subsidiary of BNY Mellon, N.A. and gaining commission and/or upfront fees on each transaction. 21. The Trustee is only investing in its own assets or assets owned by one of its subsidiaries and therefore is self-dealing in order to receive monetary gain in addition to the fees associated with administering the Trust, i.e. upfront fees and/or commission when switching between funds affiliated with BNY Mellon, N.A. 22. The Trustee is mismanaging and wasting the money of the Trust. 23. The suitability of the investments is in serious doubt as all investments are located in assets of BNY Mellon, N.A. and/or subsidiaries of BNY Mellon, N.A. 24. The Trustee has committed a serious breach of trust in its actions in administering the Trust. 25. Since July 1, 2008 (Market Value of Trust $522,480.17) through June 30, 2012 (Market Value of Trust was $484,724.54), the Trust Assets have decreased by $37,755.63. A true and correct copy of the account summary dated July 3 ] , 2008 is attached hereto as Exhibit "D" and incorporated by reference. A true and correct copy of the statement dated June 30, 2012 is attached hereto as Exhibit "E" and incorporated by reference. 26. As stated in averment 25, the long term pattern of mediocre, at best, performance resulting in poor investment results when compared to other comparable trusts demonstrates a persistent failure to administer the Trust effectively. 27. These actions and the aforementioned actions ofself-dealing, poor investment results, and other actions demonstrate that the Trustee has persistently failed in administering the Trust. 28. Paragraph FOURTH(d) of the Trust Agreement reads as follows: "After the death of Settlor's wife, this Trust shall continue for the lifetime of Settlor's son, Philip V. Hoffinan. During his liftetime, Trustee shall pay to Philip V. Hoffinan all of the net income and such portions of the principal of this Trust as shall be necessary to maintain Settlor's son in his proper station in life, including proper support, maintenance and medical, hospital, and nursing care. The Trustee shall also consider the fact that during Settlor's lifetime, he supplemented the income of his son, Philip V. Hoffman, and did also make certain gifts to him." (emphasis added). 29. Petitioner has requested disbursements from the Trustee to supplement his income, to pay everyday expenses and funds necessary to maintain his proper station in life. 30. The Trustee has refused to make any disbursements except for limited disbursements of income to Petitioner. 31. The Trustee has refused to maintain Petitioner's proper station in life. 32. The Trustee has refused to consider the fact that the Settlor supplemented the income of the Petitioner. 33. The Trustee's actions clearly demonstrate that it favors the residuary beneficiaries over the current beneficiary. 34. The Trustee's actions clearly demonstrate that it is unwilling to administer the Trust in the best interests of the beneficiaries. 35. The Trustee, in a letter dated May 3, 2011, purposely attempted to misguide Petitioner regarding his rights in seeking the resignation of the Trustee by stating that the "trust was established and is guided by an Agreement that does not provide to you [Petitioner] the right to amend or revoke it." A true and correct of the letter dated May 3, 2011 is attached hereto as Exhibit "F" and incorporated by reference. 36. The aforementioned actions demonstrate that the Trustee is not acting in the best interest of the beneficiaries. 37. Commonwealth National Bank was selected as Trustee as it was a local bank in which there was face to face personal contact with the individual in charge of the Trust. 38. The Trustee removed the Trust assets and the administration of the Trust to its office located at 1735 Market Street, Philadelphia, Pennsylvania 19103. 39. In order to contact the Trustee, the beneficiary must either send a letter to the office located in Philadelphia, Pennsylvania or call 1-888-805-5689 and speak to a different representative, also known as portfolio manager, each time. 40. Unlike the personal contact at Commonwealth National Bank, the Trustee, through a different representative and/or portfolio manager, does not have intimate knowledge of the Trust and/or a working relationship with Petitioner. 41. Since the Trust Assets are less than One Million ($1,000,000.00) Dollars, the Trustee will not permit the Trust to be administered by a representative or portfolio manager at a local wealth management office of the Trustee in southcentral Pennsylvania. 42. The Settlor intended that the Trustee be a financial institution with a local Trust Officer or representative able to assist Petitioner by providing personal contact. 43. The Trustee's administration of the Trust Assets is contrary to the desires and wishes of the Settlor in selecting a financial institution with local offices and local Trust Officers or representatives to administer the Trust and to assist the beneficiaries. 44. Pursuant to 20 Pa C.S.A. ~7766(b), a "court may remove a trustee if it finds that removal of the trustee serves the best interests of the beneficiaries of the trust and is not inconsistent with a material purpose of the trust, a suitable co-trustee or successor trustee is available and: a. Trustee has committed a serious breach of trust; b. Lack of cooperation among cotrustee substantially impairs the administration of the trust; c. The trustee has not effectively administered the trust because of the trustee's unfitness, unwillingness or persistent failures; or d. There has been a substantial change of circumstances. A corporate reorganization of an institutional trustee, including a plan of merger or consolidation, is not itself a substantial change of circumstances" 45. The aforementioned actions of the Trustee clearly demonstrate that it is in the best interests of the beneficiaries that the Trustee be removed. 46. The material purpose of the Trust will not be changed by the removal of the Trustee, as evidenced by the fact that BNY Mellon, N.A. was not the original Trustee selected and designated by the Settlor. 47. There are suitable successor Trustees available, which are in accordance with the Settlor's intent of having a local representative and/or Trust Officer from a financial institution administer the Trust. 48. Edward Jones Investments, F&M Trust, and M&T Bank are financial institutions with a strong reputation in handling trust matters with local representatives, portfolio managers and/or trust officers located in Cumberland County, Pennsylvania. 49. The Petitioner and the residuary beneficiary, Kimberly Hoffinan, desire that Edward Jones Investments be appointed successor Trustee, as Edward Jones Investments has substantial experience in handling trusts and has a local representative with whom the Petitioner and residuary beneficiary have developed a strong working relationship. 50. Pursuant to 20 Pa C.S.A. §7766(b)(I), (3), and (4), the Trustee should be removed for the foregoing and following reasons: a. The Trustee has committed a serious breach of Trust by mismanaging the funds, self-dealing, refusing to administer the Trust Agreement in accordance with the Trust Agreement and other actions as outlined in this Petition. b. The Trustee has not effectively administered the Trust because of the Trustee's unfitness, unwillingness, and persistent failures in not acting in accordance with the Trust Agreement, self-dealing, and other actions as stated in this Petition. c. There has been a substantial change of circumstances, as Commonwealth National Bank, nor a local representative of the Trustee, is no longer administering the Trust. 51. It is likely that the Trustee's mismanagement and persistent failures will continue and result in further loss to the Trust; thus, harming all beneficiaries of the Trust. 52. The Residuary beneficiary is the Petitioner's daughter, Kimberly Hoffman, who consents to this Petition and the appointment of Edward Jones Investments as successor Trustee. A true and correct copy of Petitioner's daughter's consent is attached hereto as Exhibit "G" and incorporated by reference. 53. Based on the aforementioned averments, removal of BNY Mellon, N.A. as Trustee is appropriate and warranted under the provisions of 20 Pa.C.S.A. §7766(b). WHEREFORE, Petitioner respectfully requests that this Honorable Court remove BNY Mellon, N.A., and any of its subsidiaries, departments and groups including BNY Mellon Wealth Management as Trustee under the Trust Agreement dated September 19, 1979 and appoint Edward Jones Investments or a similarly situated local financial institution as Trustee and award a citation, directed to BNY Mellon, N.A., to show cause why it should not be removed as Trustee under the Trust Agreement dated September 19, 1979. TRUST AGREEMENT THIS AGREEMENT made this ]~thday of .~?~. 1979, between PHILIP REYNOLD HOFFMAN of South Middleton Township, Cumberland County, Pennsylvania, hereinafter called "Settlor," and THE C01410NWEALTH NATIONAL BANK, a corporation duly formed existing under the laws of the United States with its principal office located in Harrisburg, Pennsylvania, hereinafter called "Trustee." WITNESSETH: FIRST: That Settlor, in consideration of the trusts hereby assumed by Trustee, has granted. bargained. sold, assigned, transferred and set over, and by these presents does grant, bargain, sell, assign, transfer and set over unto Trustee, its successors and assigns, the property set forth in Schedule "A" attached hereto and forming a part hereof; To have, hold, receive and take said property hereby granted and assigned, together with any additional sums of money, investments oz other property which hereafter may be transferred to Trustee to be held hereunder, unto the said Trustee, its successors and assigns, in trust, nevertheless, for the following uses and purposes: To hold, manage, invest and reinvest the trust estate, collect the income and pay over the net income to Settlor, in quarterly installments, during his life. The Trustee shall transfer to Trust A assets of the Trust Estate selected by it having a value which, when added to the value of all interests in property passing to Settlor's wife. VERNON PAULINE HOFFMAN, either by Sectlor's Will or apart from Settlor's Will, in a manner qualified for the marital deduction under the provisions of the United States Internal Revenue Code in effect at the time of Settlor'e death, will equ81 the lesser of: (1) the maximum marital deduction allowable to Sectloz's estate under the provisions of the said Code; or (2) the minimum amount (if any, and if there is no such minimum amount, then (1) shall be deemed the lesser of (1) and (2)) which, after taking into account all credits and deductions (except the marital deduction) available to~Settlor's estate under the provisions of the said Code, will result in no federal estate tax due from Settlor's estate. Tha Trustee shall satisfy the foregoing division by transferring to Trust A only cash or other assets which are capable of qualifying for said marital deduction. The Trustee shall determine all values of assets for the purposes of this Section in accordance with the federal estate tax values finally determined in Settlor's estate except that assets transferred to Tzuat A in satisfaction of the amount called for shall be valued at the date of transfer to Trust A. THIRD; The following provisions shall apply to Trust A: The Trustee shall pay the net income fzom Trust A to Settlor's wife, VERNON PAULINE HOFFMAN, at least quarter- annually, or upon request, monthly, and shall pay to Settlor'e wife, VERNON PAULINE HOFFMAN, such sums from the principal of Trust A as will permit her to maintain a standard of living comparable to that enjoyed by her during Settloz's lifetime, including mediea2 care. Upoa the death of Settlor's wife, VERNON PAULINE HOFFMAN, the Trustee shall pay the principal to such person or persons, including her estate, in such proportions, in such manner and for such estates as she shall appoint by her Last Will and Testament. In default of such appointment, either in whole or in part, the Trustee shall pay out of the unappointed principal of Trust A any increase in the federal estate tax on the estate of Settlor's wife, VERNON PAULINE HOFFMAN, resulting from htr possession of the power of appointment over the principal of Trust A and shall add the balance of Trust A to Trust B. FOURTH: The following provisions shall apply to Trust B: (a) The Trustee shall have, hold, manage, 3nvast the same, collect the income and pay over the net income and principal as hereinafter provided. (c) The Trustee shall, during the lifetime of Settlor'e wife, pay to her such portions of the principal of this ?rust as shall be necessary to maintain said wife fn her proper station in life, including proper support, maintenance and medical, hospital and nursing care. (d) After the death of Settlor's wife, this Trust shall continue for the lifetime of Settlor'e eon, PHILIP V. HOFFMAN, During his lifetime, Trustee shall pay to PHILIP V. (f) Upon KIMBERLY ANN HOFFMAN'S attaining the age of twenty-five (25) years, the Trustee shall pay to KIMBERLY ANN HOFFMAN one-thixd (1/3) of the then principal. Upon KIMBERLY ANN HOFFMAN's attaining the age of thirty (30) years, the i Trustee shall pay to KIMBERLY AN:i liOFFMAN one-half (1/2) of the then principal. Upon KIMBERLY ANN HOFFMAN'e attaining the age of thirty-five (35) years, the Trustee shall pay to KIMBERLY ANN HOFF1fAN the balance of the then principal. • Should KIMBERLY AI1N HOFFMAN die before final distribution of the assets of said Trust, but be survived by than living issue, the Trvatee shall monthly pay the net income from said Trust to, or for the benefit of, said fssue~, per atizpea, living at each time of distribution; as soon a6 any one of said issue attains the age o£ twenty-one (21) years, and in no event later than twenty (20) years following the death of KIMBERLY ANN HOFFMAN, the Trustee shall pay over all of the then assets in the Trust to the then living issue o£ KIMBERLY ANN 1IOFFMAN, per stirpes. Should KIMBERLY AIIIi HOFFMAN die before final distribution and not be survived by then living issue, the provisions of subparagraph (g) herein shall obtain. (g) If at any time before final distribution of the assets of the Trust established for KIMBERLY AiiN HOFI'MAN or issue of KIMBERLY ANN HOFFMAN, there are no living beneficiaries of said Truss, the Trust shall terminate, and the Trustee shall pay over all of the yssets to the following: Roy E.
