THIS AGREEMENT made this ~ day of G~GtC t _ ,
1995, by and between MARIE RUTLAND as Executrix of the Estate of
THOMAS H. RUTLAND, hereinafter referred to as "Seller") and WILLIAM
GAMBLE t/d/b/a G & P ENGINEERING, 109 Finch Court, Stephens City,
Virginia, (hereinafter referred to as "Buyer").
WITNE SETH:
WHEREAS, the decedent, Thomas H. Rutland, had operated a
manufacturing and sales business for antennas and other
electronic/radio products;
WHEREAS, Marie Rutland, wife of Thomas H. Rutland, was
duly appointed to administer the Estate of her deceased husband by
grant of letters testamentary on April 6, 1995 by the Register of
Wills of Cumberland County, Pennsylvania at Estate No. 1995-00264.
WHEREAS, Seller, as duly authorized representative for
the Estate of Thomas H. Rutland, desires to sell all assets
including existing .inventory, machines, equipment, supplies,
together with the trade name, Rutland Arrays, to Buyer and Buyer
desires to purchase same;

NOW TH1s'REFORS, the parties, intending to be legally
bound, do hereby agree as follows:
1. Assets to be Convened. Subject to the terms and
conditions contained herein, Seller shall sell, deliver, assign,
transfer and convey to Buyer, and Buyer~'shall purchase from Seller
the following assets, free and clear of all liens, charges,
encumbrances and security interests of any nature whatsoever:
A. Any and all machines equipment, fixtures, supplies
used and useful in the operation of the business known as Rutland
Arrays. A list of said equipment, fixtures and supplies is
attached hereto as Exhibit "A". Which list can be amended by mutual
agreement of the parties.
B. Trade name, "Rutland Arrays".
C. Goodwill and partial customer lists.
D. Inventory.
This executed Agreement shall constitute a bill of sale for
all assets conveyed.
2. Purchase Price. The purchase price of said
business assets, as listed above, shall be forty thousand nine
hundred dollars ($40,900.00}. Payments shall be made as follows:
a) Five thousand dollars ($5,000.00) by certified check upon
signing of this agreement;
b) The sum of thirty-five thousand nine hundred dollars

($35,900.00) payable, together with interest at a rate of
5.75 per annum, as follows:
1) The sum of five hundred dollars .($500.00) per month
commencing January 1, 1996 continuing each month thereafter
until December 1, 1996;
2) The sum of seven hundred ,fifty dollars ($750.00) per
month commencing January 1, 1997, continuing each month
thereafter until December 1, 1997;
3) The sum of one thousand dollars ($1,000..00) per
month commencing January 1, 1998, continuing each. month
thereafter until December 1, 1998;
4 ) The sum of one thousand two hundred f i f t y dollars
($1,250.00) per month commencing January 1, 1999, Continuing
each month thereafter until December 1, 1999.
All payments are due and payable on the first (1st ) day of the
month. In the event any payment is not made by .the tenth (10th) day
of the month, an additional late charge of .five percent (5$) shall
be due and payable.
Interest shall accrue on all outstanding sums at a rate of
5.75$. Buyer shall execute a Promissory Note to secure said.
indebtedness. A copy of the Note and amortization schedule are
attached hereto as Exhibit "B".
This obligation cannot be prepaid. In the event the debt is
prepaid before the end of the term, at time of prepayment, the
purchase price shall be increased twenty percent (20~). As further

security for said indebtedness, Seller shall have a full lien and
security interest in all assets, equipment, inventory of the Buyer.
Buyer shall execute all documents necessary to effectuate this lien
including the filing of a Uniform Commercial Code Financing
Statement against said presently acquired assets, together with
inventory any subsequently acquired assets and inventory of Buyer.
3. No Assumption of Liabili~tieG. Upon execution of
this Agreement, Buyer shall not assume any liabilities, payments,
or obligations for any debt or contract of Seller.
4. Creditors of Sellers Business. Seller acknowledges
full liability to satisfy all existing creditors of the business.
Seller agrees to satisfy the claims of all creditors, secured and
unsecured, holding claims during or which shall become due for or
on account of any goods, wares, merchandise, supplies, or fixtures
purchased upon credit or on account of any money borrowed to carry
on said business.
5. ReAresentation of Buver as to Finan~~a7 Ah li v.
Buyer warrants that he has the necessary financial ability to
consummate this transaction. Buyer represents that no judgments
are outstanding against him and no litigation, proceedings, claims
or investigations are pending which might materially affect his
ability to complete this transaction.

6. Indemnification. Buyer shall indemnify and hold
Seller harmless from and against any and all claims, expenses,
liabilities, damages, costs and obligations (i~ncludinq attorneys'
fees) which arise from transactions or circumstances occurring
after the execution of this Agreement while Buyer controls said
manufacturing and sales operation or which arise out of any breach
of the representations, warranties or covenants contained in this
Agreement.
7. Trade Name. Seller hereby assigns for use by
Buyer, the trade name "Rutland Arrays". Seller hereby quitclaims
all existing rights, title and interest in said name. However,
Seller makes no representation that said designation is a
registered trademark or is able to be used without conflict in the
State of Virginia. Buyer shall bear the obligation of any requisite
registration of said name.
8. 1 sin Closing of this transaction shall occur no
later than August 30, 1995. Time is of the essence far this
contract. Buyer must remove all inventory and equipment no later
than September 2, 1995.
12. Controlling Law. This Agreement shall be
construed and governed in accordance with the laws of the
Commonwealth of Pennsylvania.

13. Entire Agreement. This Agreement embodies the
entire agreement and understanding between the parties with respect
to the subject matter hereof and supersedes any prior understanding
whether written or oral between the parties.
14. No Asatc~nment. This Agreement may not be assigned
by Buyer or Seller without the written consent of the other.

hands and seals the day, month and year first written above.

PROMISSORY NQTE

WILLIAM GAMBLE t/d/b/a G & P ENGINEERING, 190 Finch Court,
Stephens City, Virginia (hereinafter "GAMBLE"),,does hereby agree
to pay to the order of MARIE RUTLAND, as Executrix of the Estate of
THOMAS H. RUTLAND, Cumberland County, Pennsylvania, the sum of
FORTY THOUSAND NINE HUNDRED DOLLARS ($40,900.00), together with the
interest at a rate of 5.75 per annum with, payments as follows:
(A) FIVE THOUSAND DOLLARS ($5,000.00) in a lump sum upon
signing of this note;
(B) Twelve (12) monthly payments of FIVE HUNDRED DOLLARS
($500.00) per month;
(C) Twelve (12) monthly payments of SEVEN HUNDRED FIFTY
DOLLARS ($750.00) per month; and
(D) Twelve (12) monthly payments of ONE THOUSAND DOLLARS
($1,000.00) per month.
(E) Twelve (12) monthly payments of UNE THOUSAND TWO HUNDRED
FIFTY DOLLARS ($1,250.00) per month.
Each monthly payment is due on the first of each month
commencing January 1, 1996. In the event said payment is not made
within forty-five (45) days of the date due, all sums outstanding
shall be due pursuant to this Note shall become immediately due and
payable. Seller does not have the right to prepay this note-unless
an additional twenty percent (20~) is added to the outstanding
purchase price at prepayment.
