Someone accessed our payroll account and used the info for fraudulent activity and drain the account. It will take several days to get the money back from the bank as soon as they clear the transactions are fraudulent. In the meantime the account was closed for safety and I will reissue anyone's' payroll checks from Friday u/4 that did not clear.. At this time I cannot help with fees but hopefully your bank will work with us under these conditions to waive some fees. Please advise me anal give them this letter. I will have to postpone Friday payroll u/ii to Monday a/i4 so that I can get my money back from the bank and not have this issue again. I am switching banks and accounts and starting over. At this time anyone who had direct deposit will no longer have it, that account is also closed for safety purposes. Please bear with us and again I am very sorry for any inconvenience this is causing anyone and their family. Union, PA and Metcalf Trucking, LLC of Carlisle, Pa.. Charles agrees to make a check out weekly or monthly to Members ~S` FCU in the amount of $ZOO/week or ~8oo/month to do a lease to own on above noted equipment. Payments will begin Friday, January a~, zoiZ for 3o months. Total amount of lease to own is ~z4ooo.00. Th.e truck is leased/sold in "as is" condition. In the event that payments are not made for 3o consecutive days, the tractor noted above returns to Metcalf Trucking, LLC as a fleet truck and all prior payments are considered a lease and are forfeited. Once the total payments are completed in the total of ~z4,ooo.oo Members is` FCU and Metcalf Trucking, LLC will sign over the title of above truck to Charles Ellis and he will be the new owner of the truck. At that time Charles will have to obtain truck tags/registration. As of November, x„ aou Charles is also required to pay the physical damage and bobtail insurance on said truck. Our current policy covers this truck until ghat point. Charles is responsible for all fuel and maintenance on this truck. Charles will be paid as an owner operator leased to Metcalf Trucking, LLC. Defendant Metcalf Trucking LLC was,at the time of events giving rise to this Complaint, a limited liability company with an address at 1513 E. Commerce Avenue, Carlisle, Cumberland County, Pennsylvania 17015. 3. On or about January 10, 2012, Ellis entered into an Independent Contractor Agreement with Metcalf Trucking, LLC(hereinafter, "Metcalf') (see, copy appended to this Amended Complaint as Exhibit"A") in which he agreed to provide transportation related services and equipment, as set forth at paragraph 1 of the Agreement. 5. On January 23, 2010, Ellis entered into a Lease Agreement with Metcalf involving a 2005 Volvo Truck in a lease-to-own situation (see, copy appended to this Amended Complaint as Exhibit "B"). 6. On April 10, 2012, Metcalf terminated the Ellis Independent Contractor Agreement and truck lease agreement. 7. In the time period from March, 2012 until his termination on April 10, 2012, Metcalf failed to pay Ellis the compensation owing under the Agreement set forth at Exhibit"A." In addition to the aforesaid missed payments, Metcalf wrote a bad check t,d El;lis in the amount of$2,794.49 (see, Exhibit"D" appended to Amended Complaint, notification from PNC Bank, dated February 17, 2012).As a result of the bad check, Ellis was charged bank fees. Moreover, because the payment was not good, Ellis suffered a variety of other NSF checks which he had written from his account. In total,the fees from this chain reaction amounted to $336.50. 9. Defendant Christine Metcalf ratified these actions of the Company and acted as focal point and principal of the Company in executing its financia) policies, including the non- payments outlined above and NSF check. This matter arises out of an action brought by Plaintiff against Christine Metcalf. 2. On October 2, 2012, Defendant filed an appeal, from an award from Magisterial District Judge Susan Day entered on September 20, 2012. 3. On October 22, 2012, Plaintiff filed a"Complaint." 4. On January 2, 2013 Defendant Christine Metcalf filed Preliminary Objections to Plaintiff's Complaint. 5. On May 13, 2013, Judge Hess entered an Order sustaining the Preliminary Objections and allowing Plaintiff twenty(20) days to file an Amended Complaint. 6. On June 4, 2013, Plaintiff not only filed an Amended Complaint against Christine Metcalf,but also added Metcalf Trucking, LLC (hereinafter"Metcalf Trucking")to the caption. (See Amended Complaint, attached hereto as Exhibit A). 7. In his Amended Complaint, Plaintiff plead claims against Metcalf Trucking, who was not previously a party to this action. (See Exhibits A and Notice of Appeal from Magistrate District Judge Judgment, attached hereto as Exhibit B). L PLAINTIFF'S AMENDED COMPLAINT SHOULD BE DISMISSED FOR IMPROPER SERVICE 8. Defendant Christine Metcalf incorporates the averments of paragraphs 1 through 7 as if set forth in full. 9. Plaintiff never served a copy of the Amended Complaint on Metcalf Trucking. 10. The record is devoid of any proof of service of the Amended Complaint on Metcalf Trucking. 11. The Amended Complaint was only served on Sonya Kivisto, Esq., Christine Metcalf s attorney. 12. Sonya Kivisto, Esq. has not entered her appearance on behalf of Metcalf Trucking. 13. Pennsylvania Rule of Civil Procedure 440 requires that"copies of all legal papers other than original process filed in an action or served upon any party to an action shall be served upon every other party to the action."Pa. R. Civ. P. 440. 14. No such service has been made upon Metcalf Trucking. 15. As such, Plaintiff's Amended Complaint against Metcalf Trucking should be dismissed for improper service pursuant to Pennsylvania Rule of Civil Procedure 1028(a)(1). all II. PLAINTIFF'S COMPLAINT SHOULD BE DISMISSED FOR FAILURE TO CONFORM TO LAW OR RULE OF COURT 16. Defendant Christine Metcalf incorporates the averments of paragraphs I through 15 as if set forth in full. 17. The case was not initially brought against Metcalf Trucking. 18. The Amended Complaint is the first time that Metcalf Trucking was included as part of this action. (See Exhibits A and B). 19. In its Amended Complaint, Plaintiff added Metcalf Trucking to the caption and pled claims against Metcalf Trucking. (See Exhibit A). 20. Metcalf Trucking was not properly served in this case. 21. Plaintiff did not motion the Court or ask permission of the Court to add Metcalf Trucking to this case. 22. Pennsylvania Rule of Civil Procedure 2232(c)provides that: "[a]t any stage of an action, the court may order the joinder of any additional person who could have joined or who could have been joined in the action and may stay all proceedings until such person has been joined." Pa. R. Civ. P. 2232(c). 23. Plaintiff cannot add a defendant that was not named in the original Complaint without Court approval. Mansour v. Gnaden Huetten Mem. Hosp., 3 Pa. D. & C.5th 149, 161-62 (Pa. County Ct. 2007). 24. 'Plaintiff did not obtain Court approval to add Metcalf Trucking to the case. 25. Plaintiff's joinder of Metcalf Trucking by Amended Complaint is impermissible. 26. Because Plaintiff did not obtain Court approval to add Metcalf Trucking to the case,the joinder is improper. 0 27. Therefore, Plaintiff improperly added Metcalf Trucking to the case and the claims against them should be dismissed. 28. Also,the cause of action of the Amended Complaint is based upon a breach of contract,but Plaintiff has not attached a contract between himself and Christine Metcalf as required by Pennsylvania Rule of Civil Procedure 1019(i). 29. For these reasons, Plaintiff s Amended Complaint should be dismissed for failure to conform to law or rule of court pursuant to Pennsylvania Rule of Civil Procedure 1028(x)(2). III. PLAINTIFF'S COMPLAINT SHOULD BE DISMISSED FOR INSUFFICIENT SPECIFICITY OF PLEADING 30. Defendant Christine Metcalf incorporates the averments of paragraphs 1 through 29 as if set forth in full. 31. Plaintiff brought this suit against Christine Metcalf personally. 32. He has set forth no cause of action against Christine Metcalf. 33. He has stated no basis for any action against Christine Metcalf. 34 He has pled no basis for relief against Christine Metcalf 35. For these reasons, Plaintiff s Amended Complaint should be dismissed for insufficient specificity of pleading pursuant to Pennsylvania Rules of Civil Procedure 1028(a)(3). IV. PLAINTIFF'S COMPLAINT SHOULD BE DISMISSED FOR LEGAL INSUFFICIENCY 36. Defendant Christine Metcalf incorporates the averments of paragraphs 1 through 35 as if set forth in full. 37. Plaintiff has brought this action against Christine Metcalf personally. 38. None of the documents attached to Plaintiff's Amended Complaint constitute a contract between Plaintiff and Christine Metcalf personally. (See Exhibit A). 39. Plaintiff s complaint fails to state any basis for recovery against Christine Metcalf. 40. Plaintiff does not allege any facts against Christine Metcalf that would make her personally liable. 41. Plaintiff does not allege any type of contractual or business relationship between himself and Christine Metcalf personally. 42. Plaintiff has not attached a contract between himself and Christine Metcalf personally which would give Plaintiff grounds to bring this action against Christine Metcalf. 43. Under 15 Pa. C.S. § 8922(a), "the members of a limited liability company shall not be liable, solely by reason of being a member, under an order of a court or in any other manner for a debt, obligation or liability of the company of any kind or for the acts of any . member, manager, agent or employee of the company." 15 Pa. C.S. § 8922(a). 44. Metcalf Trucking is a limited liability corporation. 45. As an owner or officer of Metcalf Trucking, Christine Metcalf cannot be held personally liable for the debt of Metcalf Trucking. 46. As Plaintiff has plead no facts or cause of action establishing that Christine Metcalf is personally liable for the actions of Metcalf Trucking, the claims against Christine Metcalf should be dismissed. 47.
