PROKOP and FREDA PROKOP VLADYKA SCHOLARSHIP FUND with a gift and therefore I give, devise and bequeath the sum of Twenty Five Thousand Dollars ($25,000.00) to the Shippensburg University/Shippensburg University Foundation to establish this Scholarship. If possible, it is my wish and desire that the two scholarship funds be combined and be known as the IGNATIOS and ANASTASIA PROKOP/JOHN L. PROKOP and FREDA PROKOP VLADYKA SCHOLARSHIP FUND. I further direct that the guidelines my Brother, JOHN L. PROKOP, established for the first scholarship, be and constitute the guidelines for the Scholarship endowed by this bequest. b. I give, devise and bequeath forty-five (45%) per cent of the remaining balance of my Estate to establish the JOHN L.. PROKOP/ORDER OF AHEPA, HARRISBURG CHAPTER NO. 64 MERIT SCHOLARSHIP TRUST FUND. This is intended to be a restricted trust with the income to be used to provide scholarships to children of Stewards of the Holy Trinity Greek Orthodox Cathedral who further their education following secondary school graduation. It is my desire that a Committee selected by the Officers of the Order of AHEPA, Harrisburg Chapter No. 64, establish the guidelines for the scholarships. The Trust funds shall then be administered in accordance with the rules and regulations established by the HOLY TRINITY GREEK ORTHODOX CATHEDRAL ENDOWMENT TRUST COMMITTEE. c. I give, devise and bequeath forty-five (45%) per cent of the remaining balance of my Estate to the HOLY TRINITY GREEK ORTHODOX CATHEDRAL to be used for capital improvements to our Cathedral. ITEM V: I hereby authorize and empower my Executor hereinafter named to sell all of the real property and any or all of the personal property not specifically bequeathed herein, which I may own or to which I am entitled at the time of my death, in the sole discretion of my Executor at private or public sale, without an Order of Court, at such time or times and upon such terms as the said Executor shall deem proper for the best interests of my estate or of my beneficiaries, thereby converting the same into cash. I further authorize and empower my said Executor to execute, acknowledge and deliver all proper writings and deeds of conveyance and transfer thereof. Agreement to Sell. Seller and Buyer, intending to be legally bound hereby, covenant and agree as follows: Seller shall, on the date hereinafter specified, by Estate Deed, grant, transfer and convey to Buyer, in fee simple, free and clear of all liens and encumbrances, except as hereinafter set forth, good and marketable title and such as will be insurable by any responsible title insurance company regularly doing business in Pennsylvania, at regular rates, to the property described hereafter (the Premises ). 2. _Descri tp ion. All that certain tract or parcel of land situate primarily in Hampden Township, Cumberland County, Pennsylvania, known as 119 West Clearview Drive, Camp Hill, Pennsylvania 1 70 1 1-4023, and more particularly described in the Office of the Recorder of Deeds in and for Cumberland County at Instrument Number 200802194 and also being known as Tax Parcel Number 10-21-0279-100. 3. Consideration. Buyer will purchase the Premises and pay Seller the sum of $120,536.00 payable at the time of settlement, in cash, cashier's or attorney's check, upon delivery of the Deed. Buyer currently occupies the premises as a tenant, and payment of a good faith deposit is therefor waived. 4. Mortgage Contingency. This Agreement is contingent upon Buyer obtaining mortgage financing on terms and conditions acceptable to Buyer. The Buyer shall make a completed application to a responsible mortgage lending institution for a mortgage loan within 15 business days from the date of this Agreement. Notwithstanding anything contained in this Paragraph 4 to the contrary, Seller shall have the option to declare this Agreement NULL AND VOID if Buyer has not obtained mortgage financing on or before October 15, 2012. 5. Proration Items. Real Estate taxes, water, sewer, trash and other municipal utilities and rents, shall be prorated as of the date of settlement. All realty transfer taxes shall be divided equally between Seller and Buyer. 6. Possession. Seller shall deliver an Executor's Deed to Buyer upon full payment of the purchase price. Buyer currently occupies the property as a Tenant. 7. Settlement. Settlement shall take place on or before November 1, 2012 at the Nicholas Law Off ces PC, 2215 Forest Hills Drive, Suite 37, Harrisburg, Pennsylvania 17112- 1099 or at such other place as the parties may hereafter agree to in writing. g. Appurtenance Clause. The conveyance will be made together with all and singular the buildings, improvements, easements and appurtenances whatsoever thereunto appertaining, it being understood and agreed that all plumbing, heating and electric systems, ceiling fans, clothes washer and dryer, refrigerator, and fixtures appurtenant thereto and forming a part thereof, as well as all cabinets and other permanent fixtures, wall oven if any, stove and dishwasher, together with storm doors, windows and awnings, if any, screens, shades, venetian blinds, fuel in the fuel tank, if applicable, are included in the sale and purchase price, and shall be delivered to Buyer at the time of delivery of possession of said property. 9. Condemnation. If prior to the Closing Date, all or any part of the Premises is taken by eminent domain, either party may, by written notice to the other, elect to cancel this Agreement prior to the Closing Date. In such event, both parties shall be relieved and released of and from any further liability hereunder, and the deposit shall be returned to Buyer without any deductions. Unless this Agreement is so canceled, it shall remain in full force and effect, and the Seller shall assign, transfer, and set over to the Buyer all the Seller's right, title, and interest in and to any awards that may be made for such taking. 10. Risk of Loss. The Seller assumes the risk of loss or damage to the Premises by fire or other casualty until delivery of the deed at settlement. In the event of damage to the Premises by fire or other casualty prior to settlement, there shall be no duty on the Seller to restore, replace, rebuild or repair the damaged or destroyed Premises or portions thereof. In the event of damage as aforesaid, the Buyer shall have the right (1) to declare this Agreement null and void and receive back all deposit monies; or, (2) to pay the full purchase price at settlement and receive an assignment of all claims to any insurance proceeds. Subsequent to settlement, all risk of loss or damage by reason of destruction of or damage to the Premises shall be solely that of the Buyer. 11. Maintenance & Repairs. Until delivery of possession to Buyer, Seller shall maintain and repair said property and deliver the same in as good condition as it now is except for: (a) ordinary wear and tear; (b) casualty damage from perils insurable under a standard fire policy with extended coverage; (c) casualty damage from other perils if same occurred otherwise than by fault of Seller or anyone under Seller. 12. Except as otherwise provided in this agreement, it is understood the Buyer has inspected the property and has agreed to purchase it as a result of such inspection in its "as is present condition" and not because of or in any reliance upon any representation made by Seller or by any agent of Seller, and has agreed to purchase it in its "as is present condition" unless otherwise specified herein. 17. Inspections. Seller hereby agrees to permit inspections by Buyer, authorized appraisers, reputable certifiers or as may be required by the lending institution or insuring agencies. 18. Assignment. No assignment of this Agreement shall be valid without the written consent of Seller, which consent shall not be unreasonably withheld. 19. Default. (a) If Seller is unable to deliver the quality of title required in accordance with the terms of this Agreement, Buyer shall have the option of terminating this Agreement and the deposit shall be returned to Buyer without any deductions, whereupon neither party shall have any further liability or obligation to the other under the terms of this Agreement; or, Purchaser may proceed to settlement and take such title as Seller can give without an abatement or reduction in purchase price. (b) In the event all contingencies set forth in this Agreement have been satisf ed and Buyer fails or refuses to consummate this transaction, Seller's sole remedy shall be the retention of the deposit paid the Buyer. 3 20. Radon. Seller has no knowledge concerning the presence or absence of radon. Buyer waives his right and agrees to accept the property on the basis of Seller's representation and does hereby release, quit-claim and forever discharge Seller or his agents and any other person who may be liable by or through them, for any and all claims, losses or demands, including personal injuries and all of the consequences thereof whether now known or which may arise from the presence of radon in any building on the property. This release shall survive settlement. 21. Addenda. Attached Addenda are made a part of this Agreement, including: (a) Wood Infestation Addendum (b) Seller's Property Disclosure Statement (c) Lead Paint Disclosure Statement 22. Waiver of Tender; Notices. Formal tender of Deed and of purchase price are hereby waived. Any notices between the parties hereto shall be in writing and may be served in the manner provided by law for the service of process of equity or may be mailed by certified or registered mail to either party at the respective addresses above set forth. If mailed, such notice shall be deemed effectively given as of the second business day after the date of posting. 23. Escrow Agent. In the event this Agreement shall be declared void by either party hereto in accordance with the terms herein, the said escrow agent shall pay out any moneys deposited as provided under the terms of this Agreement, after which this Agreement shall be deemed null and void and canceled. Escrow agent shall not be liable to either party in payment of the escrow fund. Seller and Buyer, jointly and severally, shall defend, indemnify and hold Escrow Agent harmless from and against all claims, demands, liability, or expense including without limitation reasonable attorneys' fees, that Escrow Agent may incur or which may be asserted against Escrow Agent, by Seller, Buyer or any other person or entity as a result of his performance of services hereunder, except to the extent that such claims, demands, liability or expense shall arise directly as a result of Escrow Agent's gross negligence or willful misconduct and there shall be a judicial determination as such. 24. Covenant Not To Record. Buyer will not record this Agreement. Any recording of this Agreement shall constitute a default hereunder on the part of the Buyer and shall automatically render this Agreement null and void. 25. Time of the Essence. The Parties agree that time is of the essence in this Agreement. 26. Real Estate Brokers. The parties hereto each warrant, represent, covenant and agree with the other that they have not used the services of a real estate broker or agent in the instant transaction and, agree, to indemnify the other from any claims brought for real estate broker or agent commissions on the instant sale. 4 27. Entire Contract. This Agreement constitutes the entire contract between the parties hereto and there are no other understandings, oral or written, relating to the subject matter hereof. This Agreement may not be changed, modified or amended, in whole or in part, except in writing, signed by all parties. Wherever used in this Agreement, the singular shall include the plural, the plural the singular, and the use of any gender shall be applicable to all genders. Marginal notes are inserted for convenience only and shall not form part of the text of this Agreement. 28. Bindin Effect. This Agreement and all of its terms and conditions shall extend and be binding upon the parties hereto and upon their respective heirs, executors, administrators, successors and assigns.
