Plaintiff No. vs. HOGG PROPERTIES LLC CIVIL ACTION Defendant COMPLAINT The above Plaintiff brings this action against the above Defendant to recover the sum of $37,965.64, with interest thereon as hereinafter stated, upon the following cause of action: 1. Plaintiff, CONSTELLATION NEWENERGY, INC., is located at 1221 Lamar St., Suite 750, Houston, TX 77010. 2. Defendant, HOGG PROPERTIES LLC, is located at 309 Bridge Street, New Cumberland, PA 17070. COUNTI Breach of Contract 3. Defendant executed a written Electricity Supply Agreement ("Agreement") with Plaintiff, a true and correct copy of which is attached hereto, made a part hereof and marked Exhibit ..A ~~ 4. Pursuant to the terms and conditions set forth in the Agreement, Plaintiff rendered to Defendant certain electricity supply services in the amount and for the prices set forth in invoices issued to Defendant, a true and correct copies of which are attached hereto, made a part hereof and collectively marked Exhibit "B." 5. The prices charged for the aforesaid services are just and reasonable and are those which Defendant promised to pay Plaintiff. 6. Defendant received said services. 7. Defendant accepted said services. 8. Defendant did not reject said services. 9. Defendant did not dispute the quality of said services. 10. Defendant has not paid Plaintiff in full for said services. 11. A total principal amount which became due as a result thereof, after allowance for all proper credits for payments and/or adjustments, if any, was $29,373.34. 12. Pursuant to the Agreement, Plaintiff is also entitled to receive interest on the above amount determined by applying the agreed interest rate of 18% per annum to the past due balance, which currently totals $4,186.30. 13. Plaintiff is entitled to have the 18% interest charge continue to accrue as set forth above, from October 16, 2012 on down to the date of judgment in this matter. 14. In accordance with the Agreement, Defendant further agreed to pay Plaintiffs attorneys' fees incurred in the collection of any balance due Plaintiff, which currently totals $4,406.00. 15. Plaintiff has made demand against Defendant for the aforesaid sum, but Defendant failed or refused to pay the same or any part thereof. WHEREFORE, Plaintiff demands judgment against Defendant for $37,965.64 together with the continually accruing interest charge at the agreed rate of 18% per annum from October 16, 2012, costs of suit and all other relief to which Plaintiff may be entitled. COUNT II Alternative to Count I -Unjust Enrichment 16. Plaintiff incorporates the allegations of every paragraph enumerated above of this Complaint as if said paragraphs were fully set forth here at length. 17. At Defendant's request, Plaintiff conferred a benefit upon Defendant by providing the services described in the exhibits attached hereto. 18. Defendant received and accepted the benefit of said services provided by Plaintiff. 19. At all times material hereto, Defendant was aware that Plaintiff was providing the aforesaid services to Defendant and that Plaintiff expected to be paid for such. 20. At all times material hereto, Defendant, with the aforesaid knowledge, permitted Plaintiff to provide said services and to incur damages. 21. At all times material hereto, Defendant was unjustly enriched by retaining the benefit of receiving said services without paying Plaintiff fair and reasonable compensation. 22. Allowing Defendant to retain the benefit of said services without paying fair compensation would be unjust. 23. By reason of the aforesaid unjust enrichment of Defendant at Plaintiff s expense, an implied contract exists between Plaintiff and Defendant and Defendant is obligated to pay Plaintiff the quantum meruit value of the services described in the exhibits attached hereto in the amount of $29,373.34. WHEREFORE, Plaintiff demands j udgment against Defendant for $29,373.34 together with the continually accruing interest charge at the statutory rate of 6.00% per annum from October 16, 2012, costs of suit and all other relief to which Plaintiff may be entitled. OPINION and ORDER OF COURT Placey, C.P.J., 16 September 2013 Plaintiff filed a two-count Complaint against Defendant on 5 December 2012. Defendant filed Preliminary Objections on 23 January 2013 averring improper venue and jurisdiction, lack of required supporting documentation attached to the Complaint, and a legally insufficient pleading on Count 11, to which Plaintiff filed a response. The matter was listed for argument and submitted on briefs for the 21 June 2013 Argument Court and assigned by the President Judge. STATEMENT OF FACTS This contractual dispute arising out of an Electricity Supply Agreement (ESA)' for payment of electricity supplied to Defendant under the terms of the ESA. Defendant objects to the Complaint utilizing the exclusive jurisdiction and venue terms of the ESA. ' Plaintiff's Complaint(Complaint), Exhibit A. In review, this copy of the ESA is of poor quality, having been made from a third or more generation copy of the original. This copying process greatly reduces the readability of the document upon which a court is asked to make an informed decision. Further, Defendant objects to the inclusion and deficiencies of a quantum meruit claim in a contract action. The venue and jurisdiction paragraph is typed in all capital letters and reads as follows: 10. Dispute Resolution. THIS AGREEMENT WILL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF PENNSYLVANIA WITHOUT GIVING EFFECT TO ANY CONFLICTS OF LAW PROVISIONS. DISCUSSION Venue for a civil action against a corporate entity is proper in a county (1) where the registered office or principal place of business of the corporation exists, (2) where the corporation regularly conducts business, (3) where the cause of action arose (4) where a transaction or occurrence took place out of which the cause of action arose or (5) where property that is the subject of the litigation is located. Pa.R.C.P. No. 2179(1). The Pennsylvania Rules of Civil Procedure provide that objections based on venue must be raised by preliminary objections, and if such an objection is not made, it is waived. Pa.R.C.P. No. 1006(e), The action will not be dismissed if there is a county of proper venue within the state where the case was filed. Id. Improper venue is 2 grounds for dismissal if venue does not properly lie in another county of the state. Scarles v. Estrada, 856 A.2d 85, 91 (Pa. Super. 2005). Therefore, a court may dismiss a case for improper venue if transference is not possible because "there may be no such county," Kisak v. Wheeling Park Comn, 898 A.2d. 1083, 1087 (Pa. Super. 2006). A contract clause purporting to determine the forum where future disputes between parties shall be litigated is not per se invalid and without legal effect. The modern and correct rule is that, while private parties may not by contract prevent a court from asserting its jurisdiction or change the rules of venue, nevertheless, a court in which venue is proper and which has jurisdiction should decline to proceed with the cause when the parties have freely agreed that litigation shall be conducted in another forum and where such agreement is not unreasonable at the time of litigation. See Restatement of Contract§ 558; L. Hand, Jr., concurring in Krenger v. Pennsylvania R. Co., 174 F.2d 556, 560-561, (2d Cir. 1949); Wm. H. Muller& Co., Inc. v, Swedish American Line Ltd., 224 F.2d 806 (2d Cir. 1955); Cerro De Pasco Copper Corp. v. Knut Knutsen, O.A.S. per Frank J. 187 F.2d 990 (2d Cir. 1951); Euzzion v. The London & Edinburgh Insurance Company Ltd., 228 F.Supp 431 (N.D.111.1964); Takemura & Company v. The S.S. Tsuneshima Maru, 197 F.Supp. 909 (S.D.N.Y. 1961). Cent Contracting Co. v. C.E. Youngdahl & Co., 209 A.2d 810, 816 (Pa. 1965). A forum selection clause in a commercial contract between business entities is presumptively valid and will be found to be unenforceable based on unreasonableness only when: (1) the clause itself was induced by fraud or overreaching, (2) the forum selected in the clause is so unfair or inconvenient that a party, for all practical purposes, will be deprived of an opportunity to be heard, or (3) the clause violates a public policy of the jurisdiction. Susquehanna Patriot Commercial Leasing Co, Inc. v. Holper Indus.., Inc., 928 A.2d 278, 282 (Pa. Super. 2007). Application of law to the facts. In this case, Cumberland County is a proper venue because that is where Defendant is located and regularly conducts business. 3 However, the forum selection clause at paragraph 10, denominated as "Dispute Resolution", is clear and unambiguous, albeit causing asthenopia. There is no indicia it was entered into under fraudulent circumstances; indeed, it appears to be Plaintiff's standard contract. The choice of Baltimore City in Maryland is more convenient to south central Pennsylvania than Philadelphia or Pittsburgh and would be deemed practical. Finally, there is no alleged violation of public policy that would prohibit enforcement. The legal precept that general rules give way to a specific rule is controlling. Here, the Pennsylvania Rules of Civil Procedure give way to the specific reasonable term of the contract. Without any mechanism by which to transfer this case to Baltimore City, the only recourse is to dismiss the case. ORDER OF COURT AND NOW, this 16th day of September, 2013, the preliminary objection of Defendant to venue is sustained.
