Box 440 Ambridge, PA 15003 Defendant CNIL ACTION -LAW NO. COMPLAINT AND NOW COMES Plaintiff, AFS Energy Systems ("AFS") by and through its attorneys, Post & Schell, PC, and in support of this Complaint avers the following: 1. Plaintiff, AFS Energy Systems is a fictitious name owned by Advanced Fabrication Services, Inc., which has an address of 420 Oak Street, P.O. Box 170, Lemoyne, Cumberland County, Pennsylvania 17043. 2. Defendant, CFI Associates, Inc. ("CFI") is a Pennsylvania business corporation, with an address of 1693 Merchant Street, P.O. Box 440, Ambridge, Beaver County, Pennsylvania 15003. 3. On February 21, 2011, Defendant, CFI, entered into a contract with Plaintiff, whereby Plaintiff was to provide a Biomass Boiler Conversion for the Warren State Hospital GESA Project. 10216436 4. CFI was a subcontractor for Johnson Controls. 5. The contractual arrangement was that AFS was to bill CFI Associates for its services performed under the contract, and CFI was to pay AFS. 6. AFS properly invoiced CFI, and payment was made by CFI to AFS. 7. Johnson Controls paid CFI the funds for the final invoice for the project, and CFI kept the money and spent it for its own purposes. 8. Despite repeated demands by AFS, Defendant has refused to pay what it owes. 9. CFI acknowledges that the amount owed is Eighty Thousand One Hundred Twenty-Three and 44/100 Dollars ($80,123.44). COUNT I -BREACH OF CONTRACT 10. The averments of Paragraph 1-9 are incorporated hereby as if set forth fully and at length. 11. The parties had a contract whereby Defendant was to pay AFS for services rendered. 12. AFS performed the services, and CFI has failed to pay the final amount of Eighty Thousand One Hundred Twenty-Three and 44/100 Dollars ($80,123.44). 13. Defendant has breached the contract, and AFS has suffered damages in the amount of Eighty Thousand One Hundred Twenty-Three and 44/100 Dollars ($80,123.44). WHEREFORE, Plaintiff, AFS respectfully requests this Honorable Court to grant judgment in its favor and against Defendant, CFI Associates, Inc. in an amount of Eighty Thousand One Hundred Twenty-Three and 44/100 Dollars ($80,123.44), with interest, costs, reasonable attorney's fees, and whatever other relief the Court may consider just and equitable. 2 COUNT II -CONVERSION/FRAUD 14. The averments of Paragraph 1-13 are incorporated hereby as if set forth fully and at length. 15. Defendant has fraudulently converted monies belonging to Plaintiff AFS for its own corporate purposes. 16. This fraud has been perpetrated willfully and intentionally; indeed, Defendant acknowledges it owes Eighty Thousand One Hundred Twenty-Three and 44/100 Dollars ($80,123.44) to AFS. 17. Defendant is retaining the funds without any lawful justification for its continued possession therefor. 18. Defendant's intentional and outrageous conduct entitles Plaintiff to punitive damages. WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in an amount in excess of Eighty Thousand One Hundred Twenty-Three and 44/100 Dollars ($80,123.44), with interest, costs, attorneys' fees, punitive damages, and whatever other relief the Court may consider just and equitable.
