LAST WILL OF JUNE S. LOOKER
I, JUNE S. LOOKER, of Lock Haven, Clinton County, Pennsylvania, hereby declare this
to be my Last Will and revoke all my prior Wills.
1. Payment ofDebts and Taxes
I direct that all my just debts and funeral expenses be paid out of my estate. All federal,
state, and other death taxes payable because of my death, with respect to the property forming my
gross estate for tax purposes passing under this Will, including any interest or penalty imposed in
connection with such tax, shall be considered a part of the expense of the administration of my
estate and shall be paid out of the principal allocable to the residue passing under Paragraph 3
hereof without apportionment or right of reimbursement. I direct that each person receiving
nonprobate property that is subject to federal, state, and other death taxes, shall pay the federal,
state, and other death taxes attributable to his or her estate or its share of my taxable estate.
2 Gift to Spouse
I give my entire estate to my husband, Russell L. Looker, if he survives me by thirty (30)
days.
3. Gift to Issue

4. Trust for Minors
Should any beneficiary entitled to a share of my estate not have attained the age of twenty-
five (25)years at the time of distribution to them, then my trustee shall, IN SEPARATE TRUST,
hold, manage, invest and reinvest the share so received, and the accumulation of income thereon,
and to use and apply the income and principal, or so much thereof as, in Trustee's discretion, may
4 be necessary or appropriate for such beneficiary's support and education (including college
education, both graduate and undergraduate) or to make payment for these purposes; without
further responsibility, to such beneficiary or to any person taking care of such beneficiary. Any
principal or income not so applied shall be distributed to such beneficiary absolutely when they
re-3777 attain the age of twenty-five(25)years. If they die before attaining age twenty-five (25), the trust
shall terminate and such share shall be distributed to their personal representative.
5. Powers of Executor and Trustee
In addition to powers granted by law, my Executor and Trustee shall have the following
powers exercisable at their discretion, without court approval, with respect to both principal and
accumulated income and such powers shall continue until distribution is actually made:
5.1 Sale, etc. To sell at public or private sale, to exchange or to lease for any period of
time, any real or personal property, and to give options for leases.
5.2 Borrowing. To borrow money and to pledge or mortgage any real or personal
property.
5.3 Compromise. To compromise claims.

5.4 Investments. To accept in kind, retain and invest in any form of property without
being limited to legal investments.
5.5 Reorganizations. To join in any merger, reorganization, voting trust plan, or other
concerted action of security holders delegating discretionary duties with respect thereto.
5.6 Principal and Income. To allocate any property received or charge incurred to
principal or income or partly to each as my Trustee and Executor may from time to time direct,
regardless or whether such discretion follow the usual rules of trust accounting.
5.7 Disclaimer. To disclaim any interest in property in accordance with Chapter 62 of
the Probate, Estates and Fiduciaries Code or Section 6103 thereof and may do so without court
authorization.
6. Appointment of Executor and Trustee
I appoint my husband, Russell L. Looker, as Executor and Christopher T. Looker as
Trustee under this Will. Should Russell L. Looker, for any reason, fail to qualify or cease to act
as such Executor during the administration of my estate, I appoint Stephen A. Looker and
Christopher T. Looker as alternate Executors under this Will, with the same duties, powers and
discretion as if originally appointed. Should Christopher T. Looker, for any reason, fail to qualify
or cease to act as such Trustee during the administration of my estate, I appoint Stephen A.
Looker as alternate Trustee under this Will, with the same duties, powers and discretion as if
originally appointed. Neither my Executors nor my Trustee shall be required to enter bond or
furnish sureties in any jurisdiction.
