SHIMER 21-2002-1053 I, GEORGE W. SHIMER, presently residing and domiciled at 414 Allendale Way, (Lower .Allen Township), Camp Hill, Pennsylvania, declare this to be my Last Will and hereby revoke all Wills which I have previously made. ITEM I: I appoint my son, ROBERT W. SHIMER as the Executor of my estate. If he is unable to serve in this capacity or unable to conclude the administration of my estate, I appoint my son, STEPHEN D. SHIMER, as Executor of my estate. If he is unable to serve in this capacity or unable to conclude the administration of my estate, I appoint Dauphin Deposit Bank and Trust Company as the executor of my estate. ITEM II: I direct that all taxes that may be assessed in <:onsequence of my death, of whatever .nature and by whatever jurisdiction imposed, shall be paid as a part of-the cost of admin- istration of my estate. B. U~on the death of the Settlor. 1. Upon the death of the Settlor, Successor Trustee shall pay the then remaining trust principal and income as follows: Page 1 of 5 . - (a). Fifty percent (50%) of the residue shall be distributed to Settlor's son Robert W. Shimer. (b) Fifty percent (50%) of the residue shall be distributed to Settlor's son Stephen D. Shimer. (c) upon receipt by this trust of the net distributable proceeds from Settlor's probate estate, if any, Successor Trustee shall then distribute any such additional proceeds as follows: (i) Fifty percent (50%) to Settlor's son Robert W. Shimer; (ii) Fifty percent (50%) to Settlor's son Stephen D. Shimer. (d) If either of Settlor's sons predecease Settlor, leaving issue who survive the death of Settlor, the surviving issue shall take the parent's share ~ sti~eR. (e) If one of Settlor's sons predecease Settlor without leaving issue to survive the death of Settlor, the deceased son's share shall be distributed to Settlor's surviving son. (f) If both of Settlor's sons predecease Settlor, the alternate Successor Trustee specified in part SEVENTH, of this Trust shall distribute the residue as follows: (i). To Christ Presbyterian Church, loca- ted in the community known as Allendale, in the borough of Camp Hill, Pennsylvania the annual sum of $2,000.00. This sum to be paid annually on a date selected at the discretion of said alternate Successor Trust- ee. The date so selected for first payment shall continue to be the date of annual payment for all succeeding years unless said Church shall re- quest a different date of payment. Said alternate Successor Trustee is hereby directed to honor such request of said church unleSs there is a clear and convincing business reason to continue annual payments on the date selected by the alternate Successor Trustee. (ii). To a prospective college or trade school student living in Harrisburg or in the local surrounding commun- ity, the annual sum of $10,000.00 for a period not to exceed four conse- cutive years to be used solely by that person for his or her College or Trade School education at the school of the reCipient's choice. The re- cipient of this distribution shall be selected without regard to race, religion, creed or sex. A new recipient for this distribution shall be selected every four years, or more often as appropriate, if the previous recipient has elected to attend school for less than the full four years allowed. It is the expressed intention of Settlor that only one distri- bution of $10,000.00 under this subparagraph (f) (ii) shall occur each year. Page 2 of 5 The only requirement for continued receipt of the distribution under this subparagraph (f) (ii) shall be that the person, once selected, continue his or her studies, allowing of course for customary summer breaks. It shall not be a requirement that the person selected attend a four year college or four year curriculum of study. It is only the intention of Settlor that the distribution required under this subpara- graph (f) (ii) not continue for more than four years to any particular recipient. Selection of recipients for distribution under this subparagraph (f) (ii) shall be made by the alternate Successor Trustee but not without the consultation, advice and recommendation of Christ presbyterian Church through its authorized representative(s} unless the church expresses its unwillingness to provide such consultation, advice and recommendation in which case the selection of the recipient shall be at the sole discretion of the alternate Successor Trustee. Said alternate Successor Trustee, may, at its sole discretion, choose to broaden the number of applicants for this distribution by advertising for prospec- tive applicants in the local newspaper(s}. It is Settlor's expressed intention that recipients be selected for receipt of the distribution required by this subparagraph (f) (ii) on the basis of the following critieria: (a) The likelihood that the recipient would be unable to receive an education of his or her choice except for the distribution made hereunder. This criteria shall be interpreted to mean that the recipient's immediate family, even though willing, is unable, applying the criteria of reasonableness, to provide the necessary financial support for the education the prospective reci- pient seeks. By applying a test of "reasonableness", it is simply the Settlor's intention to convey the idea that the unwillingness or inabil- ity of a recipient's parents or guardian to engage in "heroic efforts" are not a basis for disqualifying a prospective recipient. Moreover, if all expenses (including tuition, books, room and board, etc.) associa- ted with attendance at the school of recipient'S choice exceed the sum of $10,000.00 per year, it is not the intention of Settlor to exclude such a prospective recipient from consideration. Distribution hereunder may be made in conjunction with other gifts, grants andj or scholarships which, in total, allow a prospective recipient to attend the school of his or her choice. (b) The recipient has demonstrated in whatever way is deemed satisfactory to said alternate Successor Trus- tee, again applying a standard of reasonableness, the recipient is de- serving of the financial help offered by this distribution. By "deser- ving of financial help", it is the Settlor's intention only to convey the idea that, in light of what is reasonably known about the prospec- tive recipient, his background and his stated life goals, said alternate Successor Trustee can reasonably conclude that education of the reci- pient is likely to benefit his or her community. Page 3 of 5 . . . The decision of the alternate Successor Trustee, in selecting a recipient for the distribution hereunder is final and is not subject to appeal or revision. Any challenge, legal or otherwise by a prospective recipient to a decision of the alternate Successor Trustee shall auto- matically disqualify said propective recipient from any distribution required hereunder. Distribution of cash proceeds under this subparagraph (f) (ii) shall be made each year in memory of Settlor and his loving wife Jean Douglas Shimer, who expressed throughout her life an abiding faith in the importance of education. Nothing in this subparagraph (f) (ii) or the preceeding subparagraph (f) (i) shall be construed or interpreted to conveyor confer upon Christ Presbyterian Church or any student scholarship recipient an interest in realty. Distribution to Johns Hopkins university may, at the discretion of Successor Trustee, be in the form of either cash or stock. By applying a test of "reasonableness", it is simply the Settlor's intention to convey the idea that the unwillingness or inabil- ity of a recipient's parents or guardian to engage in "heroic efforts" are not a basis for disqualifying a prospective recipient. Moreover, if all expenses (including tuition, books, room and board, etc.) associa- ted with attendance at the school of recipient'S choice exceed the sum of $10,000.00 per year, it is not the intention of Settlor to exclude such a prospective recipient from consideration. Distribution hereunder may be made in conjunction with other gifts, grants and/ or scholarships which, in total, allow a prospective reCipient to attend the school of his or her choice.
