LEWIS, REGISTER OF WILLS OF CUMBERLAND COUNTY, PEN N SYLVAN IA: AND NOW comes Petitioner, Glenna A. Marino, by and through her attorneys, Dean A. Weidner, Esquire, and the law firm of Wix, Wenger & Weidner, and states that: 1. Petitioner is the daughter of Ihoko K. Mott, who died as a resident of Cumberland County, Pennsylvania, on February 3, 2002 (the "Decedent"). 2. Petitioner, an adult individual, resides at 640 Southridge Drive, Mechanicsburg (Fairview Township, York County), Pennsylvania. 3. Decedent was a widow whose sole heirs are the Petitioner and Linde S. Mickle of Duluth, Georgia, being all the living children of the Decedent. On May 27, 1994, while a resident of Princeton, New Jersey, Decedent executed a Will, a copy of which is attached hereto as Exhibit "A", in which it named Petitioner and her sister, Linde S. Mickle, as co-executrices and co-trustees. o The Will was prepared by Decedent's attorney, Brenda Farr Engel, a member of the Bar of the State of New Jersey, and was witnessed by Patricia O'Brien, the office manager of Backes & Hill, Attorney Engel's law firm, as well as Desiree McDermott, who was a secretary in the Backes & Hill law office. The Affidavits of Attorney Brenda Farr Engel and Patricia O'Brien are attached hereto as Exhibits "B" and "C," respectively. Following execution of the Will by Decedent, the Will was photocopied and one photocopy was placed in the attorney's files. The original Will was delivered to Decedent. Shortly prior to traveling to China for an extended trip beginning in August of 2000, the Decedent delivered a thick and large sealed manila envelope, having Brenda Farr Engel's name and telephone number boldly printed thereon (as well as her accountant's and her stockbroker's names and telephone numbers), to Petitioner at her home in Lewisberry, Pennsylvania. Ihoko K. Mort told Petitioner that the envelope contained her Will and records of all her finances, and said words to the effect: "You know Brenda, and she has everything you need to know; she has everything." Petitioner believes, and therefore avers, she never returned the envelope to Decedent. o During the month of August 2001, Petitioner moved from her Lewisberry residence, where Decedent delivered the envelope to Petitioner, to a new home in Fairview Township, Pennsylvania. The Decedent died suddenly of a head attack on February 3, 2002. Since Decedent's death, Petitioner has diligently searched Petitioner's new home in Mechanicsburg, Pennsylvania, for the envelope delivered by Decedent, but has been unable to locate it and believes it to be lost. 10. Petitioner and her sister, Linde S. Mickle (while she was in town), diligently searched the Decedent's home to locate her valuable papers. Petitioner was able to locate substantially all of the Decedent's valuable papers, including all papers listed on an inventory 'of the safe deposit box Decedent maintained while a resident of Princeton, New JerSey (as well as keys to that safe deposit box), which box has since been closed, but did not find Decedent's original Will or the original Deed to Decedent's residence. 11. Petitioner contacted Decedent's attorney, Brenda Farr Engel, and received via facsimile a copy of the Decedent's Will, which is attached hereto as Exhibit "A". 12. The undersigned counsel has written to every local bank rending safe deposit boxes, and contacted personally or by telephone every local bank where she knew Decedent had business relationships (including all banks where Decedent's business records indicated any assets) to determine whether Decedent rented a safe deposit box from such bank. None of the local banks have a record of renting a safe deposit box to Decedent, and Decedent had no safe deposit box keys for local banks. 13. If Decedent had died intestate, Decedent's daughters would be her sole heirs, dividing her estate equally. 14. Decedent's Will, attached hereto as Exhibit "A", divides Decedent's assets equally among the families of each of her daughters. Pursuant to Decedent's Will, 20% of Decedent's residual estate will be distributed to each daughter and 30% will be distributed to the children of each such daughter (Decedent's grandchildren). 15.After delivering her original Will to Petitioner immediately prior to her trip to China in August of 2000, Decedent never told Petitioner that she had revoked or changed her Will. 16. Petitioner believes, and therefore avers, that the envelope delivered to Petitioner contained the original Will, and it was never returned to the possession of Decedent following its delivery to Petitioner. WHEREFORE, Petitioner respectfully requests that a citation issue directed to Linde S. Mickle, and to the grandchildren of the Decedent, through their parents and guardians, Michael and Linde S. Mickle, and Barth A. Marino and Glenna A. Marino, to show cause why a photocopy of the Will dated May 27, 1994 of Ihoko K. MOTT, presently residing at 1 Tomlyn Drive, Princeton, New Jersey, being of sound and disposing mind, memory and understanding, do hereby make, publish and declare this my Last Will and Testament hereby revoking all wills and codicils heretofore made by me. FIRST: I am a widow. My husband, Mackie D. Mott, died April 13, 1991. I have two children: Linde S. Mickle of Peekskill, New York and Glenna A. Marino of Lewisberry, Pennsylvania. SECOND: I direct that all of the debts (except debts secured by mortgages or liens or the assignment or pledge of life insurance) which shall be determined to be proper claims against my estate, my funeral expenses, and the costs of administration of my estate be paid as soon as practicable after my death. I further direct that all inheritance, estate, transfer, succession, and death taxes (including any interest and penalties thereon), imposed in relation to any property includable in my estate for the purpose of any such taxes, whether or not such property passes under the provisions of this Will or any codicil hereto, be paid out of my estate as an expense of administration thereof, without proration or apportionment. THIRD: (a) I devise all my clothing, jewelry and personal effects and all furniture, furnishings, household effect, automobiles and other tangible personal property (except currency) in accordance with a written list EXHIBIT "A" or memorandum which I may have executed and which may be in existence at the time of my death. (b) To the extent that all such property is not effectively disposed of by such written list or memorandum, or if no such list or memorandum exists, I devise all of said personal property, including insurance policies thereon, to my children who survive me, to be divided among them as they shall agree. If they fail to agree within three months of my death, or if, in the judgment of my co-executrices, it is impractical to distribute my personal property to my children, then it shall be distributed as part of the residue of my estate as provided below. (c) All costs of safekeeping, insuring and shipping related to my personal property shall be deemed to be a general administration expense. FOURTH: I give, devise and bequeath the residue of my estate ("my residuary estate") as follows: (a) I give, devise and bequeath twenty (20%) percent of my residuary estate to my daughter, Glenna Marino or, if she does not survive me, to her issue per stirpes. (b) I give, devise and bequeath twenty (20%) percent of my residuary estate to my daughter, Linde S. Mickle or, if she does not survive me, to her issue per stirpes. (c) I give, devise and bequeath sixty (60%) percent of my residuary estate to my grandchildren who survive me in equal shares. FIFTH: (a) If any beneficiary of mine shall have then reached the age of thirty (30) years, the share of my residuary estate set aside for such beneficiary shall be transferred, conveyed, and paid over, and I give, devise and bequeath the same to such beneficiary. (b) If any beneficiary of mine shall not then have reached the age of thirty (30) years, the share set aside for such beneficiary shall be held IN TRUST and I give, devise and bequeath the same to my Trustees named below, IN TRUST for the following uses and purposes: (i) To manage and invest the assets of each trust, to collect the income from the trust, and if the beneficiary is under the age of thirty (30) years at the time his or her share is set aside, to apply the net income, and so much of the principal as determined by my Trustees in their sole and absolute discretion, for such beneficiary's health and education to such extent and at such time and in such manner as my Trustees in their sole and absolute discretion, shall determine, without court order and without regard to the duty of any person to support such beneficiary. Payments of principal and income may be made for a guardian, to a custodian for a minor, under the Uniform Transfers to Minors Act or to any parent of a minor beneficiary without any bond being required. The receipt executed by such guardian, custodian or parent shall be a full release to the Trustees for payment so made. Any net income not so applied shall be added to the principal of the trust and thereafter shall be held, administered and disposed of as a part thereof. (ii) When such beneficiary reaches the age of thirty (30) years, my fiduciary shall transfer, convey and pay over to such beneficiary the entire remaining balance of the Trust, as it shall then be constituted. SIXTH: If a beneficiary of mine for whom a separate trust fund has been created under my Will shall die before attaining the age of thirty (30) years, the balance of such beneficiary's trust fund shall be paid over and distributed per stirpes to the descendants of such beneficiary living at the death of such beneficiary and, if there are no such descendants then living, to my descendants living at the death of the beneficiary per stirpes. However, if a trust created under the Will is then in existence for the benefit of any person who would otherwise be entitled to an outright distribution hereunder, such distribution shall be made to the trust then being held and the property shall be added to and administered as part of the continuing trust. SEVENTH: I appoint my daughters, Linde S. Mickle and Glenna A. Merino, to be co-executrices and co-trustees under this my Will. If either should fail to qualify or cease to act as executrix and/or Trustee, then I appoint the other as sole executrix/Trustee. No fiduciary appointed hereunder shall be required to furnish bond or other security. EIGHTH: Any fiduciaries appointed herein shall have those powers set forth in N.J.S.A. 3B:14-23 and all other powers conferred by New Jersey or any other applicable law. I, IHOKO K. MOTT, the testatrix, sign my name to this instrument this~f~ay of ~ , 1994 and, being first duly sworn, do hereby declare to the undersigned authority that I sign and execute this instrument as my Last Will and Testament and that I sign it willingly, that I execute it as my free and voluntary act for the purposes therein expressed and that I am 18 years of age or older, of sound mind and under no constraint or undue influence. AFFIDAVIT I, Brenda Farr Engel, an attorney with the law firm of Backes & Hill of Trenton, New Jersey, being knowledgeable of certain of the matters set forth in the preceding Petition, do hereby depose and state as follows: 1. I am a member of the bar of the State of New Jersey, and am duly licensed to practice law in the State of New Jersey. 2. That I was personally acquainted with Ihoko K. Mott, and acted as her attorney. 3. That on May 27, 1994, Ihoko K. Mott executed a Last Will and Testament which I had prepared for her, a copy of which is attached the foregoing Petition, in my office, and in my presence. 4. The Will was witnessed in the presence of Ihoko K. Mott and me by Patricia R. O'Brien, our office manager, and Desiree McDermott. 5. The Will was duly acknowledged before Barbara A. Ardery, a notary public, who then and now works in our law office. 6. It would have been our normal practice to make a photocopy of the Will for our records, but to send the original Will home with the client. To the best of my knowledge, we followed that practice with Ihoko K. Mott. The original Will would have been contained in an envelope with my law firm's name and address on it, printed on the same type of paper as the original Will backer was printed. 7. Following execution of the Will on May 27, 1994, and while she was a resident of Pennsylvania, I spoke with Ihoko K. Mott on one occasion. During our conversation, she never advised me, to the best of my recollection, that she had executed a new Will. My last conversation with her occurred in 1999. I further direct that all inheritance, estate, transfer, succession, and death taxes (including any interest and penalties thereon), imposed in relation to any property includable in my estate for the purpose of any such taxes, whether or not such property passes under the provisions of this Will or any codicil hereto, be paid out of my estate as an expense of administration thereof, without proration or apportionment. THIRD: (a) I devise all my clothing, jewelry and personal effects and all furniture, furnishings, household effect, automobiles and other tangible personal property (except currency) in accordance with a written list or memorandum which I may have executed and which may be in existence at the time of my death. (b) To the extent that all such property is not effectively disposed of by such written list or memorandum, or if no such list or memorandum exists, I devise all of said personal property, including insurance policies thereon, to my children who survive me, to be divided among them as they shall agree. If they fail to agree within three months of my death, or if, in the judgment of my co-executrices, it is impractical to distribute my personal property to my children, then it shall be distributed as part of the residue of my estate as provided below. (c) All costs of safekeeping, insuring and shipping related to my personal property shall be deemed to be a general administration expense. FOURTH: I give, devise and bequeath the residue of my estate ("my residuary estate") as follows: (a) I give, devise and bequeath twenty (20%) percent of my residuary estate to my daughter, Glenna Marino or, if she does not survive me, to her issue per stirpes. (b) I give, devise and bequeath twenty (20%) percent of my residuary estate to my daughter, Linde S. Mickle or, if she does not survive me, to her issue per stirpes. (c) I give, devise and bequeath sixty (60%) percent of my residuary estate to my grandchildren who survive me in equal shares. FIFTH: (a) If any beneficiary of mine shall have then reached the age of thirty (30) years, the share of my residuary estate set aside for such beneficiary shall be transferred, conveyed, and paid over, and I give, devise and bequeath the same to such beneficiary. ~b) If any beneficiary of mine shall not then have reached the age of thirty (30) years, the share set aside for such beneficiary shall be held IN TRUST and I give, devise and bequeath the same to my Trustees named below, IN TRUST for the following uses and purposes: (i) To manage and invest the assets of each trust, to collect the income from the trust, and if the beneficiary is under the age of thirty (30) years at the time his or her share is set aside, to apply the net income, and so much of the principal as determined by my Trustees in their sole and absolute discretion, for such beneficiary's health and education to such extent and at such time and in such manner as my Trustees in their sole and absolute discretion, shall determine, without court order and without regard to the duty of any person to support such beneficiary. Payments of principal and income may be made for a guardian, to a custodian for a minor, under the Uniform Transfers to Minors Act or to any parent of a minor beneficiary without any bond being required. The receipt executed by such guardian, custodian or parent shall be a full release to the Trustees for payment so made. Any net income not so applied shall be added to the principal of the trust and thereafter shall be held, administered and disposed of as a part thereof. (ii) When such beneficiary reaches the age of thirty (30) years, my fiduciary shall transfer, convey and pay over to such beneficiary the entire remaining balance of the Trust, as it shall then be constituted. SIXTH: If a beneficiary of mine for whom a separate trust fund has been created under my Will shall die before attaining the age of thirty (30) years, the balance of such beneficiary's trust fund shall be paid over and distributed per stirpes to the descendants of such beneficiary living at the death of such beneficiary and, if there are no such descendants then living, to my descendants living at the death of the beneficiary per stirpes. However, if a trust created under the Will is then in existence for the benefit of any person who would otherwise be entitled to an outright distribution hereunder, such distribution shall be made to the trust then being held and the property shall be added to and administered as part of the continuing trust. SEVENTH: I appoint my daughters, Linde S. Mickle and Glenna A. Marino, to be co-executrices and co-trustees under this my Will. If either should fail to qualify or cease to act as executrix and/or Trustee, then I appoint the other as sole executrix/Trustee. No fiduciary appointed hereunder shall be required to furnish bond or other security. EIGHTH: Any fiduciaries appointed herein shall have those powers set forth in N.J.S.A. 3B:14-23 and all other powers conferred by New Jersey or any other applicable law. I, IHOKO K. Marino, individually and for her heirs and assigns ("Marino"), and Linde S. Mickle, individually and for her heirs and assigns ("Mickle"), joined in by Barth Marino, natural co-guardian of Alex M. Marino and Gia N. Marino, and Michael Mickle, natural co-guardian of Alesia D. Mickle and Jillian A. Mickle. The background to this Agreement is as follows: RECITALS: R-1. Marino and Mickle are the children of Ihoko K. Mott, deceased (Mott") recently of 812 Riverview Road, Lemoyne, Cumberland County, Pennsylvania. R-2. Mott's Will dated May 27, 1994 (the "1994 Will") was admitted to probate on April 9, 2002. R-3. The 1994 Will appoints Marino and Mickle as co-executors of the Mott Estate (the "Estate), having an estimated value of the Estate of $1.520 million. R-4. Marino lives in Mechanicsburg, Pennsylvania, and Mickle lives in Duluth, Georgia. R-5. Marino has two children, Alex M. Marino, age 15, and Gia N. Marino, age 12, by her ex-husband Barth Marino. Mickle has two children, Alesia D. Mickle, age 13, and Jillian A. Mickle, age 11, by her husband Michael Mickle. R-6. Item FOURTH of the 1994 Will provides that Marino and Mickle are each to receive twenty percent of the residue of the Estate, with the remaining sixty percent to be divided in equal shares between the surviving grandchildren. R-7. Item FIFTH of the 1994 Will provides that the share set aside for a beneficiary who has not reached age thirty shall be held in trust until such age is attained. R-8. Item SIXTH of the 1994 Will provides that if a beneficiary shall die before attaining age thirty, the trust shall be paid per stirpes to the descendants of such beneficiary, or if no such descendants are then living, to Mott's descendants living at the death of the beneficiary, per stirpes. R-9. Item SEVENTH of the 1994 Will provides for Marino and Mickle to be co- executrices and co-trustees. R-10. Marino and Mickle have agreed to a separation and allocation of the general responsibilities to be performed by each of them, and to a distribution plan for the assets to be distributed by them as Executor, all as allowed by law in the administration of the Estate. R-11. Marino and Mickle wish to ease administration of the trusts created under the 1994 Will, while remaining true to Mott's intent that each of the grandchildren benefit equally. R-12. Marino wishes to disclaim her rights, and the rights of her heirs and assigns, to any interest she would receive as Mott's heir should any of Mickle's children not reach age thirty. Mickle wishes to disclaim her rights, and the rights of her heirs and assigns, to any interest she would receive as Mott's heir should any of Marino's children not reach age thirty. R-13. Marino and Mickle have agreed to hereby make, and cause to be made, disclaimers of interests on their own behalf and on behalf of their minor children pursuant to 20 Pa.C.S.A. §6201 et seq. Marino and Mickle hereby agree to obtain the ratification and affirmance of the disclaimers made by their respective minor children within two months after each minor child's reaching 18, the current age of majority in Pennsylvania. 13. Effect of disaffirmance by any of the minor children. In the event that any of the minor children disaffirm their disclaimers in compliance with all legal requirements therefor, or if the disclaimers given by the minor children shall for any reason be found to be legally ineffective, all of the disclaimers of the minor children contained herein shall be void ab initio and the disclaimers of Glenna A. Marino and Linde S. Mickle shall be considered to be revoked. 14. Invalidity of Provisions. In the event any one or more of the provisions contained in this Disclaimer shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provisions of this Disclaimer, but this Disclaimer shall be construed as if such invalid, illegal or unenforceable provisions had never been contained herein. 4 15. 16. 17. 18. 19. 20. 21. 22. Gender/Number. Whenever the context herein so requires, the singular number shall include the plural, the plural shall include the singular, and the use of any gender shall be applicable to all genders. This Agreement contains the entire agreement between the parties hereto with respect to the subject matter hereof. All prior negotiations, agreements and understandings, whether written or oral, are either merged into this Disclaimer or are hereby superseded. Headings. The headings or captions preceding the paragraphs in this Disclaimer are inserted for convenience of reference only and shall not be construed in interpreting this Disclaimer. Pennsylvania Law. This Disclaimer shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. Waiver, Modification or Amendment. Failure of any party to exercise any of their respective rights under this Disclaimer upon the default, nonperformance or defective performance by any other party of any condition, promise or provision contained in this Disclaimer shall not be construed as a waiver of that or any subsequent default, nonperformance or defective performance. No waiver, release, modification or amendment of any of the terms, conditions or provisions of this Disclaimer shall be valid or relied upon by any party or offered at any judicial proceeding or otherwise, unless in writing and duly executed by all parties hereto. Counterparts. This Disclaimer may be executed in one or more counterparts, each of which shall be considered an original instrument and all of which together shall be considered one and the same agreement, and shall become effective when counterparts, which together contain the signatures of each party, shall have been delivered to Marino and Mickle. Delivery of executed signature pages by facsimile transmission shall constitute effective and binding execution and delivery of this Disclaimer. Recordation. Item SIXTH of the 1994 Will provides that if a beneficiary shall die before attaining age thirty, the trust shall be paid per stirpes to the descendants of such beneficiary, or if no such descendants are then living, to Mott's descendants living at the death of the beneficiary, per stirpes.
