SHAY COURT OF COMMON PLEAS CUMBERLAND COUNTY, PENNSYLVANIA ORPHANS' COURT DIVISION NO. 2007-00737 DISCLAIMER OF BENEFICIAL INTEREST PURSUANT TO 20 Pa. Cons. Stat. Ann. §6202 ~'. AND 1NOW comes STEPHANIE MASSOUD, beneficiary under the Testamentary Trust of the Last Will and Testament of Sara E. Shay, dated January 24, 1996, as amended by Codicil dated July 17, 1997, and hereby states as follows : 1 . Sara E. Shay died on July 24 , 2007, leaving a Last Will and Testament dated January 24, 1996, and a sole Codicil dated July 17, 1997, which documents were admitted to probate by the Register of Wills of Dauphin County, Pennsylvania, and Letters Testamentary granted thereon to Barbara Mitchell on August 20, 2007 . 2 . Sylvia A. Casat is entitled under Item IV(c) of the Last Will and Testament as amended by the First Codicil to one- third (1/3) of the residuary estate to be held in trust for her benefit for the remainder of her life . 3 . By terms of Item IV(c) (2) of the Last Will and Testament as amended by the First Codicil to the Last Will and Testament, the one-third (1/3) beneficial interest to be held in trust passes to her then living issue per stirpes, who are as follows : (a) Meredith Casat . (b) Stephanie Massoud. 4 . Stephanie Massoud is entitled under, Item IV(c) (2) of the Last Will and Testament as amended by the First Codicil to receive a future share of any accumulated income and principal remaining in the testamentary trust upon the death of her mother, Sylvia A. Casat . 5 . Stephanie Massoud did not accept any benefits from the testamentary trust of Sara E. Shay, whether by income distribution or principal distribution, did not exercise control of the Trust assets as a future beneficial owner thereof and now hereby irrevocably refuses receipt of the future benefits which are being disclaimed in this document . 6 . Stephanie Massoud, the undersigned, hereby irrevocably disclaims her future beneficial interest in the Testamentary Trust of Sara E. Shay under Item IV(c) (2) of the Last Will and Testament as modified by the First Codicil to the Last Will and Testament . 7 . Stephanie Massoud acknowledges and understands that, as a consequence of her disclaimer of the future beneficial interest, the Executrix, Barbara Mitchell, may proceed with the distribution of the trust fund to her mother, Sylvia A. Casat, without obligation to preserve any accumulated income or principal for the benefit of Stephanie Massoud upon the death of her mother, Sylvia A. Casat . 8 . Stephanie Massoud intends to deliver this Disclaimer to the Executrix, Barbara Mitchell, under the Last Will and Testament of Sara E. Shay, deceased, and, if necessary, to file it with the Clerk of the Orphans` Court Division of the Court of Common Pleas of Dauphin County, Pennsylvania, pursuant to 20 Pa. Cons . Stat . Ann. 36204 . 9 . Barbara Mitchell, Executrix under the Last Will and Testament of Sara E. Shay, hereby discloses to Stephanie Massoud the gross assets of the Estate through a copy of the Inventory of probate assets, the gross value of which exceeds One Million ($1, 000, 000 . 00) Dollars, of which Sylvia A.
