COMPLAINT
Plaintiff, National City Commercial Capital Corp. flk/a Information Leasing
Corporation (hereinafter referred to as "LLC"), by and through its undersigned attorneys,
Saltz Polisher, P.C" brings this action by way of Complaint against Defendants,
Highspire Entertainment, Inc. ("Highspire") and Charles Martin Dixon ("Dixon"), and in
support thereof avers as follows:
1. Plaintiff, ILC, is a corporation organized and existing under the laws of
the State of Ohio with a place of business located at 1023 West 8th Street, Cincinatti,
Ohio 45203.
2. Defendant, Highspire, is upon information and belief, is a corporation duly
organized under the laws of the Commonwealth of Pennsylvania, whose last known
address to ILC is 121 Allen Drive, Mars, PA 16046.
3. Defendant, Dixon, upon information and belief, is an adult individual and
President of Highspire, whose last known address to ILC is 608 Allenview Drive,
Mechanicsburg, P A 17055 (Cumberland County).
4. On or about September 8, 2000, Highspire made, executed and delivered
to First Sierra Financial, Inc. ("First Sierra") a certain Equipment Lease Agreement (the
"Lease"), which provided for the lease and hire of certain items of equipment
(collectively, the "Equipment") more particularly described in the Lease. A true and
correct copy of the Lease is attached hereto, made a part hereof and marked as Exhibit
"A."
5. In order to induce ILC to enter into the Lease, Dixon made, executed, and
delivered a Personal Guaranty ("Guaranty") to ILC wherein he agreed to individually,
absolutely and unconditionally, guarantee to ILC or its successors, all payments and other
obligations owed to ILC under the Lease. See Exhibit "A."
6. The terms of the Lease require Defendants Highspire and Dixon to make
sixty (60) consecutive monthly payments in the amount of$1,532.53 per month, plus
applicable taxes, until the entire obligation is paid in full,
7. On or about December 11, 2000 Sierra Financial executed a "Lease
Portfolio Purchase Agreement" with ILC whereby it transferred its interest in the
aforesaid Lease to ILC, including its enforcements rights regarding said Lease. A true
and correct copy of the relevant portions of the Lease Portfolio Purchase Agreement is
attached hereto as Exhibit "8."
COUNT I - BREACH OF CONTRACT
8. The averments contained in Paragraphs 1 through 7 of this Complaint are
incorporated herein by reference as though set forth in full herein.
9. Highspire breached the terms ofthe Lease, and Dixon breached the terms
of the Guaranty and became in default thereof, by virtue of, inter alia, their failure to
make the monthly payments due under the Lease.
10. In accordance with the terms and provisions of the Lease, Highspire and
Dixon are obligated and liable to ILC for the accelerated balance of the Lease, plus
attorneys' fees as follows:

11. Despite repeated requests for payment, Highspire and Dixon have failed
and refused to make said payments or any portion thereof or any subsequent payments.
WHEREFORE, Plaintiff, Information Leasing Corporation demands judgment
in its favor and against Defendants, Highspire Entertainment, Inc. in the sum of
$27,697,73 together with the interest, costs of suit, continually accruing attorney's fees,
and such other relief as this Honorable Court shall deem just and proper.
COUNT II - REPLEVIN
12. The averments contained in Paragraphs 1 though and including 11 ofthis
Complaint are incorporated herein by reference and as though set forth in full herein.
13. Pursuant to the terms and conditions of the Lease and the Uniform
Commercial Code as enacted in Pennsylvania, and by virtue of the default of Highspire
and Dixon, ILC is entitled to immediate possession of the Equipment as set forth in the
Lease and as provided by 13 Pa. C.S.A. S2A-525 and 2A-518-525 and/or 13 Pa. C.S.A.
~9-504 et seq.
14. Defendants, Highspire and Dixon remain in possession of the Equipment
to the exclusion of ILC.
15. The estimated value ofthe Equipment is not in excess of$30,000.00.
16. Although frequent demands have been made, Defendants, Highspire and
Dixon have failed, refused and neglected to deliver possession of the Equipment to ILC,
WHEREFORE, Plaintiff National City Commercial Capital Corp. flk/a
Information Leasing Inc. demands judgment in its favor and against Defendants,
Highspire Entertainment, Inc. and Charles Martin Dixon in the sum of $27,697.73
together with interest, costs of suit, continually accruing attorney's fees, and such other
relief as this Honorable Court shall deem just and proper.

LEASE PORTFOLIO PURCBASEAGREEMENT
TIDS LEASE PORTFOLIO PURCHASE AGREEMENT (this "Agreement"), dated
as of December 11 th, 2000, is entered into by and between SlERRACITlES.COM, INC. DBA
FIRST SIERRA FINANCIAL, lNC., a Delaware corporation having its principal place of
business at 600 Travis Street, Suite 1400 Houston, Texas 77002 ("Seller") on the one hand, and
INFORMATION LEASING CORPORATION, an Ohio corporation having its principal place of
business at 1023 West Eighth Street, Cincinnati, Ohio 45203 ("Buyer"), on the other hand.
WITNESSETH:
WHEREAS, Seller is in the business of leasing and financing the acquisition of various
types of equipment to commercial users;
WHEREAS, in connection therewith, Seller has originated or otherwise acquired lease
transactions and equipment financing agreements (individually, a "Lease Transactionll) as
individually set forth on the Lease Transactions Schedule attached hereto;
WHEREAS, Seller desires to sell to Buyer, and Buyer deSires to purchase from Seller,
all of Seller's rights, title and interest in and to each Lease Transaction and a secmity interest in
the equipment thereunder, or Seller's security interests in the equipment thereunder, as the case
may be (such equipment collectively referred to hereinafter as "Equipment"); excluding,
however, Seller's interest in past due amounts, the right to payments in the nature of indemnity to
the extent to the benefit of Seller and Seller's interest in the "Non-Guaranteed Residuals" as
defined in Section 1 (B)(i). In connection therewith, Seller wishes to convey to Buyer, without
limitation, the l~ase agreements, schedules, promissory notes, loan agreements, collateral security
agreements or addenda, letters of credit, certificates of deposit, . guarantees, bills of sale,
assignments, cross-default and/or cross-collateral agreements or any other agreements,
documents or instruments evidencing a payment obligation under, providing security for, . or
relating to any Lease Transaction (subject, however, to the limitation that, if guaranties, credit
enhancements or collateral apply to lease transactions or equipment financing agreements in _
addition to the Lease Transactions being sold to Buyer, Seller is selling to Buyer only such
guaranties, credit enhancements or collateral to the extent applicable to the Lease Transactions~which in the case of collateral will be pro rata with the other obligations secured thereby)
(collectively, the "Lease Transaction Documents"); and
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, the Pm.:ties hereto agree as follows:
Section 1.
Purchase and Sale.
(A) Agreement to Purchase and Sell. In reliance upon the representations and
warranties hereinafter set forth and subject to the ful.fi.I.lm.ent of all the terms and conditions of
this Agreement, Seller (a) hereby sells, assigns, transfers and sets over to Buyer, and Buyer

SierraCities.com, mc, dba First Sierra Financial, Inc., having its principal place of
business at 600 Travis Street, Suite 1400, Houston, TX 77002 ("Assignor"), hereby sells, assigns,
transfers and conveys to Information Leasing Corporation, an Ohio corporation, having its
principal place of business at 1023 West Eighth Street, Cincinnati., Ohio 45203 ("Assignee''),
pursuant to that certain Lease Portfolio Purchase Agreement, dated as of September 28th, 2000
between Assignor and Assignee ("Agreement''), its right, title and interest descnbed in the
Agreement in the Equipment and the Lease Transaction Documents relating to the Lease
Transactions described on the Lease Transactions Schedule signed by the parties and dated
December 11 th, 2000 (collectively, the "Purchased Assets").
Each of Assign.or and Assignee acknowledges and agrees tl1at the assignment from
Assignor to Assignee of the Purchased Assets pursuant heretois made purs~t and is subject to
the terms and conditions set forth in the Agreement and the Lease Transactions Schedule
between Assignor and Assignee. Capitalized'terms utilized but not defined herein shall have the
meanings ascribed to them in the Agreement.
