COMPLAINT
1. Plaintiff, AP Williams, Inc., is a Pennsylvania corporation with a business
address of 3035 North Progress Avenue, Harrisburg, Dauphin County, Pennsylvania
17110.
2. Defendants, David Saurman and Petronya Dobrinoff, are adult individuals,
who reside at 107 Sherman Street, Enola, Cumberland County, Pennsylvania.
3. On or about March 17, 2003, Plaintiff and Defendants entered into a
Standard Agreement for the Sale of Real Estate concerning townhouse construction at
107 Sherman Street, Enola, Cumberland County, Pennsylvania. See Standard Agreement
for the Sale of Real Estate attached hereto as Exhibit A.
4. On or about September 15, 2003, Plaintiff and Defendants entered into an
Escrow Agreement, whereby Defendants agreed to escrow Four Thousand Eight Hundred
Dollars ($4,800.00) for the completion of a deck and steps, stone facing and final grading

and seeding. See Escrow Agreement attached hereto as Exhibit B.
5. Due to inclement weather, the completion of the escrowed items was
delayed.
6. Despite the completion of the escrow items and demand for payment,
Defendants have refused to release the escrow funds.
7. The amount claimed is within the arbitration limits of Cumberland
County.
WHEREFORE, Plaintiff respectfully requests that this Honorable Court enter
judgment against Defendants in the amount of Four Thousand Eight Hundred Dollars
($4,800.00) plus costs and interests.

complete the escrowed items in a timely basis. It is denied that such failure
on the part of the Plaintiff was caused by inclement weather.
6. ADMITTED and DENIED. It is admitted that the Plaintiff has made a

demand for the release of the escrowed fiends. It is denied that the Plaintiff
completed all of the escrowed items and is entitled to the return of the
funds.
7. The averments of Paragraph 7 of the Plaintiff's complaint is a conclusion
of law, to which no reply thereto is necessary.
WHEREFORE, the Defendants request that this Honorable dismiss the complaint
of the Plaintiffs, and find in favor of Defendants.
NEW MATTER
8. The averments of Paragraphs 1 through 7 hereinabove are incorporated
herein by reference thereto.
9. The Plaintiff has failed to state a cause of action.
10. The terms of the escrow agreement set forth dates for the completion of the
items, which were not met by the Plaintiff.
11. The clear and unequivocal terms of the escrow agreement dictate the
release of the funds to Defendants, if the work is not completed by October
15, 2003, in toto.
12. The work was not completed by Plaintiffs as of October 15, 2003.
13. The doctrine of waiver may be applicable.
14. The doctrine of release may be applicable.
15. The doctrine of accord and satisfaction may be applicable.

16. The averments of Paragraphs 1 through 15 hereinabove are incorporated
herein by reference thereto.
17. Pursuant to the terms of the escrow agreement, attached as Exhibit "B" to
the Plaintiff's Complaint, which is incorporated and made apart herein, the
Plaintiff was to complete all of the work pursuant to a detailed scheduling.
18. All of the work in toto, was to be accomplished no later than October 15,
2003.
19. Plaintiff failed to accomplish the work in the time-frame agreed upon.
20. Plaintiff at no time requested an extension of time within which to perform
its contractual obligations.
21. Plaintiff has breached the terms of the agreement, and Defendants are
entitled to the release of the escrowed. funds in the amount of FOUR
THOUSAND EIGHT HUNDRED and 00/100 ($4,800.00).
22. Plaintiff failed to perform fully and in a good and workmanlike manner
with regards to the final grading and seeding, as a result which caused
Defendants additional costs, time and labor.
23. Defendant expended funds and will have to expend further funds in the
future as a result of the Plaintiff's failure to perform relative to the final
grading and seeding.

agreement, attached as Exhibit B to Plaintiff's Complaint, speaks for itself. By way of
further answer, Plaintiff avers that all work was completed except for the seeding of the
backyard with the concurrence of the Defendants.
18. DENIED. Plaintiff incorporates its answer to paragraph 17 as if set forth at
length.
19. DENIED. Plaintiff incorporates its answers to paragraphs 17 and 18 as if
set forth at length.
20. DENIED. Plaintiff and Defendants verbally discussed an extension of time
to do the seeding in the backyard. Defendants were satisfied with all other conditions of
the items to be completed under the escrow agreement, and given the parameters of the
backyard, it was agreed upon that it would make more sense to seed the entire backyard
at the same time in the Spring.
21. DENIED. The averments contained in paragraph 21 are conclusions of law
to which to response is required. By way of further answer, Plaintiff argues that all items
completed to the satisfaction of the Defendants, with the exception of the seeding by
October 15, 2003, do not entitle release of the escrow funds of $4,800.00.
22. DENIED. Plaintiff incorporates its answers to paragraphs 17 and 20, as if
set forth at length. By way of further answer, Defendants have not set forth any
additional cost, time and labor incurred in the reseeding of their property.
23. DENIED. Plaintiff incorporates its answer to paragraph 22, as if set forth
at length.
WHEREFORE, Plaintiff requests this Honorable Court dismiss the Counterclaim
of Defendants.
