COMPLAINT
Plaintiff, Roman Mosaic and Tile Company ("Roman Mosaic" or "Plaintiff')
acting by and through its undersigned counsel, hereby complains against
Defendants, Lyons Construction Services, Inc. ("Lyons"), Foreman Architects
Engineers ("Foreman"), and Carlisle Area School District ("CASD"), as follows:
1. Plaintiff Roman Mosaic is a Pennsylvania corporation engaged as a
tile and terrazzo flooring contractor in the building and construction industry, with
its principal office located at 2039 Mountain Road, Manheim, PA 17545.
2. Defendant Lyons is a Pennsylvania corporation engaged as a
building contractor, with its principal office located at 5237 East Trindle Road,
Mechanicsburg, PA 17050.
3. Defendant Foreman is a Pennsylvania corporation offering
architectural services, with its principal office located at 525 W. New Castle
Street, Zelienople, PA 16063.
4. Defendant CASD is a Pennsylvania school district with its principal
office located at 623 W. Penn Street, Carlisle, PA 17013.
5. On or about February 15, 2001, Defendant CASD entered into the
principal contract with Defendant Lyons in which CASD agreed to pay Lyons for
the construction of Additions and Alterations to Swartz Intermediate High School,
a high school located in Cumberland County.
6. On or about May 29, 2001 Defendant Lyons entered into a
Subcontract with Plaintiff pursuant to the prime contract between Lyons and
CASD. (A true and correct copy of the Subcontract is attached hereto as Exhibit
A).

7. In the May 29, 2001 Subcontract, Defendant Lyons agreed to pay
Plaintiff $317,500.00 for the supply and installation of the terrazzo required for
the project at Swartz Intermediate High School ("the project"). See Exhibit A.
8. Pursuant to change orders, the Subcontract was modified so that
the amount due from Defendant Lyons to Plaintiff totaled $326,712.16.
9. Pursuant to the Subcontract, Plaintiff was required to submit
terrazzo samples for color approval by Foreman, the Architect on the project, and
was permitted to install only terrazzo that conformed to the samples that were
approved by Foreman.
10. Plaintiff began submitting samples to the Architect in December of
2001, and Plaintiff submitted the last of its samples on March 15,2002.
11. After submitting the last of its samples and prior to installing the
terrazzo, Plaintiff contacted the Architect and asked the Architect to send it a list
of the color samples that had been approved.
12. On or about March 19,2002, the Architect faxed its list of approved
samples submitted by Plaintiff to Lyons, and Lyons forwarded this information to
Plaintiff.
13. On or about March 19, 2002, Lyons, acting through its agent
Foreman, approved the color samples listed on the March 19th fax for use on the
project.
14. Foreman understood that Plaintiff would rely upon its March 19th
approvals regarding colors and composition in order to complete its contractual
obligations to Lyons in accordance with the Subcontract.

15. Because the Subcontract provides that submittals are part of the
Subcontract, this March 19th fax listing the approved submittals constitutes part of
the Subcontract.
16. In reliance on the Subcontract, including the March 19th approvals,
Plaintiff installed terrazzo that conformed to the March 19th approvals.
17. According to the Subcontract, including the March 19th approval list,
Plaintiff was required to install terrazzo that matches the color of Sample number
5944 #2 in the cafeteria area of the Swartz building.
18. In reasonable reliance on the March 19th approval list, Plaintiff fully
complied with its contractual duties and installed terrazzo in the cafeteria area of
the Swartz building that matches Sample number 5944 #2.
19. On August 30, 2002, Defendant Lyons wrote Plaintiff and informed
Plaintiff that the Owner had rejected the terrazzo installed in the cafeteria area of
the Swartz building because the color, which conformed to the March 19th
approvals, did not match the color that Owner had selected for that area.
20. In all respects, Plaintiff has complied with and fully performed its
obligations under the Subcontract and has submitted all of its required
applications for payment on the project. (Attached as Exhibit B are copies of the
Applications for Payment, together with a spreadsheet showing the amount still
owed to Plaintiff).
21. Lyons has paid all invoices submitted to it on and before December
3, 2002; however, despite repeated demands from Plaintiff, Lyons refuses to pay

the balance that is due and owing to Plaintiff under the Subcontract, which now
totals $40,961.76 plus interest.
COUNT I
BREACH OF CONTRACT/DEFENDANT LYONS
22. The averments set forth in paragraphs 1 through 21 of this
complaint are incorporated herein by reference as if restated in full.
23. Defendant Lyons entered into a binding and enforceable
Subcontract with Plaintiff as described above.
24. Plaintiff complied with all of its obligations under the Subcontract
and is entitled to immediate payment of the balance due under the Subcontract,
which now totals $40,961.76 plus interest.
25. By failing to pay Plaintiff Roman Mosaic as required under the
terms of the Subcontract, Defendant Lyons breached the Subcontract.
WHEREFORE, Plaintiff Roman Mosaic and Tile Company demands that
judgment be entered in its favor and against Defendant Lyons on Count I,
awarding to Plaintiff the balance due under the Subcontract plus applicable
interest, costs, attorney's fees and such other relief as may be just and proper
under the circumstances.
COUNT II
PROMISSORY ESTOPPELI DEFENDANT LYONS

26. The averments set forth in paragraphs 1 through 25 of this
complaint are incorporated herein by reference as if restated in full.
27. By forwarding the March 19th approval list to Plaintiff, Lyons
represented to Plaintiff that the colors listed on that document were approved for
use on the project.
28. Plaintiff reasonably relied to its detriment on Lyons's
representation that the colors listed on the March 19th fax were approved for use
on the project.
29. Due to Plaintiffs reasonable reliance on Lyons' representations to
its detriment, Lyons is estopped from now asserting that the colors contained on
the March 19th approval list were not approved for use on the project.
WHEREFORE, Plaintiff Roman Mosaic and Tile Company demands that
judgment be entered in its favor and against Defendant Lyons on Count II,
awarding to Plaintiff the damages equal to $40,961.76 plus applicable interest,
costs, attorney's fees and such other relief as may be just and proper under the
circumstances.
COUNT III
VIOLATION OF PENNSYLVANIA'S PROMPT PAYMENT ACT AND
CONTRACTOR AND SUBCONTRACTOR PAYMENT ACT/DEFENDANT
LYONS
30. The averments set forth in paragraphs 1 through 29 of this
complaint are incorporated herein by reference as if restated in full.
31. Despite Plaintiff Roman Mosaic's timely and satisfactory
performance of the work under the Subcontract and Plaintiffs repeated demands

for full payment, Defendant Lyons continues to wrongfully withhold $40,961.76
owed to Plaintiff, in direct violation of Pennsylvania's Prompt Payment Act, 62
P.S. 3931 et seQ; and the Pennsylvania Contractor and Subcontractor Payment
Act, 73 Pa.C.S.A. S 501 et seQ.
32. As a result of the foregoing, Plaintiff is entitled to: (A) the full
balance due, in the amount of $40,961.76; (8) interest on the balance due
pursuant to 62 P.S. 3922 and 73 Pa.C.S.A. S 507(d); (C) receipt of one percent
per month on the balance pursuant to 62 P.S. 3935 and 73 Pa.C.S.A. S 512(a);
and (D) attorneys' fees and expenses incurred in attempting to collect the
$40,961.76 owed pursuant to 62 P.S. 3935 and 73 Pa.C.S.A. S 512(b).
WHEREFORE, Plaintiff Roman Mosaic and Tile Company demands that
judgment in excess of $40,961.76 be entered in its favor and against Defendant
Lyons, together with applicable interest, penalties, costs, attorney's fees and
such other and further relief as may be just and proper under the circumstances.
COUNT IV
NEGLIGENT REPRESENTATION/DEFENDANT FOREMAN
33. The averments set forth in paragraphs 1 through 32 of this
complaint are incorporated herein by reference as if restated in full.
34. Defendant Foreman responded to Plaintiff's inquiry regarding what
samples had been approved in the course of its regular business as the Architect
on the project.

35. Defendant Foreman had a professional duty of care to Plaintiff
because Foreman understood that Plaintiff would rely on its communication of
what samples were approved.
36. Plaintiff reasonably relied upon Foreman's indication of what
samples were approved, as the Subcontract required Plaintiff to obtain the
Architect's approval of its samples prior to installing terrazzo.
37. In approving the wrong sample for the cafeteria, Foreman failed to
use the reasonable care expected from an Architect on a construction project.
38. Plaintiff has been damaged by Foreman's failure to exercise
reasonable care because Lyons has refused to pay Plaintiff the monies owed to it
on the ground that Plaintiff failed to install the proper color of terrazzo in the
cafeteria.
WHEREFORE, Plaintiff Roman Mosaic and Tile Company demands that
judgment in excess of $40,961.76 be entered in its favor and against Defendant
Foreman, together with applicable interest, costs, attorney's fees and such other
and further relief as may be just and proper under the circumstances.
COUNT V
QUANTUM MERUIT/UNJUST ENRICHMENT OF DEFENDANT CASD
39. The averments set forth in paragraphs 1 through 38 of this
complaint are incorporated herein by reference as if restated in full.
40. Plaintiff Roman Mosaic furnished and installed materials under the
Subcontract, as agreed by Plaintiff and Defendant Lyons, and for the benefit of
Defendant CASD, pursuant to the principal contract with Lyons.

41. It was the expectation of Plaintiff, Defendant Lyons, and Defendant
CASD that Plaintiff would be compensated in full by Defendants for materials
furnished and installed.
42. Defendants Lyons and CASD have failed to compensate Plaintiff
for $40,961.76 for the materials furnished and installed by Plaintiff under the
Subcontract created pursuant to the principal contract.
43. Defendant CASD has enjoyed the benefit and value of the
materials furnished and installed and has been unjustly enriched and is liable for
an amount in excess of $40,961.76, which is due and owing Plaintiff as a result
of Plaintiffs performance of the Subcontract and Defendant Lyons' failure and
refusal to pay Plaintiff in full for the value of materials furnished and installed.
WHEREFORE, Plaintiff Roman Mosaic and Tile Company demands that
judgment in excess of $40,961.76 be entered in its favor and against Defendant
CASD, together with applicable interest, costs, attorney's fees and such other
and further relief as may be just and proper under the circumstances.

IS. TERMS OF PAYMENT: Lyons agrees to pay the Subcontnctorhisportioo ofall pa

which was of the wrong color and which did not match the existing terrazzo floor as

obviously did not match the existing terrazzo, in clear violation of the project plans and
specifications, when it should have halted its work and immediately asked for an
authoritative explanation and verification ofthe discrepancy,

award of attorneys' fees against the School District
WHEREFORE, Carlisle Area School District demands that Plaintiff's complaint

1, Plaintiff, Roman Mosaic and Tile Co" initiated the above-captioned action by the
filing of a complaint on December 15, 2004, against multiple defendants, including Defendant,
Foreman Architects Engineers, Inc, ("Foreman"),
2, According to the Complaint, Plaintiff was engaged as a subcontractor to
Defendant, Lyons Construction Services, Inc" which was awarded a general construction
contract by Defendant, Carlisle Area School District, in relation to the construction of additions
and alterations to the Swartz Intermediate High School.
3, Count IV of the Complaint (Paragraphs 33 through 38) asserts a claim against
Foreman for negligent representation, The gist of that claim is that Plaintiff was damaged by an
alleged failure of Foreman "to use the reasonable care expected from an Architect on a
construction project" in providing information to Plaintiff,
4, The Complaint presents a professional liability claim against a licensed
professional and is governed by Rules 1042,1, et seq, of the Pennsylvania Rules of Civil
Procedure,
5, The Complaint fails to conform to Rule 1042,2(a) of the Pennsylvania Rules of
Civil Procedure in that it does not include the notice that Plaintiff is asserting a professional
liability claim against Foreman,
6, Pursuant to Rule 1028(a)(2) of the Pennsylvania Rules of Civil Procedure, the
Complaint should be stricken for failure to conform to law or rule of court,
7, Pursuant to Rule 1042,3 of the Pennsylvania Rules of Civil Procedure, Plaintiff
was required to file a certificate of merit within sixty days after the filing of the Complaint
Inasmuch as the time for the filing of a certificate of merit has lapsed, concurrent herewith,
