COMPLAINT Plaintiff, Kohl Building Products, LLC t/a Kohl Building Products, by and through its attorneys, Silverman Theologou, LLP., and Douglas R. Blecki, Jr., Esquire hereby brings this action against Defendants and states as follows: Parties 1. Plaintiff Kohl Building Products, LLC t/a Kohl Building Products ( "Kohl ") is, and was at all times relevant hereto, a Pennsylvania corporation with its principal office at 1047 Old Bemville Road, Reading, PA 19605. 2. Defendant Strickland Brothers Construction, LLC ( "SBC ") is and was at all times relevant hereto a Pennsylvania limited liability company. :CIO �3s aOt a �3 1 y 3. Defendant Morris Jeffrey Strickland ( "Strickland ") is and was at all times relevant hereto a Pennsylvania resident. Factual Background 4. On or about September 22, 2008 SBC executed a Business Credit Application ( "Agreement ") with Kohl wherein they agreed to pay for materials provided by Kohl. A copy of the Agreement is attached hereto as Exhibit A and incorporated herein by reference. 5. Prior to the sale of materials by Kohl to SBC, Strickland executed a personal guaranty ( "Guaranty ") wherein he agreed to be held personally liable for the account of SBC in the event of default by SBC. A copy of the Guaranty is included as part of the Agreement and attached hereto as Exhibit A and incorporated herein by reference. 6. Pursuant to the terms of the Agreement, SBC agreed to pay interest in the amount of eighteen (18 %) percent per annum on the unpaid balance of any amount past due. 7. Pursuant to the terms of the Agreement, SBC agreed to pay thirty -three and one third (33 1/3 %) of the principal amount due for attorney's fees plus costs. 8. Pursuant to the terms of the Guaranty, Strickland agreed to pay interest in the amount of eighteen (18 %) percent per annum on the unpaid balance of any amount past due. 9. Pursuant to the terms of the Guaranty, Strickland agreed to pay thirty -three and one third (33 1/3 %) of the principal amount due for attorney's fees plus costs. COUNT (Breach of Contract against Strickland Brothers Construction, LLQ 10. Kohl incorporates paragraphs 1 through 9 in this Count I as if fully stated herein. 11. At the request of SBC, from August 2011 through October 2011, Kohl provided building products to SBC on open account and sent invoices demanding payment. As of 2 40608 December 27, 2011, SBC had failed to pay an outstanding principal balance of $22,896.49. A true and accurate copy of the statement of account and corresponding invoices is attached hereto as Exhibit B and incorporated herein by reference. 12. On or about January 19, 2012, a payment of $10,000.00 was credited towards SBC's account with Kohl and applied to principal and interest. On or about December 26, 2012, a second payment of $4,000.00 was credited towards SBC's account with Kohl and also applied towards principal and interested. 13. Currently, SBC has failed to pay the principal amount totaling eleven thousand, one hundred forty -one and 57/100 dollars ($11,141.57). 14. Despite due demand for payment and full performance by Kohl, SBC has failed to pay Kohl pursuant to the Agreement and is in breach thereof. 15. As a result of the failure of SBC to pay the sums due, Kohl has sustained damages in the following amounts: (a) principal in the amount of $11,141.57; (b) accumulated interest through May 29, 2013 in the amount of $2,834.01; (c) interest from May 30, 2013, on the principal balance of $11,141.57, in the amount of 1.5% per month (18% per annum); (d) attorney's fees in the amount of $3,713.86 (33 1/3% of the principal balance due); and (e) costs of this action. WHEREFORE, Plaintiff, Kohl Building Products, LLC t/a Kohl Building Products demands judgment against Defendant Strickland Brothers Construction, LLC as follows: (a) principal in the amount of $11,141.57; 3 40608 (b) accumulated interest through May 29, 2013 in the amount of $2,834.01; (c) interest from May 30, 2013, on the principal balance of $11,141.57, in the amount of 1.5% per month (18% per annum); (d) attorney's fees in the amount of $3,713.86 (33 1/3% of the principal balance due); and (e) costs of this action. COUNT II (Breach of Guaranty against Morris Jeffrey Strickland) 16. Kohl incorporates paragraphs 1 through 15 in this Count I as if fully stated herein. 17. At the request of SBC, from August 2011 through October 2011, Kohl provided building products to SBC on open account and sent invoices demanding payment. As of December 27, 2011, SBC had failed to pay an outstanding principal balance of $22,896.49. As a result of the breach of the Guaranty by Strickland, Kohl has sustained damages in a sum equal to the outstanding balance, which is due from SBC as follows: (a) principal in the amount of $11,141.57; (b) accumulated interest through May 29, 2013 in the amount of $2,834.01; (c) interest from May 30, 2013, on the principal balance of $11,141.57, in the amount of 1.5% per month (18% per annum); (d) attorney's fees in the amount of $3,713.86 (33 1/3% of the principal balance due); and (e) costs of this action.
