handwritten or signed,located with my Will or with my valuable papers and found within 30 days of
the probate of my Will. Gifts may only be to persons who survive me or to organizations which exist

ARTICLE I
1.81. Cantribution of Proaerty. The Settlare hereby transfers to the
Trustees the assets listed in Sche�dule A attached hereta ta be held upon the
terms and conditions herein set forth. �
1.�2. Future Gontr�butions of Property. The Settlors reserve the right
to transfer additional assets to the Trustees� during the Settlors' lifetime
or by Will, and the same shall became a part of the trust estate created

Settlars, the entire net income, r�hich payments shall be made to the Settlors,
or for their benefit� periadically� but not less freque�ntly than quarterly.
2.02. Pavwents of Principal. During th� life of the Settlars� the
Trustees may, in their absolute discretion, pay and distribute to the Settlars
so much af the principal as the Trustees consid�rs necessary. reasanab�le or
desirable for th� health� maintenance and suppart of th� Settlors� after
considering all re�ourc�s available to them.

C. The Truste�s shall have full pawer ta pay fram the Trust

ehall be made fram and charged to efther incame or principal of the Trust
Estate or any share or separate trust thereof, ae the Trustees in their
diecretion deems proper.
D. The Trustees may make any such payments direct3y or to a
personal representative or other fiduciary and the Trustees may rely on a
written statement af such fiduciary as ta the amount and propriety of such

3.02. Paynent of Estate Ex�enses. The Trustees shall pay ta the
executor of Settlors' Will such amount as may be required to pay any

3.03. Distribution of Trust Assets. Upon the death of the Settlors� and
after any disbursements made pursuant ta paragraphs 3.01 and 3.0�. the
Trustees shall distribute any remaining trust assets and any accrued income as
follows:

ABTICLE IV - POI�ERS A1�D BISGRETI�H aF CD-Tl�US�'EES
4.01. Extent of Povers. The Tr�ustees shall have all of the pawer and
discretion ta da all acts and take all such p•roce�dings and exercise all such
rights and privilEges and make all praper ir,v�stments ir, the management of the
Trust Estate that ar�e sEt forth in Title 2Qt af the Penr,sylvar�ia Statutes under
Section 7302 through 7316 inclusive, as amended, and any other paw�rs or
discretion which the Tru�tees have under the Iaws of th� Commonwealth af
Pennsylvania.
4.02. Prudent Man Rule. In investing� reinvesting� purchasing,
acquiring. exchanging, and selling property for the benefit of this Trust. the
Trustees shall exercise the judgment and care, under the circumstances then
prevailing, that men of prudence� discretian, and intelligence exercise in the
management of their own affairs, not in regard ta speculation� but in regard
to the permanent dispositian of their funds� cansidering the prabable income
as �ell as the prabable safety of their capital.
4.�3. Allocation of Funds to Principal or Incawre. Unless otherwise
specifically pravided herein� the Trustees in their discretion ma� determine
what is principal or income and r�hat shall be charg�d ar credited ta either,
and their judgment shall bind everyone benef icially int�►rested hereund�r. The�
Trustees may rely on the stat�ment of the paying corporation as to wnether
di.vidends are paid from profits or earnings or are a return of capital or a
distributian of assets� and as to any other fact rel�►vant hereunder concerning
the source or character of dividends or distributiaris or corporate assets.

distribution. After any division of the Trust Estate, the Tru�tees may m�ke
joint investme�ts with funds from some or all of th� se�eral shares ar tru�t.

the Settlor•s Have appainted twa TrustEes� ariy bank accounts� ir,v�stment
accauntsr certificates of depasit� ar a�y legal dacum�nts r�quir�in� the
signatures af the Trustees may be executed by unl� ane of th� Trust�es. The
pr�ser,c� of a signature of one Trustee on any checks ar ather legal dac�me�ts
shall be deemed sufficient unless written notice has atr,erwise been given by
the other Trust��s ta the preparer o� recipient �f the I�gal docum�nt or �ank
a� investment ir,stitution to thE cantrary. It is the iritent af th� Se�tlars
that it shall �e su�ficient for anly orie of the TrusteES ta execute criECk� and
sirnilar dacuments an behalf of the Trust.
ARTICLE V - TER�IHATION

expiration af twenty-one (�1) years fr�am ar,d after the death of tt,e survivor
of the Settlors ar�d ell of the Settlo•rs' issue in �eir,g at the time tr,is

and pay over ta the beneficiary their principal and accumulated income, if

ARTICLE YI - INTE�PRETATION AND EKFORCEKENT
6.01. Hotice of Events. Until the Trustees shall have received rritten
notice of any birth. death� or other event on which the right ta receive
payment from the Trust Estate may depend, they shall incur na li�bility far
disbursements ar distributians theretafore made in good faith.
6.02. Facercise of Discretion. Where under this Agreement the Truste�s
is granted discr�tion, their discretion shall be sole and absolute and any
action taken ar refrai�ed from by it in gaod faith shall be binding and
canclusive o� all persons and corporatians interested herein.
6.03 Svendthrift Glause. No iriter�st in incam� ar principal of a�y
trust created hereunder shall be assignable by a beneficiary or be availa�le
to anyone having a claim against a beneficiary before actual payment to the
beneficiary. Further, r,o such interest in incom� ar principa2 shall �e
subject to any claim of any creditor of any beneficiary through legal process
ar othervise; and any such attempted sale. anticipation' assignment ar pledge
of any interest in income or principal by any �eneficiary shall b� null and
vaid and shall not be r�cogni�ed hy any Trustees named he�ein.
ARTICLE VII - KISCELLA1�llS PROYISIQ�S
7.01. ResiQnation of Co-Trustees. The Trustees h�reunder, twhether
originally designated herein or appointed as a successor?� shall have the
right to resign at any time by giving written notice to all adult
beneficiaries of the trust arid to tne legal guardian af any minor issue of the
Settl�rs at least thirty t30? days hefore the effective date nf such
resignatian. In the event af such r�signatian� the Trustees shall petitian
the Gaur�t uf Gammc:n Pleas �or Gum�►�rZend Cour,ty, F'Er�rj�yl�.=ania, r�equestir�g triat
the Court a�p�int a successar Trustees.
7.02. S�ccessor Trustees. Ir, the evEr,t either Jc�hn L. Stir�aker, Sr. or�
Irene D. Stirzaker �hc►uId �ecome incapacitated ar,d una��.E to function as a
Truste�s� ar s�,auld die pr�iar to tY,e termir�at�on af th� trusts cr�eat�d
hereunder� Jahn L. Stirzaker� Jr. and Carol J. Nazaretian shall succeed e�.ther
af them as a TrustEes. On the appaintment af such successor Trust�es, said
Tr�ustees shall succeed ta all of the •right�� ��awers� duties, ar,d �,rivileg�s
canferre�d her�in upon th� or�igirial Tr�ustees. A resigr,ing Trust�es� on
deliv�ry af th� assetsr boaks, ar�d r�cords �f this Trust pr�op�rt}� ta the
successor TrusteES, b� relieved of all further liabilities� res�,arlsibilities,
and dutz�s und�r this trust.
7.03. Band and Co�pensation. No hand c,r atrier s�curity s�i�ll �e

Trustees but also any succ�ssor Tr�ste�s, ar,d all pGwer� and di�cr��tian vested
in the c,r�iginal Truste�s shall be vest�d in and exercisahle by any such
suc.ce�sc►r Trustees.
ARTICLE �III - FUkER OF REVOCATIfIH
8.@1. Revocation of Trust. The �ettlars reserUe the r�ight at any t�me�
or times to revok� this Agreement or� any provi�ian tn�rec�f by� an ir�strumer�t in
writing sign�d �y th� �ettlor�s and deliv�red tc, t�,E Tru�tee� iri t?�ie lifetime
of the Settlors. The Trustees shall execute and deliver such instrument or
instruments as may be necessary ar appropriate to release aIl interest� af the
Trustees and to transfer any trust assets to the Settlars.
8.@Z. FQrer of A�rendwent. The Settlors reserve the right at any time or
times to amend or alter this Agreement, in whole or in part� or any provision
thereof� by an instrument in writing signed by the Settlors ar,d delivered to
the Trustees during the lifetime af the Settlors. The obligations, duties,
rights, and pa�ers of the Trustees shall not be alt�red ar amended �rithaut
their written consent to such amendment.
