ARTICLE I · I direct that the e~enses of my last illness and funeral ~
paid as soon as practicable after my death.
ARTICLE II · I give, devise and bequeath all the rest, residue and
remainder of my Estate, of whatever nature, real ~d personal, and
wherever situate, to my wife, Florence E. Burke, of R. D. gl, Etters,
York County, Pennsylvania, provided that she shall survive me by thirty
(30) days.
ARTICLE III · Should my wife, Florence E. Burke, predecease me, or die
on or before the 30th day following my death, I then give, devise and bequeath
my estate, of whatever nature, real and personal, and wherever situate
as follows:
A. One-third (1/3) of my estate shall be distribu~d equally
to Richard and Stephen Burke, my m ns and to Audrey Burke, my daughter,
or the guardians thereof. If any of these children named hereinbefore should
die prior to the distributing of the shares that would have gone to that child
by the terms of t~s provision shall lapse and that share shall then be divided
equally among the remaining children who are alive on the date of the distribution
and whose names are referred to hereinbefore in this provision· If all of the
children shall die prior to the distributing provided to this provision~ this
section, then the one-third (1/3) of my estate shall be distributed in
accordance with the provision of my Will contained hereinafter.

B. The remainder of my Estate shall be placed in trust for the
benefit of my daughter, Heather, and for the purposes of and under the
terms and conditions which will be set forth hereinafter.
ARTICLE IV: To effectuate my gifts, devises and bequeaths under the terms
of the previous articles, I appoint the Cumberland County National Bank,
with its office in New Cumberland, Pennsylvania, as Trustee, in trust,
nevertheless, upon the following purposes, term, and conditions:
A. If there be more than one beneficiary of the trust
as provided in the previous articles, then the shares alloted to
these beneficiaries shall form the corpus of one consolidated trust
which will be administered by the trustee as one consolidated
trust fund for the benefit, support, maintenance, education and
general welfare of the beneficiaries.
B. The trustee shall have the sole authority and discretion
to apply the net income from the total corpus of the trust to and'
among each of the beneficiaries of the trust as the trustee in
his sole and absolute discretion deems in necessary.
C. Income payments shall be made according to the needs
of the beneficiaries; there shall be no restriction as to the
maximum income allotted to any single beneficiary; if any
beneficiary has any other sources of income, then income
payments to such beneficiary may be reduced accordingly; or,
if any beneficiary is self-sufficient, then income payments may
be suspended entirely in the absolute discretion of the trustee.
Any income not used for the benefit of beneficiaries will

accumulate for the future distribution of all the beneficiaries
of the trust as the principal of the trust when the last minor
beneficiary of the trust reaches twenty-one (21) years of age.
D. To provide any trustee with the requisite freedom of
action to give meaning to this paragraph, I direct that the said
trustee shall not be held accountable in any way for decisions
made in good faith under the provisions of this paragraph.
E. If, in the opinion of the trustee, the income shall be
insufficient to the properly care for said beneficiaries, the trustee
in its sole and absolute discretion may invade the principal
for that purpose. Any payments made of principal shall be
governed by the provisions hereinbefore made in sub-paragraphs
prior hereto.
F. If during the term of this trust, the beneficiary, Heathe~'
Burke, dies then upon her death, the trust shall cease and any
principal remaining in the trust and any undistribut"ed income shall be
distributed equally to my children who are living when this trust
terminates. If in the event that this trust terminates by the death
of the beneficiary and none of my children are living, then the assets
of the trusts including principal and accumulated income shall be
distributed to my brother, William F. Burke.
G. If the beneficiary of this trust does not die during the
term of this trust, the trust will terminate automatically upon the
beneficiary, Heather Burke, reaching the age of twenty-one (21)

H. I declare it my intention and provide this provision
for clarification that if any of my children die, it is the termination
of the trust and these children shall be entitled to any distribution
made upon the termination of the trustt)r any reason whatsoever.
The share that would have gone to said child shall lapse and that
share shall be distributed equally among those children of mine
who are living on the date of the termination of the trust.
ARTICLE V ' I appoint and name my wife, Florence E. Burke, of R. D.
gl, Etters, York, Pennsylvania, York County, to be the executrix of this my
Last Will and Testament.
ARTICLE VI: Should my wife, Florence E. Burke , predecease me, I appoint
my sons, Richard Burke andStephen Burke, as co-executors of this my
Last Will and Testament. In the event that either Richard Burke or
Stephen Burke can not serve as co-executors for any reason whatsoever,
I appoint as a substitute co-executrix my daughter, Audrey Burke. In the
event only one of my children named in this Article can serve as the
personal representative of my estate, then there is no need to appoint
a co-personal representative as a replacement who is not one of my
children named in this paragraph.
ARTICLE VII · I authorize my executrix and my Trustee (Including any
substitute or successor personal representative or trustee) in its discretion
with respect to all property, real and personal, at any time forming part of
my estate or any trust, without limitation by reason of enumeration, and
in addition to powers conferred by law, to:
A. retain, any or all property owned by me at the time of
my death in the form in which it then exists; acquire by purchase

or otherwise, and retain, temporarily or permanently, any kind
of realty and personalty, including stocks and unsecured obligations,
including stock of the Cumberland County National Bank, undivided
interests, interests in investment trusts, mutual funds, legal and
discretionary common trust funds, leases, and property which is
outside of my domicile, all without diversification as to kind or
amount and without being limited to investmert s authorized by law
for trust funds (including the discretion to retain as an investment
any obligation or obligations owing to me by any corporation in
which I have a stock interest at the time of my death) and hold
funds uninvested, or deposit any moneys in one or more savings or
other banks, (including the fiduciary or any owned by or affiliated
with it) in any form of account whether or not interest bearing;
B. vote in person or by general, limited or discretionary proxy
with respect to any investments that may be owned by my estate
or any trust, or consent for any purpose, in respect of any stocks
or other securities; exercise or sell any rights of subscription
or other rights in respect thereof;
C. hold two ro more trusts or other funds in one or more
consolidated funds, in which the separate trusts or funds shall
have undivided interests;
D. sell, exchange or otherwise dispose of realty and
personalty, including all of my antiques, publicly or privately, wholly
or partly on credit or for any consideration including stocks, bonds or
other corporate obligations and grant options for the purchase,

exchange or other disposition of any such property;
E. delegate discretionary powers to agents, renumerate
them, and pay their expenses; employ and pay the compensation
of accountants, custodians, legal and investment counsel;
F. renew, assign, aker, extend, compromise, release
withor without consideration, or submit to arbitration, obligations
or claims, including taxes, held by or asserted against it or
which affect estate or trust assets;
G. Hold property in the name of nominees;
H. borrow money form itself or others and pledge or
mortgage any property, for the payment of taxes, debts, legacies
or expenses or any other purpose which in its opinion will
facilitate the administration of my estate or any trust;
I. manage, retain, improve, alter, subdivide, dedicate
to public use, or lease (with or without option to purchase) real
property or grant easements with respect thereto for periods to
begin presently or in the future without regard to statutory
restrictions on leasing and even though any such period may
extend beyond the term of any trust; insure against fire or other
hazard;
j. consent to and participate in any plan for the liquidation;
reorganization, consolidation or merger of any corporation, any
security of which is held;
K. abandon, in any way, property which it determines not
to be worth protecting; and

L. In connection with the administration of my estate and
of any fund held hereunder, I direct that all corporate stock distri-
butions in the stock of the distributing corporation, all rights to
subscribe accruing on or in respect of any securities held
hereunder, all capital gains distributions on shares of mutual
funds, and all liquidating dividends shall be treated as principal;
and all other cash or stock dividends (except stock dividends
having the status of liquidating dividends) accruing on or in
respect of any such securities shall be treated as income.
M. With regard to all policies of insurance on my life
which designate my Trustee hereunder as beneficiary, the Trustee
is specifically authorized and empowered:
1. to execute and deliver receipts and other
instruments and to take such action as may be appropriate
to obtain possession and control of such policies;
2. to execute and file proofs of claim required to
collect the proceeds thereof and the receipt of my Trustee
shall constitute full acquittance to insurance companies
for all proceeds so paid; provided, however, that my
Trustee shall be under no obligation to institute legal
proceedings for the collection of proceeds of any policy
until and unless it has been indemnified to its satisfaction
for all costs and expenses including attorney fees;
3. to elect, in its discretion, any optional
modes of settlement available to it under said policies;

4. to receive insurance proceeds, to commingle
the same with, and to administer and distribute the same
as, principal in accordance with the dispositive provisions
of this Will; and in connection therewith to divide,
apportion and distribute said proceeds between the
trusts created hereunder, including the power to make
tentati,ve allocations between such trusts and subsequently
adjust the same; and
5. to use the proceeds of insurance policies in
the purchase from my estate of such asset s as the
Trustee deems advisable without being limited to assets
authorized by law for the investment of trust funds.
6. the trustee need not begin legal action to
collect proceeds of any insurance policy unless in'
the Trustee's judgment, such legal suit is warranted
and sufficient sums and funds exist for payment of
legal fees and legal costs.
ARTICLE VIII · The interests of the beneficiaries hereunder shall not be
subject to anticipation or to voluntary or involuntary alienation until
distribution and payment is actually made to said beneficiary or guardian t?rec
ARTICLE IX · Should my wife, Florence E. Burke, predecease me, or die
w ithon thirty (30) days following my death, I appdnt my sons, Richard
Burke and Stephen Burke, co-guardians of any of my minor children
or any of my children who need a guardian appointed under the laws'
of the Commonwealthof Pennsylvania .

ARTICLE X · I direct that my personal representative, trustees, or guard-
ians shall not be required to give bond for ,the faithful performance of their
duties in any jurisdiction. My corporate trustee shall receive compensation
for its services rendered hereunder as though it were acting as sole trustee.
ARTICLE XI · I appoint my executrix hereinbefore named as the guardians
of the estate passing to any minor upon my death, for which I am authorized
to appoint a guardian and have not already done so.
