I, Katherine E. Stipes, of North Middleton Townshi�, '`
Cumberland County, Pennsylvania, declare this to be my last Will
and Testament and revoke all Wills and Codicils previously made
by me.
ITEM I: I direct that my just debts, funeral expenses and
the expenses of the administration of my estate, including any
state, federal or other death taxes �ayable because of my death,
shall be paid from my residuary estate as soon as practicable
after my decease, as a part of the expense of the administration
of my estate.
ITEM II: I devise and bequeath all of my estate of every
nature and wherever situate unto my son, Craig R. Rice, provided
he shall survive me by thirty (30) days.
ITEM III: Should my said son, Craig R. Rice, predecease me
or die on or before the thirtieth day following my death, I
devise and bequeath a�? of my estate of every nature and wherever
situate, whether passing under this Will or otherwise, to my
Trustee, hereinafter named, IN TRUST, for the following uses and
purposes and subject to the terms and conditions hereinafter set
f orth:
(A) My Trustee shall expend upon my granddaughter,

Amy Marie Coble, for her medical care, support, welfare and
education (including college education, both undergraduate and
graduate) , and for such other purposes for her benefit as the
Trustee shall consider desirable so much of the income and
principal as my Trustee shall deem best until she attains the age
of twenty-five (25) years, taking into consideration, however,
all other income and other resources available to my said
granddaughter for such purposes from all sources known to the
Trustee.
(B) I direct that my Trustee shall preserve in kind so
much of my tangible personal property as is practical for
eventual distribution, in kind, to my granddaughter pursuant to
the provisions hereof. In determining the practicability of
maintaining particular items of tangible personal property, in
kind, my Trustee shall be guided by the desires of my beneficiary
which items which have special significance to her or to our
family, preserving such items if possible. Possession of any
items of personal property which need not be kept in safekeeping
may be maintained in the physical possession of my granddaughter
or the guardian of her person.
(C) When my said granddaughter, Amy Marie Coble,
attains the age of twenty-f ive (25) years, my Trustee shall pay
over, transfer, convey and distribute to my said granddaughter,
one-third in value of the then remaining principal of the Trust,
discharged of the trust. When my said gra ddaughter attai s the

age of thirty (30) years, my Trustee shall pay over, transfer,
convey and distribute to my said granddaughter one-half in value
of the then remaining principal of the Trust, discharged of the
trust. When my said granddaughter attains the age thirty-five
(35) years, my Trustee shall pay over, transfer, convey and
distribute to my said granddaughter the then remaining balance of
the Trust, discharged of the Trust.
(D) When my said granddaughter, Amy Marie Coble, shall
attain the age of twenty-two (22) years and until complete
distribution of the Trust, my Trustee shall pay to my said
granddaughter all of the income from the Trust in such periodic
installments as my granddaughter and my Trustee shall find
convenient, but not less frequently than quarter-annually. In
addition, my Trustee shall be fully authorized and shall have
sole discretion to pay to my granddaughter, or to expend directly
for her benefit, so much of the principal of the Trust as my
Trustee shall deem necessary or desirable from time to time for
my granddaughter's support, health and medical care, education
and maintenance in reasonable comfort, taking into consideration
all other income and other resources available to her for such
purposes from all sources known to my Trustee.
(E) In the event of the death of my said granddaughter
prior to complete distribution of the Trust, then, upon her
death, the Trust, or the remainder thereof, shall be held, IN
FURTHER TRUST, in equal shares for her th living issue, er

stirpes as hereafter provided. If upon my granddaughter's death
she has no then living issue, the Trustee shall distribute the
Trust, or the re�ainder thereof, discharged of trust, unto my
then living heirs at law as then determined under the intestate
laws of Pennsylvania then in existence as though I had died at
such time, a resident of Pennsylvania, and owning such property.
(F) Should my said granddaughter, Amy Marie Coble, die
prior to complete distribution, the Trust or the remainder
thereof, shall vest in her then living issue as hereinbefore
provided, but shall be retained by my Trustee, which shall expend
upon minor the beneficiaries, for their medical care, support,
welfare and education, or for such other purposes for their
benefit as the Trustee, in its sole discretion, from time to
time, shall consider desirable so much of the income and
principal of their respective shares or portions thereof, as the
Trustee deems best, and shall accumulate any income not so
expended and add such income to the principal of their respective
shares, or portions thereof, unto each minor beneficiary, in
turn, shall attain the age of twenty-one (21) years, at which
time the principal and accumulated income of each beneficiary's
share or portion thereof, shall be paid over, transferred,
conveyed and distributed to them, discharged of trust.
ITEM IV: I appoint Farmers Trust Company of Carlisle,
Pennsylvania, Trustee of the Trust created in Item III hereof.
ITEM V: The following provisions shall apply to the Trust
created under Item III hereof and to each share thereof:
A. PAYMENTS TO DISABLED BENEFICIARY. In case the
income or any discretionary payments of principal become payable
to a minor, or to a person under legal disability or to a person
not adjudicated incompetent, but who, by reason of illness or
mental or physical disability, is in the opinion of my Trustee
unable properly to administer such amounts, then such amounts
shall be paid out by my Trustee in such of the following ways as
the Trustee shall deem best:
(1) Directly to such beneficiary;
(2) To the legally appointed guardian of such
benef iciary;
(3) To some relative or friend for the support,
health and medical care, and education of such
benef iciary; or
(4) By my Trustee, using such amounts directly
for such beneficiary's support, health and
medical care, and education.
B. SPENDTHRIFT PROVISION. No beneficial interest
under the Trusts, whether in income or principal, shall be
subject to anticipation, assignment, pledge, sale or transfer in
any manner, nor shall any beneficiary have the power to
anticipate, encw�ber or charge such interest, nor shall such
interest, while in the possession of my rustee, be liabl for or

subject to the debts, contracts, obligations, liabilities or
torts of any beneficiary.
C. UNDISTRIBUTED ZIJCOME. Any income, accrued or
undistributed at the termination of any estate or interest, shall
be paid by my Trustee as income to the persons entitled to the
next successive interest in the same proportions in which they
take such interest.
D. CONII�ION FUND. For convenience of administration
and investment, my Trustee is authorized to hold the several
shares of the Trust as a common fund, dividing the income
proportionately among them, to assign undivided interests to
the several shares and to make joint investments of the funds
belonging to my Trustee. For such purposes and insofar as may be
practicable, the Trustee may consolidate any separate share of
the Trusts with any other trust or trusts created by me or any
member of my family by will or agreement, and may hold,
administer and invest the several trusts as one or more common
fund or funds and make joint or several distributions of income
and principal thereof, whichever my Trustee shall deem advisable.
ITEM VII: All fiduciaries acting under this Will, whether
or not named herein, shall have the following powers in addition
to those vested in them by the common law, by statute or by the
other provisions hereof, all of which shall be exercised in a
fiduciary capacity, primarily in the interests of the
beneficiaries, applicable to all propert , including prope ty

held for minors, whether principal or income, exercisable without
court approval and effective until actual distribution of all
property:
A. To retain and to hold any securities or other
property, real, personal or mixed, including stock of my
corporate Trustee or an affiliate, received from my estate
without regard to any principle of diversification or risk.
B. To invest and reinvest in all forms of property,
including stocks, bonds, funds and other securities, whether
operated by my corporate Trustee, its affiliate or others,
without restriction to investments authorized for Pennsylvania
fiduciaries, as they shall deem proper without regard to any
principle of diversification or risk.
C. To sell at public or private sale, to exchange, or
to lease for any period of time any real or personal property,
and to give options for sales, exchanges or leases for such
prices and upon such terms and conditions as they shall deem
proper.
D. To hold property in the name of the Trust created
hereunder, or in the name of my Trustees without designation of
any fiduciary capacity, or in the name of a nominee, or
unregistered.
E. To allocate receipts and expenses to principal or
income, or partly to each, as they from time to time, in their
sole discretion, shall think proper.

F. To vote in person or by proxy all securities, and
to become a party to any stockholders' agreements deemed
advisable by them in connectian �i�h such securities.
G. To borrow money from any person or institution,
including my corporate Trustee or an affiliate, upon their bond
or promisso�y note, and to secure the repayment thereof by
mortgaging, creating a security interest in, pledging, or
otherwise encumbering any or all real or personal property as
they, in their sole discretion, shall choose without regard to
the dispositive provisions of this Will.
H. To make any divisions or distributions required
hereunder, wholly or in part, in kind or in cash, and to make
non-prorata distributions of assets in kind.
I. To exercise any election or privilege given by the
Federal tax and other tax laws, including without limiting the
foregoing, the election of the alternate valuation for Federal
Estate tax purposes, the election to claim items of deduction for
estate tax or for income tax purposes, and to make or not to make
equitable adjustments or apportionments for the exercise or
nonexercise of any such election or privilege.
J. To compromise any claim or controversy.
ITEM VIII: I appoint my son, Craig R. Rice, Executor of
this my last Will and Testament. Should my said son fail to
qualify or cease to act as Executor I appoint Farmers Trust

Company, of Carlisle, Pennsylvania, Executor of this my last will
and Testament.
ITEM IX: I direct that my Trustee and personal
representatives, as well as their successors, shall not be
required to give bond for the faithful performance of their
duties in any jurisdiction.

Testatrix signed and executed the instrument as her last Will and
that she had signed willingly, and that she executed it as her
free and voluntary act for the purposes therein expressed, and
that each of the witnesses, in the presence and hearing of the
Testatrix, signed the Will as witness and that to the best of
his/her knowledge the Testatrix was at that time eighteen years
